Neither structure is automatically safer. A data-center REIT or listed fund spreads exposure across facilities and tenants and can usually be sold during market hours. A direct infrastructure investment gives you a claim on a particular project, operator, joint venture, fund or asset, with more control but far more concentration, underwriting work and illiquidity. Both remain exposed to power availability, construction execution, technology change, tenant demand, financing and operations.

Choose the listed route when liquidity, diversification and simpler access matter most. Consider a private or direct deal only if you can analyze project contracts and engineering assumptions, tolerate a long or uncertain exit, meet eligibility and minimum-commitment requirements, and absorb the possibility of additional capital calls.

What you are actually buying

Data-center REITs and listed funds

A data-center real-estate investment trust (REIT) owns, leases or finances specialized facilities used for servers, networking and related power and cooling equipment. A listed REIT issues shares that trade on a national exchange. A fund may hold several REITs or other real-estate securities. You own a security rather than a particular building, electrical room or lease.

Public-market pricing gives you continuous quotations and the ability to trade during exchange hours, but it also exposes the investment to interest-rate moves, equity-market sentiment and the REIT’s leverage. Dividends are not guaranteed: they depend on property cash flow, debt service, capital spending and the board’s distribution policy.

Private REITs and non-traded vehicles

Private or non-traded REITs use the same broad real-estate structure without a continuously quoted exchange price. Investor.gov notes that publicly traded REITs trade on national exchanges and can provide real-estate diversification, while non-traded REIT redemptions may be limited or discontinued. A stated net-asset value can therefore be less timely than a public share price, and an investor may not be able to sell when desired.

Direct infrastructure investments

A direct investment places capital into a defined project or operating business. Common forms include a single-site acquisition, a development joint venture, a project-finance vehicle, an infrastructure fund or a preferred-equity or debt position. The contract may give you governance rights, information rights or approval over major decisions, but it can also make you responsible for funding obligations, guarantees or losses tied to that project.

Your return is linked to the selected asset’s power reservation, construction schedule, tenant contracts, operating performance, debt package and eventual sale or refinancing. There is no portfolio-level diversification unless the vehicle owns multiple projects.

Why demand is strong—and why it can still disappoint

AI workloads, cloud migration and large technology customers are driving demand for data-center capacity. At a July 5, 2024 event, Nareit summarized the environment this way: “The U.S. data center sector has been booming, even more now with the emergence of AI.” Nareit’s April 24, 2025 analyst roundtable also warned that a pullback in hyperscaler capital spending could slow growth. A facility can therefore sit in a structurally attractive market and still suffer if a customer delays deployment, changes its architecture or reduces its capital budget.

Supply is constrained by more than building shells. Nareit described pressure on electric grids and difficulty finding suitable land for larger facilities. A site that has a favorable location but no firm interconnection, transmission capacity or permits may not deliver revenue on the projected date. Delays increase carrying costs, can trigger construction penalties and may require additional equity.

The sector is material but not the entire real-estate market. Data centers represented 9.3% of the FTSE Nareit All Equity Index in the first quarter of 2024. They represented 11.5% of aggregate assets in Nareit’s tracked actively managed real-estate funds in that quarter. Those figures describe the cited indexes and fund sample at that date; they are not a forecast of future returns or a measure of every REIT portfolio.

An SEC-filed offering document in 2026 estimated U.S. stabilized data-center asset value at $175 billion to $275 billion for 2023 through 2025. That is an estimated market-value range for the stated period, not a guaranteed investable opportunity or a return expectation.

REITs versus direct deals at a glance

Decision factor Data-center REIT or listed fund Direct or private infrastructure
Liquidity Exchange trading for listed vehicles; prices change continuously. Private and non-traded vehicles can restrict or suspend redemptions. Transfers are usually limited, subject to lock-ups, sponsor consent or a negotiated sale. Exit timing varies by contract.
Diversification A portfolio of sites and tenants can reduce single-asset exposure. Exposure is concentrated in the selected project, operator, contracts and financing.
Control Shareholders generally have little control over site, lease or capital-allocation decisions. Governance or contractual approval rights may be available, but responsibilities and liabilities are greater.
Income Dividends or distributions depend on portfolio cash flow, leverage and board policy. Cash flows depend on the specific leases, offtake agreements, operating results and waterfall in the deal documents.
Valuation Marked to market, so rates and investor sentiment can move the price before property fundamentals change. Periodic appraisals or model valuations can be less transparent and slower to reflect adverse conditions.
Development risk Spread across the portfolio, although development still affects net asset value and earnings. Falls heavily on the chosen project or vehicle and may require more capital if completion costs rise.
Financing REIT balance-sheet leverage, debt maturities and refinancing rates affect results. Project or fund leverage, covenants, completion guarantees and capital calls can directly affect investors.
Tax and access REIT qualification and fund tax rules apply; listed shares are generally easier for eligible public investors to access. Accreditation or other eligibility rules, minimum commitments, partnership tax reporting and jurisdiction-specific rules may apply.

The principal risks, separated by where they arise

Market price and valuation risk

Listed REIT shares can fall when interest rates rise because investors may demand a higher yield and the REIT’s borrowing costs can increase. Prices can also drop when investors rotate away from income-oriented equities, even if occupancy is unchanged. A private vehicle may show a stable valuation while public comparables have already fallen; that lag does not eliminate the economic loss, it postpones recognition until the next appraisal, financing event or sale.

Compare net debt, debt maturities, fixed-versus-floating-rate exposure, interest-coverage ratios and the method used to value properties. A high-quality building can still produce poor equity results if refinancing occurs at a much higher rate.

Tenant concentration and demand risk

Large cloud and technology customers can provide strong credit and long leases, but concentration makes a portfolio sensitive to one customer’s capital plan. Review each major tenant’s share of rent, lease-expiry schedule, renewal spreads, credit support, termination rights and any construction or expansion obligations. Distinguish capacity designed for AI training from capacity suited to inference and conventional cloud workloads; demand, power density and retrofit requirements may differ.

Ask what happens if a hyperscaler pauses expansion. A lease may preserve contractual rent, but a development can still be exposed if the customer has not signed a binding commitment, if an expansion option is unexercised or if the landlord must fund substantial tenant improvements before rent begins.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Power, land and delivery risk

Power is often the binding constraint. Underwrite secured megawatts rather than a marketing statement about a site’s potential capacity. Confirm the utility contract, interconnection status and queue position, tariff structure, transmission-upgrade obligations, backup generation, permitting and construction contingencies. Determine whether the stated capacity is immediately deliverable, contingent on a future substation or dependent on a queue position that can change.

Land and power delays can create a mismatch between debt service and revenue. Check extension rights, liquidated damages, contingency budgets, completion tests and who funds a cost overrun. In a direct deal, identify whether investors can be required to contribute more capital and what happens if one investor does not fund.

Cooling, water and obsolescence

High-density computing changes the engineering profile of a facility. BlackRock’s 2025 report Municipal Bonds and AI Data Center Financing describes the central trade-off: “Cooling systems involve a trade-off between water and power use.” Air cooling generally uses less water but more electricity; evaporative approaches can reduce electricity use while increasing water demand.

Review the installed cooling design, expected rack densities, ability to support direct-to-chip or other liquid-cooling systems, retrofit cost, water availability, discharge rules and drought restrictions. A building that cannot accommodate future density may require expensive mechanical and electrical work before its lease ends. Conversely, a water-intensive design can face operating limits or community opposition even when power is available.

Operational resilience and physical risk

Examine uptime commitments, electrical and cooling redundancy, maintenance procedures, spare-parts strategy, cybersecurity controls, physical security, disaster recovery and the operator’s incident history. SEC filings identify infrastructure or service failures as risks that can disrupt customers and harm cash flow. Insurance limits, exclusions, deductibles and business-interruption coverage matter when a storm, fire, flood, heat event or equipment failure affects availability.

Climate exposure is not limited to a building’s flood map. Water stress, extreme heat, wildfire smoke, grid reliability and the cost of backup fuel can all affect operating expenses and service levels. Verify which party bears each cost under the lease and operating agreement.

Technology and supply-chain risk

Server generations, networking standards and power densities change quickly. Supply interruptions, equipment lead times and input-price increases can delay a build or make an apparently complete facility uneconomic to retrofit. SEC filings also identify technology change, cybersecurity, water and climate exposure and supply interruptions as material risks. Request the equipment schedule, procurement status, replacement assumptions and capital-expenditure reserve rather than relying on a generic useful-life estimate.

Financing, fees and tax-structure risk

For a REIT, read filings for leverage limits, debt maturities, related-party fees, development commitments, distribution policy and the conditions required to retain REIT tax treatment. SEC filings warn that losing that treatment can reduce value and distributions. A dividend yield should therefore be considered alongside coverage, not in isolation.

For a direct vehicle, map every fee: acquisition, development, asset management, property management, financing, incentive or carried interest, refinancing and disposition. Identify priority returns, promote or waterfall provisions, reserves, default remedies, completion guarantees, indemnities and capital-call rights. Partnership tax reporting, withholding, depreciation allocations and state or local filing obligations can materially change the investor’s experience even when the project performs as modeled.

How to evaluate a listed REIT or fund

  1. Read the latest prospectus and filings. Confirm the portfolio’s data-center exposure, ownership interests, development pipeline, lease structure, tenant concentration and REIT qualification status.
  2. Separate operating performance from market price. Review occupancy, rent escalators, renewal activity, same-property earnings, development spending and recurring maintenance capital. Then examine share-price sensitivity to rates and sector sentiment.
  3. Stress the balance sheet. List maturities, fixed and floating debt, secured versus unsecured borrowing, interest coverage and available liquidity. Model a slower lease-up or a higher refinancing rate rather than assuming every project completes on schedule.
  4. Inspect the growth plan. Determine whether announced capacity has firm power, permits, tenants and financing. Treat uncontracted megawatts and expansion options as potential, not delivered revenue.
  5. Check distribution quality. Compare distributions with recurring cash flow after maintenance capital and leasing costs. A high stated yield can reflect a falling share price, elevated leverage or a payout that is not sustainable.
  6. Match the vehicle to your liquidity need. Listed shares can normally be sold during market hours but may be volatile. Non-traded structures may impose notice periods, repurchase limits or suspension rights.

How to underwrite a direct or private investment

1. Establish the legal claim

Identify whether you own equity, preferred equity, secured debt, a fund interest or a contractual participation. Read the distribution waterfall, voting rights, transfer restrictions, information rights, remedies and events of default. Confirm the sponsor’s related-party relationships and the governing jurisdiction.

2. Prove the power path

Obtain the executed utility agreement, interconnection studies, queue position, deposits paid, delivery milestones, tariff assumptions and responsibility for transmission upgrades. Reconcile the contracted megawatts with the building’s electrical design and the tenant’s committed load. A headline capacity number without a deliverable schedule is not bankable capacity.

3. Validate the site and permits

Review land title or lease term, zoning, environmental reports, water rights, discharge permissions, noise limits, building permits and community or regulatory conditions. Check whether a delayed permit extends the lease, financing commitment and power reservation or causes any of them to expire.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

4. Test the tenant contract

Read the lease or offtake agreement itself. Record rent commencement, term, escalators, security, parent guarantees, expansion options, termination rights, service-level obligations, make-whole payments and tenant-improvement funding. Compare contracted revenue with the construction schedule; a signed contract that starts only after a delayed completion does not protect the interim financing gap.

5. Review engineering and cooling

Have an independent engineer test rack-density assumptions, power-usage effectiveness, redundancy, liquid-cooling readiness, water consumption, discharge requirements and retrofit cost. Ask what fails first if the customer deploys newer, denser hardware than the original design anticipated.

6. Analyze construction and operating controls

Review the guaranteed maximum price or equivalent contract, contingency, liquidated damages, contractor credit, procurement status, commissioning tests, uptime history and operator staffing. Confirm who pays for defects, replacement equipment and service credits when availability targets are missed.

7. Stress debt and capital calls

List every covenant, reserve requirement, completion test, interest-rate hedge, amortization date and refinancing assumption. Model delays, cost overruns, lower occupancy and a higher exit yield. Determine whether the sponsor can call additional capital, dilute non-participating investors or seize collateral after a missed contribution.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

8. Calculate the real fee and tax burden

Build a cash-flow schedule net of all fees, reserves, taxes, insurance and required reinvestment. Ask when investors receive tax forms, whether income is allocated before cash is distributed and whether the investment creates filing obligations outside your home jurisdiction.

9. Define the exit before investing

Read sale, refinancing, buy-sell, transfer and redemption provisions. Note lock-up duration, sponsor-consent requirements, valuation mechanics, suspension rights and any obligation to fund operations while a sale is pending. An attractive projected internal rate of return is not useful if the contractual exit cannot occur when you need cash.

Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Support on Ko-Fi

A practical decision tree

Choose a listed REIT or listed fund when:

  • You may need to sell before the project’s construction or lease cycle ends.
  • You prefer exposure to multiple facilities and tenants rather than one power contract or customer.
  • You want standardized public filings and market pricing instead of negotiating project documents.
  • You can tolerate daily price volatility and dividend changes.

Investigate a private or direct structure only when:

  • You can evaluate power, engineering, lease, debt and insurance documents or hire qualified advisers to do so.
  • Your time horizon accommodates construction, lease-up and a negotiated exit.
  • You meet the vehicle’s eligibility and minimum-commitment rules.
  • You can fund a capital call without jeopardizing other financial obligations.
  • You accept concentrated exposure to one sponsor, site, utility, tenant and technology design.

Stop or renegotiate when:

  • Power is described as probable but not secured, or the interconnection schedule is missing.
  • Tenant revenue depends on an unexercised option or an unsigned expansion.
  • Cooling, water or discharge assumptions are not supported by permits and engineering data.
  • Fees, related-party transactions, capital calls or exit rights are unclear.
  • The valuation depends on a sale price that requires materially lower interest rates or a buyer that has not been identified.

What “AI exposure” really means

Owning a data-center REIT can provide indirect exposure to AI-related demand, but it does not guarantee that the portfolio will capture every increase in computing use. The exposure depends on where the buildings are located, how much high-density capacity they can support, whether power is available when needed, and whether tenants commit to that capacity on economic terms. A diversified REIT may have conventional cloud or enterprise leases that dilute the effect of an AI boom; a single direct project may have greater AI sensitivity but also greater downside if one deployment is delayed.

Ask for the portfolio or project’s contracted high-density capacity, expected workload mix, retrofit plan and tenant obligations. Treat management commentary about AI demand as a scenario, not as a substitute for signed contracts and deliverable megawatts.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Monitoring after you invest

Risk does not end at closing. For a listed vehicle, monitor quarterly filings for tenant concentration, lease expiries, development spending, debt maturities, interest coverage, distribution coverage and changes in guidance. Watch whether announced projects obtain permits, power and financing on the stated schedule.

For a private investment, require scheduled reporting on construction progress, draw requests, budget variance, power milestones, commissioning, uptime, water use, incidents, insurance renewals, covenant compliance and tenant activity. Escalate promptly when a milestone moves; delayed information is itself a governance signal.

Bottom line

Listed data-center REITs and funds are generally the more practical access point when liquidity, diversification and limited operational responsibility are priorities. Direct and private infrastructure can offer more influence and a closer link to a specific project’s contracted cash flow, but that potential comes with concentrated exposure, complex documents, illiquidity, possible capital calls and greater loss if power, construction, technology or tenant assumptions fail. Compare the structure to your liquidity needs, analytical capability, eligibility and tolerance for concentration; do not treat either route as a way to remove data-center risk.
