Crypto lending and proof-of-stake staking can both be marketed as ways to “earn” on digital assets, but they pay you for different activities. Lending exposes your assets to a borrower or lending platform that promises equivalent value, potentially with interest. Staking commits assets to a blockchain’s consensus process, where protocol rules may issue tokens and distribute transaction fees.

Neither activity is automatically safer or more profitable. Lending concentrates risk in credit, platform custody and insolvency; staking concentrates it in network rules, validator performance, slashing, token-price changes and withdrawal delays. The correct comparison depends on the asset, network, contract, provider, custody arrangement and jurisdiction.

What crypto lending and staking actually do

Crypto lending is a credit arrangement

In a lending product, you make crypto or fiat-value funds available for a borrower, lending desk or account provider. The economic promise is that equivalent value will be returned, normally with interest or another stated return. The provider may lend the assets onward, combine them with other customer assets, or use them in other investment activities. The label “earn” does not tell you which of these activities is happening.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Your claim is therefore contractual rather than a direct claim on a blockchain’s consensus rewards. The terms determine whether the provider can reuse your assets, whether withdrawals can be delayed, what happens after a borrower defaults, and where you rank if the company fails.

Proof-of-stake staking is network participation

Proof-of-stake networks use validators to help agree on blocks and maintain the ledger. A participant can run validator infrastructure, delegate stake to a validator, or use a service that performs those functions. Under protocol rules, a validator may receive newly issued network tokens and transaction fees for correct participation.

Those rewards are not interest owed by a borrower. They depend on the network’s issuance schedule, fee activity, validator performance and participation rules. A custodial service can add a separate contract and custody layer on top of the protocol activity.

Why “earn” is an unreliable category

A centralized account may lend, borrow, trade, pool or stake customer assets, sometimes using more than one strategy. Ask the provider to identify the exact activity, the legal claim you hold, and the source of each reward. A headline APY cannot answer those questions.

How the returns are generated

Question Lending Proof-of-stake staking
What creates the return? Borrower interest or activity conducted by a platform with deposited assets. The contract should identify the source. Protocol-defined rewards, potentially including newly minted tokens and transaction fees paid for validation.
Who sets the rate? The borrower, platform and product terms; rates can change with demand, liquidity and credit conditions. The network’s software and validator economics, with actual results affected by uptime, commission and participation.
What do you receive? Whatever the contract promises, often the deposited asset or a specified payment. Fees, defaults and provider discretion can reduce the result. Usually the network’s native token. The token’s market price can rise or fall independently of the token-denominated reward.
Is the return guaranteed? No. Repayment depends on borrowers, counterparties and the provider’s ability to honor withdrawals. No. Rewards can be missed, reduced or penalized, and a token-price decline can outweigh rewards.

There is no comparable “typical APY” established across lending and staking. A fair comparison requires the same asset, period, geography, fee schedule, compounding convention and treatment of losses. A quoted annual percentage should be treated as a variable estimate, not a risk score.

Token rewards versus real purchasing power

Suppose a staking service credits tokens each week. Your token balance can increase while its value in your local currency falls. Lending can create the same mismatch if interest is paid in a volatile token rather than the asset you deposited. Evaluate both the quantity of tokens and the price risk of those tokens.

Questions to ask about any advertised APY

  • Which activity produces the reward: lending, staking, trading, liquidity provision or a combination?
  • Is the rate fixed for a stated term, floating, promotional or subject to unilateral change?
  • Is the quoted figure APY, APR or a token-denominated estimate, and are fees already deducted?
  • Are rewards paid in the deposited asset, the network token or a different token?
  • Can the provider reduce rewards, suspend withdrawals or use assets for its own obligations?
  • What penalties apply for early withdrawal, validator downtime, slashing or borrower default?

Where lending losses come from

Borrower default and liquidity stress

A borrower may fail to repay, collateral may lose value, or a lender may be unable to liquidate collateral quickly. Even when a platform advertises over-collateralization, the terms determine how collateral is valued, who controls it and which customers absorb a shortfall.

Platform and custody failure

Sending assets to a company can transfer control of the private keys. The company may pool customer assets, rehypothecate them or use them in other investments. If it becomes insolvent, your contractual claim may compete with other creditors. The SEC’s Investor Bulletin on crypto asset interest-bearing accounts (Feb. 14, 2022) warns that these products are not equivalent to bank or credit-union deposits and that the crypto assets sent to such companies were not then insured.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Operational, fraud and technology risks

The SEC bulletin also identifies market volatility and illiquidity, company failure or bankruptcy, regulatory changes, fraud, technical glitches, hacking and difficulty recovering losses after a default or mistake. These are separate pathways: a platform can suffer a cyberattack even when every borrower is solvent, or a solvent platform can still be unable to meet a rush of withdrawal requests.

Contractual asymmetry

Read whether the provider owes you the same asset, an equivalent value, or only a general repayment claim. Check whether it can pause withdrawals, change rates, liquidate positions or lend to affiliated entities. A high rate may be compensation for risks that are not obvious from the account screen.

Where staking losses come from

Validator downtime and missed rewards

Validators must follow network rules and remain available. Downtime, software errors or poor operations can reduce or eliminate rewards. Delegation usually removes the need for you to operate hardware, but it does not remove the validator’s performance risk or the service’s commission.

Slashing and rule violations

Some networks penalize conduct such as signing conflicting messages or violating protocol rules. The penalty can reduce staked principal or rewards; whether slashing exists, and how severe it is, depends on the network. The SEC Crypto Task Force’s risks memo (Apr. 17, 2025) specifically discusses slashing as a network-dependent risk.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Unbonding and withdrawal delays

Unstaking may require an unbonding period set by the protocol. During that period you may not be able to transfer the stake or respond quickly to a market move. The exact duration and queue mechanics are network-specific and should be checked before delegating.

Token-price and issuance risk

Protocol rewards are generally paid in the network’s token. New issuance can dilute holders, and a market-price decline can exceed the value of rewards. A token reward rate therefore does not represent a guaranteed return in dollars, euros or another fiat currency.

Delegation and service-provider risk

Delegating through an exchange or staking service introduces custody, commission and business-continuity risks. The SEC Chair’s Feb. 9, 2023 staking-as-a-service transcript cautioned that investors should examine what a provider does with assets and where rewards originate. Gary Gensler stated: “There’s also the risk that you won’t get new tokens even if you stake.” He also said that, because providers generally were not providing proper disclosures at that time, there was no reliable way for an investor to know the answers to important investment questions. Those remarks address the disclosure problem in staking-as-a-service, not every self-directed or non-custodial staking arrangement.

Custody changes the comparison

Arrangement Who controls keys or validator access? Additional exposure
Self-staking You operate the wallet and validator or use your own infrastructure. Operational security, software, hardware, uptime and protocol-rule risk are yours to manage.
Delegated staking You retain the asset in a compatible wallet while assigning validator rights, where the network supports that model. Validator performance, commission, slashing and network unbonding risk remain; wallet security is still your responsibility.
Custodial staking A company controls keys and performs staking for you. Provider insolvency, withdrawal suspension, pooling, fees, terms and counterparty control are added to protocol risk.
Liquid staking A protocol or provider stakes the underlying asset and issues a receipt token. The receipt token has its own price, smart-contract, redemption and market-liquidity risks in addition to staking risk.
Interest-bearing lending account A company generally controls deposited assets. Borrower default, rehypothecation, platform insolvency, withdrawal limits and the terms of your repayment claim.

Control matters because accepting a service’s terms can transfer ownership or control in practice. The SEC’s investor guidance on crypto custody (Dec. 12, 2025) emphasizes the importance of understanding private-key control and the consequences when a third party holds assets. The legal effect depends on the contract and jurisdiction; do not assume that a wallet balance means you retain direct title.

Liquid staking: liquidity with another risk layer

Liquid staking issues a receipt token representing an interest associated with staked assets and accumulated rewards. You can often trade or use that receipt token while the underlying asset remains staked, but the receipt is not the same as immediate redemption for the original asset.

  • The receipt token can trade below the value of the underlying stake.
  • Redemption can depend on protocol queues, validator exits, available liquidity or a provider’s solvency.
  • Smart-contract failures and oracle or pricing errors can create losses separate from validator performance.
  • Using the receipt token in another protocol compounds exposure through a second application.

The SEC’s 2025 protocol-staking statement treats liquid staking as a distinct form of staking activity, while the EBA and ESMA’s January 2025 reports identify liquid staking and restaking as developments to monitor. Neither description makes liquid staking risk-free or instantly redeemable.

Liquidity: withdrawal is part of the risk

What to check in a lending product

  • Whether withdrawals are on demand, queued, term-based or subject to a platform discretion clause.
  • Notice periods, minimum balances, withdrawal fees and limits.
  • Whether the provider can halt withdrawals during market stress or after a counterparty default.
  • Whether you receive the same asset or a cash-equivalent claim.

What to check in staking

  • The network’s unbonding period and any exit queue.
  • Whether rewards continue during unbonding.
  • Validator commission and how it can change.
  • Any minimum stake, delegation cooldown or redelegation restriction.
  • For liquid staking, the redemption mechanism, reserve liquidity and receipt-token market depth.

Liquidity is not the same as price stability. A liquid-staking token may trade continuously yet still fall below its underlying value. Conversely, a lending account may display a withdrawal button while the contract permits suspension when the platform cannot meet requests.

Legal and protection context

Regulatory treatment depends on the product’s structure and the jurisdiction in which it is offered. The SEC’s 2022 investor bulletin discusses crypto interest-bearing accounts and notes that enforcement actions, including the BlockFi case, illustrate how such offerings can raise securities-law issues. That bulletin represents staff views, has no legal force or effect and does not create obligations.

The SEC Division of Corporation Finance’s May 29, 2025 statement addresses only certain specified proof-of-stake protocol-staking activities. It is a staff statement, not a blanket conclusion covering every staking service, liquid-staking arrangement, lending product or jurisdiction. The EBA and ESMA’s January 2025 factsheet and joint report provide a European supervisory overview of lending, borrowing, staking and emerging models; they do not turn a general description into a product approval.

Do not infer deposit insurance, investor compensation, segregation of assets or a guaranteed recovery from a platform’s marketing language. Identify the governing entity, customer agreement, custody structure and applicable regulator before transferring assets.

A practical due-diligence procedure

  1. Name the activity. Write down whether the product is lending, protocol staking, delegated staking, liquid staking or a mixture. If the provider cannot explain it plainly, stop until it can.
  2. Trace the return. Identify the borrower or protocol, the asset that funds rewards, the payment token, the fee schedule and every condition that can reduce payment.
  3. Map control. Determine who holds private keys, who can move assets, whether assets are pooled, and whether the provider can reuse or rehypothecate them.
  4. Model the main loss. For lending, model borrower default, platform insolvency and a withdrawal freeze. For staking, model downtime, slashing, a token-price fall and an unbonding delay.
  5. Read exit terms. Record notice periods, queues, cooldowns, redemption mechanics, minimums and fees. Save a copy of the terms and note how they can be changed.
  6. Check counterparty and jurisdiction. Identify the legal entity, where it operates, which rules apply and whether any protection actually covers your asset.
  7. Separate yield from exposure. Compare expected token or currency returns only after accounting for fees, penalties, credit losses, price movement and time without access to the asset.
  8. Start with a tolerable amount. If you cannot explain the worst credible loss and recovery path, the product is not understood well enough for a larger allocation.

Decision framework: which risk are you choosing?

If your priority is… Questions that matter most Risk you must accept
Predictable access to funds Can the product impose a queue, term or unbonding period? Is there a liquid secondary market? Neither route guarantees immediate access; lending can freeze and staking can be locked by protocol rules.
Direct protocol participation Can you verify the network rules, validator and reward calculation? Operational failure, slashing where applicable and token-price volatility.
Contractual repayment Who owes you, what collateral exists, and where do you rank if the provider fails? Credit, intermediary, custody and insolvency risk.
Minimal third-party control Can you keep keys and verify on-chain activity without a custodian? Greater responsibility for wallet security, validator operations and protocol mistakes.
Simple tax or accounting records How often are rewards credited, in which token, and how are fees and reversals reported? Record-keeping complexity; rules differ by jurisdiction and are not established by the sources here.

This framework does not produce a universal winner. A well-understood, non-custodial staking setup can avoid some intermediary risks while adding protocol and lockup risks. A short-term lending arrangement may offer access terms that suit a particular investor but still expose that investor to a borrower and platform. Compare the actual loss pathways, not the APY labels.

Common mistakes and how to avoid them

Mistake: treating a high APY as a safety signal

Fix: Require a plain-language explanation of the reward source, payment token, variability, fees and failure process. A higher rate can indicate greater credit, liquidity or protocol risk.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Mistake: assuming staking means self-custody

Fix: Distinguish self-staking, delegation and custodial staking. Confirm who controls keys and whether a provider pools or reuses assets.

Mistake: assuming lending is insured like a bank account

Fix: Look for a specific, legally applicable protection. The SEC’s 2022 bulletin says crypto assets sent to the companies discussed were not then insured.

Mistake: ignoring the exit queue

Fix: Record the protocol’s unbonding period or the lending product’s notice and suspension terms before depositing.

Mistake: counting token rewards without price risk

Fix: Calculate outcomes in the currency that matters to you and include adverse token-price scenarios.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Mistake: treating a liquid-staking receipt as cash

Fix: Check redemption rules, reserve liquidity, smart-contract dependencies and the possibility that the receipt trades below its reference value.

What the official sources say

The SEC’s Investor Bulletin, “Crypto Asset Interest-bearing Accounts” (Feb. 14, 2022), states: “These products may sound similar to interest-bearing accounts with a bank or credit union, but investors need to be aware that these crypto asset-related accounts are not as safe as bank or credit union deposits.”

In the SEC Chair’s “Office Hours with Gary Gensler: Staking-as-a-Service” transcript (Feb. 9, 2023), Gensler said: “There’s also the risk that you won’t get new tokens even if you stake.” He also warned that inadequate disclosures made it difficult for investors to determine what providers did with assets and where rewards came from. These are attributed remarks about staking-as-a-service disclosure and control, not a finding that every staking method has the same characteristics.

The SEC Division of Corporation Finance statement (May 29, 2025), the SEC Crypto Task Force risks memo (Apr. 17, 2025), and the EBA/ESMA reports (January 2025) describe network rewards, validator mechanics, slashing, custody, liquid staking and evolving business models. Their scopes differ, so a statement about one product or jurisdiction should not be generalized to all crypto lending or staking.

Bottom line for comparing a specific product

Lending is a promise involving a borrower or intermediary: your central questions are repayment, collateral, custody, liquidity and insolvency. Staking is participation in a network: your central questions are validator behavior, protocol penalties, token economics, custody and unbonding. Liquid staking and custodial services can combine both categories of risk.

Choose only after you can identify the return source, the party controlling assets, the exact withdrawal path and the most credible way you could lose money. If those answers are unclear, the advertised yield is not enough information to make the comparison.
