Practical answer for advisors: Wall Street is building crypto and tokenized-asset infrastructure without waiting for a comprehensive U.S. law, but the permissions available today are not equivalent to durable legislation. A client’s protection therefore depends on the platform’s ownership records, custody model, redemption process, compliance controls and failure plan—not merely on the existence of an exemption.
What changed in September 2026
The Senate failed to advance the CLARITY Act on Sept. 15, 2026, leaving the United States without the comprehensive digital-asset framework described in contemporaneous coverage by CoinDesk. On Sept. 17, the Securities and Exchange Commission (SEC) responded within its existing authority with an Innovation Exemption for certain venues trading tokenized U.S.-listed stocks onchain.
SEC Chairman Paul S. Atkins described the action as “a significant step forward” to facilitate onchain trading of certain tokenized stocks. The agency’s statement is available at SEC.gov. The sequence matters: the exemption creates a usable regulatory path, while the failed bill shows that Congress has not supplied a permanent, comprehensive one.

The relief is temporary and conditional. It is not a statute, and its scope can be narrowed or withdrawn. Advisors should treat any platform relying on it as operating under defined conditions rather than under a guaranteed long-term framework.

Conditions attached to the relief
- It applies to certain Tokenized Securities Venues and Covered Firms, rather than to every crypto platform or every tokenized asset.
- Access must be permissioned, so participation is subject to eligibility and platform controls.
- Existing anti-fraud and anti-manipulation requirements remain in force.
- Issuers receive an opportunity to object to a proposed tokenized security.
- Tokenized NMS stocks must give holders the same rights and privileges as the traditional securities, including dividends and voting rights.
Those conditions answer an important ownership question for qualifying tokenized stocks: the token is expected to carry the rights of the corresponding traditional security. They do not, by themselves, answer who legally holds the underlying asset, how records are reconciled, or how a client exits if the venue or exemption becomes unavailable.
Why Wall Street is building around the gap
Rules are being assembled jurisdiction by jurisdiction
Adam Schumann, vice president of legal at OKX, told CoinDesk that firms want “general consistency,” but “you’re not going to reach uniformity.” In practice, companies work state by state and country by country while federal agencies address immediate gaps. A platform that is available to a client in one state may impose different eligibility, transfer or service conditions in another.

Compliance is an operating function, not a one-time filing
Uphold CFO Aravind Raju said compliance is one of the company’s largest departments because it builds tailored solutions for each state’s requirements. This model raises operating costs, but it also means an advisor should ask how controls operate in the specific states where the advisor and client reside, not rely on a broad “U.S.-compliant” label.
Private networks improve control but increase fragmentation
Institutions have launched private, closed networks for tokenized assets, stablecoins and securities ledgers. These systems can restrict access and tailor compliance, but they do not automatically communicate with one another. Twilight CEO Lewis Tuff said firms repeatedly rebuild the same connections because the networks remain fragmented. Interoperability is therefore a due-diligence issue, not a technical footnote: moving an asset between networks can affect records, privacy and transfer restrictions.
Trading, custody and clearing are separating
Traditional custodians are increasingly holding digital assets while execution venues handle trades. Separating those functions can reduce the chance that one entity controls every critical operation or becomes a single point of failure. It also creates more parties whose responsibilities must be documented: the advisor needs to know which entity safeguards the asset, which executes an order, which settles it and which maintains the authoritative ownership record.
Controls are becoming continuous
Compliance and security are moving from annual attestations and periodic reviews toward checks that run on every transaction. Continuous sanctions screening, eligibility checks and transfer restrictions can reduce exposure to an invalid transaction, but the advisor should verify what is checked, when it is checked and what happens when a transaction is blocked or later challenged.

How to vet a tokenized platform for a client
Diego Grassano’s core questions are direct: “What does my client actually own, and how do they get their money back?” Use the following framework before recommending access or approving a transaction.
| Due-diligence axis | Questions to document | Risk the answers address |
|---|---|---|
| Legal ownership | Is the client the registered holder, a beneficial owner, or a claimant against an intermediary? For a tokenized stock, are dividends and voting rights preserved? | The token may not provide the same legal position as the referenced asset unless the structure and records establish it. |
| Custody and segregation | Which entity holds the asset or key material? Are custody, execution and clearing performed by separate parties? Are client assets segregated from the platform’s own assets? | A failure or conflict at one function should not automatically compromise every function. |
| Redemption and failure recovery | What is the normal redemption route? Who can deliver the underlying asset or cash? What happens if the exemption expires, withdrawals are paused or the platform fails? | A client needs an actionable exit path, not only a statement that the token is backed. |
| Compliance scope | Are sanctions, eligibility and transfer restrictions enforced continuously? Do controls cover every relevant state and cross-border transaction? | Permission in one jurisdiction does not establish permission everywhere. |
| Interoperability and privacy | Can the network connect to another venue without breaking the ownership record, compliance controls or confidentiality? | Private ledgers can create lock-in and duplicate integration points. |
| Fees, conflicts and withdrawals | Are trading, custody, settlement and withdrawal fees disclosed? Which parties earn from routing or issuance? Are withdrawals limited by time, eligibility or venue policy? | Costs and conflicts can change the client’s return and ability to recover funds. |
Ask for written policies, the legal terms governing the token, the names and roles of custodians and execution venues, independent verification of reserves or records where applicable, and the documented platform-failure procedure. If the firm cannot explain ownership, risks and recovery in plain language, due diligence is not complete.

What happens if the exemption expires?
Expiration would not automatically answer what happens to every tokenized stock. The outcome depends on the venue’s legal structure, the SEC’s transition terms, issuer participation and the client agreement. A prudent advisor should identify the trigger for suspending new purchases, the deadline or method for redemption, the entity responsible for converting tokens to traditional securities or cash, and the records a client can access during a wind-down.
Because the relief is conditional, a platform should also explain how it responds if the SEC narrows the exemption, an issuer objects, or a transaction no longer meets the permissioned-access or anti-manipulation requirements. Those contingencies belong in the client file before an investment is made.
A practical review workflow
- Classify the instrument. Determine whether it is a tokenized NMS stock covered by the SEC relief, another security, a stablecoin or a different digital asset. Do not assume one category inherits another’s protections.
- Map every function. Record the issuer, tokenization venue, execution venue, custodian, clearing or settlement provider and the party maintaining the authoritative ledger.
- Verify the client’s rights. Confirm the legal holder, dividend and voting treatment, transfer restrictions and the documents that prove the claim.
- Test the exit path. Obtain the normal redemption steps, fees, timing, eligibility requirements and the fallback process for a venue outage, regulatory change or insolvency.
- Check jurisdictional controls. Confirm state-by-state eligibility, sanctions screening, transaction monitoring and the escalation process for blocked or suspicious transfers.
- Record conflicts and total cost. Identify spreads, custody and withdrawal charges, related-party relationships and incentives that could influence routing or product selection.
What advisors should expect next
Raju forecast that within three years people will “probably stop using the word ‘crypto’” as tokenized Treasuries and money funds become routine. That is an executive forecast, not a measured adoption or market-size statistic. The more immediate reality is operational: firms are standardizing controls and connections while lawmakers have not completed a comprehensive framework.
