Corporate headquarters and a registered office serve different purposes. Headquarters is the company’s main management and operating centre, where executives and central functions coordinate the business. A registered office is the legally designated address for official communications, statutory notices and service of documents. The two addresses can be the same, but a company may operate from one location and keep a compliant registered office elsewhere.

The short answer: operations versus legal contact

Think of the distinction as where the company is run versus where the law expects to find it.

  • Headquarters (HQ): the principal executive and administrative centre. It is where senior leadership, central teams and company-wide decisions are coordinated.
  • Registered office: the official address designated for formal communications, notices and service of legal documents. It must satisfy the rules of the jurisdiction where the company is registered.

A small business may use one address for both roles. A larger or remote-first company may run its management functions from a headquarters in one city while using an accountant, solicitor or registered-office agent in another city for statutory correspondence. The arrangement is legitimate only if the registered-office address meets local delivery, availability and jurisdiction requirements.

What a corporate headquarters is

The management and administration centre

Headquarters describes the place from which a company’s central administration and essential day-to-day general-management decisions are carried out. HM Revenue & Customs’ VAT Notice 700/2 uses “establishment” in this operational sense and says it is usually the head office or headquarters. In practical terms, HQ is where the company’s leadership and central functions are coordinated, even if sales, manufacturing, support and engineering teams work at other sites.

Typical headquarters activities include:

  • Executive and board-level coordination.
  • Company-wide finance, people operations, legal, procurement and information-technology administration.
  • Strategic planning and decisions affecting multiple locations or business units.
  • Central records and internal management processes.

Headquarters is primarily an operational description, not a universal corporate-registry filing category. A company can call a location its headquarters for business purposes without that address being the address used for statutory service.

Why “establishment” is not created by a registered office alone

HMRC’s VAT guidance makes an important qualification: “A registered office alone is not sufficient to create an establishment.” A legal address that receives mail does not, by itself, show that the company conducts central administration or essential management there. If a provider supplies only a compliant address and forwards notices, that does not turn the provider’s premises into the company’s operational headquarters.

Conversely, an operational headquarters does not automatically satisfy registered-office rules. The headquarters may be in a different jurisdiction, may not be open for formal delivery, or may not be the address recorded with the corporate registry. Each role has its own test.

What a registered office is

The official address for communications and notices

Under section 86 of the UK Companies Act 2006, “A company must at all times have a registered office to which all communications and notices may be addressed.” Companies House describes it as “the company’s official address.” The same basic idea appears in other corporate systems: the registry and public authorities need a dependable place to send formal documents and, where applicable, serve legal process.

The registered office is therefore a legal-contact function. It is used for items such as registry correspondence, statutory notices and documents that must be formally delivered to the company. It is not necessarily the place where employees work, customers visit or management decisions are made.

The address must be capable of receiving documents

In the UK, Companies House guidance says an appropriate address is one where a document delivered by hand or post would be expected to come to the attention of someone acting for the company, and where delivery can be recorded by acknowledgement. This means a registered office is not merely a mailbox that nobody monitors.

Before using an address, confirm that:

  • It is in the same UK country in which the company is registered.
  • Someone acting for the company can reasonably be expected to see delivered documents.
  • Hand delivery and postal delivery can be recorded or acknowledged as required.
  • Mail is monitored and routed promptly to the company’s responsible people.
  • The owner or professional provider has authorised the company to use the address.

Other jurisdictions set their own requirements for opening arrangements, representatives, provincial or state location and notification of changes. A professional address is useful only when it satisfies the rules that apply to that particular company.

Headquarters and registered office compared

Question Corporate headquarters Registered office
Primary purpose Run and manage the business Receive formal communications, notices and service
Main test Whether central administration and management occur there Whether the address meets statutory delivery and service rules
Must employees work there? Usually the main operational centre, although structures vary No; employees need not work there
Is it a registry concept? Not inherently Usually recorded with the corporate registry
Is it public? Not automatically because it is HQ Visibility depends on local law; in the UK it appears on the Companies House register
Can a provider supply it? Not as a substitute for actual management activity Yes, an accountant, solicitor, agent or other provider may supply it where local rules permit and the address remains compliant
Can the addresses differ? Yes Yes; the legal address may be elsewhere

Can a company’s registered address differ from where it works?

Yes. The registered office can be separate from the headquarters, branch offices, warehouse or home-based working location. The European Parliament’s study of company law describes the registered office as the official address in the incorporation state and the head office as the more substantive place where operations are conducted and managed. A company can therefore be incorporated in one place while operating elsewhere, subject to the applicable jurisdiction’s rules.

For example, a technology company could make strategic and staffing decisions from a headquarters in Manchester while appointing a solicitor in London to provide a compliant registered office for statutory notices. The solicitor’s address would handle the legal-contact role; it would not become the technology company’s management centre merely because it appears on the register.

Separating the addresses can be useful when founders work from home, when the management team moves between cities, or when the company operates across borders. It also creates an administrative obligation: the company must ensure that every notice received at the registered office reaches the people responsible for acting on it.

United Kingdom: the rules that matter

Same UK country as registration

A UK company must maintain a registered office in the same UK country in which it is registered. The address requirements are therefore tied to whether the company is registered in England and Wales, Scotland or Northern Ireland. A headquarters in another UK country, or outside the UK, does not by itself replace the required registered office.

Public visibility on Companies House

The registered-office address is public on the Companies House register. Using a home address can therefore expose that address to anyone searching the company record. Companies House says a company seeking greater privacy may use another address, such as an accountant’s or solicitor’s address, with permission and subject to the appropriate-address rules.

Privacy does not remove the duty to receive documents. A provider must be able to bring delivered items to someone acting for the company and support the required acknowledgement of delivery. Before appointing one, check the provider’s authority to use the premises, mail-forwarding process, handling of hand-delivered documents and arrangements for urgent notices.

What the headquarters label does not change

Calling an office “headquarters” does not make it the registered office, and calling a provider’s premises the registered office does not make it the headquarters. The two addresses may be identical, but the company should keep its internal records clear about which location performs each role and which address appears in filings and public records.

Australia: a registered office has its own availability requirements

Section 601CT of Australia’s Corporations Act 2001 requires a registered body to have a registered office in the jurisdiction where communications and notices may be addressed. The provision also includes specified opening arrangements and requires a representative to be present when the office is open. Those requirements illustrate why an address that merely accepts occasional mail may be insufficient.

An Australian company or registered body should verify the applicable jurisdiction, the required hours or opening arrangements and who must be available to receive documents. Its operational headquarters can be elsewhere, including in another state or country, but the registered-office arrangement must satisfy the Australian rules that apply to its registration.

Canada: the province in the articles controls the registered office

Section 19 of the Canada Business Corporations Act requires a corporation to have a registered office in the province specified in its articles and to notify the Director of changes. The registered office is therefore connected to the province identified in the corporation’s constitutional documents, not simply to the city where executives happen to work.

A Canadian corporation moving its management team, opening a new headquarters or adopting remote work should distinguish that operational change from a registered-office change. If the legal address changes, the corporation must follow the applicable notice process. Provincial corporations can have additional rules, so the federal requirement should not be treated as a universal rule for every Canadian entity.

How to choose between using one address or two

Use the same address when

  • The headquarters is in the correct jurisdiction for registration.
  • The premises can reliably receive postal and hand-delivered legal documents.
  • Someone acting for the company will monitor the address and acknowledge delivery.
  • Public disclosure of the location is acceptable to the owners and occupants.

Use separate addresses when

  • The management team works from a different city or country.
  • The founders do not want a home address displayed on a public register.
  • The operating premises are not suitable for formal service or are not in the required jurisdiction.
  • An authorised accountant, solicitor or agent can provide a compliant registered office and dependable mail handling.

Separating the addresses is not a way to avoid local company-law obligations. The registered office still has to meet the local test, and the company remains responsible for responding to documents delivered there.

Practical setup checklist

  1. Identify the company’s registration jurisdiction. Confirm the country and, where relevant, the UK country, Australian jurisdiction or Canadian province that controls the address rules.
  2. Define the operational headquarters. Record where central administration and essential management decisions actually occur. Do not select an address solely because it is convenient for mail.
  3. Test the proposed registered office. Ask whether a hand-delivered or posted document would reach someone acting for the company and whether delivery can be acknowledged or recorded.
  4. Obtain permission. If an accountant, solicitor, agent or other provider supplies the address, secure its consent and document the service arrangement.
  5. Check public disclosure. In the UK, assume the registered-office address will be visible on Companies House. Decide whether that is acceptable before filing.
  6. Set up mail controls. Nominate a person or team to monitor the address, scan or forward documents securely and escalate urgent notices to management and legal advisers.
  7. Record the address accurately. Use the format required by the relevant registry and ensure the address is in the permitted jurisdiction.
  8. Plan for moves. When headquarters or the registered office changes, check the registry’s current change-of-address procedure and make the required notification rather than relying on postal redirection.
  9. Review the arrangement periodically. Confirm that the provider still has authority, the premises remain accessible and mail is being acknowledged and forwarded without delay.

Common mistakes and how to correct them

Mistake: assuming the registered office must be the busiest workplace

Correction: The registered office is judged by legal-contact and delivery requirements, not by the number of employees present. It can be a professional address if the local rules permit that arrangement.

Mistake: treating a mailbox as sufficient

Correction: In the UK, the address must be one where documents would be expected to come to someone acting for the company and where delivery can be acknowledged. Confirm those capabilities before using the address.

Mistake: using a home address without considering publicity

Correction: Check the registry’s public-disclosure treatment. For a UK company, Companies House publishes the registered-office address. Consider an authorised professional address if privacy is important and the address remains compliant.

Mistake: believing a change of headquarters automatically changes the registered office

Correction: Headquarters is an operational label; the registered office is a filed legal address. Update the registry through the process required by the relevant jurisdiction whenever the registered office changes.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Mistake: assuming one country’s rule applies everywhere

Correction: Use the local rule set. The UK focuses on an appropriate address in the same UK country of registration, Australia includes opening and representative requirements, and Canada ties the registered office to the province specified in the articles and requires notice of changes under the federal statute.

How to handle a legal notice delivered to the registered office

  1. Receive and record it. Note the date, delivery method, sender and any acknowledgement or proof of service.
  2. Secure the original. Preserve the envelope, attachments and delivery details; do not discard or alter them.
  3. Escalate immediately. Send the document to the company secretary, director, internal legal team or external adviser designated for formal notices.
  4. Check response requirements. Read the document for deadlines, hearing dates, filing instructions or requested information. Do not assume that forwarding the document alone satisfies the company’s obligations.
  5. Update internal records. Log who received the notice, who accepted responsibility and what action is due.
  6. Review the address process if delivery failed. If a notice was delayed or missed, investigate monitoring, forwarding and acknowledgement procedures and correct them promptly.

The registered office exists so that formal communications have a dependable destination. A company that chooses a separate professional address must therefore treat mail handling as a core compliance process, not as an optional convenience.

What the distinction means for remote and international companies

Remote work makes the distinction more visible, but it does not change the underlying tests. Executives may make decisions from several locations, while the company keeps one headquarters designation for its central administration and a separate registered office for legal service. A cross-border company may also be incorporated in one country and conduct much of its business elsewhere, as the European Parliament’s study explains.

Do not infer incorporation, tax residence, permanent establishment or regulatory permission solely from either address. Headquarters evidence concerns where management and administration occur; registered-office evidence concerns where official communications can be addressed under company law. Other legal regimes may apply separate tests.

Questions to settle before filing

  • Which jurisdiction’s company law governs the entity?
  • What does that jurisdiction require for location, opening, representatives and acknowledgement of delivery?
  • Will the address be publicly visible, and is that acceptable?
  • Who is authorised to receive documents and how quickly will they reach decision-makers?
  • What is the registry’s current process for reporting a change of registered office?
  • Does the proposed address provider continue to meet the rules if the company’s headquarters, directors or working pattern changes?

Answering those questions keeps the two concepts separate: headquarters identifies the company’s centre of management, while the registered office gives authorities and other parties a legally recognised place to contact it.
