Corporate bonds are loans to companies; U.S. Treasury bonds are loans to the federal government. That difference drives the main trade-off: corporate debt can offer more income for taking company-specific credit risk, while Treasuries generally expose investors to less issuer-default risk but still fluctuate in market value when interest rates move. Neither category is automatically safer, more profitable, or easier to sell in every situation. Compare each bond’s issuer, maturity, yield at its actual purchase price, contractual protections, and trading liquidity before investing.
What a bond is—and what changes between corporate and government debt
A bond is a debt security. You lend money to an issuer, and the issuer promises to pay interest according to the bond’s terms and return the principal at maturity. The issuer may pay a fixed coupon, a variable rate, or another stated form of interest. Your result depends on the price you pay, the cash flows you receive, what happens to market rates, and whether the issuer meets its obligations.
With a corporate bond, the borrower is a company. With a U.S. Treasury security, the borrower is the U.S. Department of the Treasury acting on behalf of the federal government. The U.S. Treasury comparison is the clearest meaning of “government bonds” for this article. State and local municipal bonds, and bonds issued by foreign governments, have different tax, credit, currency, and market characteristics and should not be treated as interchangeable with Treasuries.

Corporate bonds vs. U.S. Treasuries at a glance
| Factor | Corporate bonds | U.S. Treasury bonds |
|---|---|---|
| Issuer | A company raising money for operations, investment, refinancing, acquisitions, or other needs. | The U.S. Department of the Treasury on behalf of the federal government. |
| Main credit risk | The company could miss interest or principal payments, restructure its debt, or enter bankruptcy. | Issuer credit risk is generally viewed as lower than that of corporate issuers, but the securities still have market, inflation, and reinvestment risks. |
| Compensation for risk | Yield may include a spread over comparable Treasury rates to compensate for credit, liquidity, call, and other risks. | Yield primarily reflects prevailing interest rates, inflation expectations, term, and demand for Treasury securities. |
| Contractual protections | Read seniority, collateral, covenants, guarantees, and call or sinking-fund provisions. Recovery in a default depends on the specific legal terms. | Terms are standardized by the Treasury issue; there is no corporate-style seniority or collateral package to analyze. |
| Interest-rate sensitivity | Fixed-rate prices generally fall when market rates rise. Longer maturities and lower coupons usually produce larger price swings. | The same fixed-rate price relationship applies. A Treasury is not price-stable if you sell before maturity. |
| Yield comparison | Compare yield to maturity (YTM) at the price you would actually pay, not merely the coupon or an advertised yield. | Use the same YTM framework and match maturity and cash-flow structure when comparing with a corporate issue. |
| Resale liquidity | Varies widely by issue. A thinly traded bond may require a broker and may sell below a value suggested by models or statements. | Many Treasury issues trade actively, but liquidity still depends on issue, market conditions, size, and the price you accept. |
This table describes tendencies, not guarantees. A heavily traded corporate issue can be easier to sell than an unusual or stressed government security, while a small corporate issue can be extremely difficult to exit.
Credit and default risk: the central difference
How corporate credit risk works
A company’s ability to pay depends on its cash flow, assets, refinancing access, industry conditions, and management decisions. If those weaken, the market may demand a higher yield and the bond’s price may fall even before a missed payment. A default can mean a late payment, a restructuring, bankruptcy, or a negotiated exchange in which investors receive different securities or less than the original principal.
Credit ratings are opinions about relative credit risk. Rating agencies review issuers periodically and can raise, lower, or place ratings on watch. A rating is not a guarantee that a bond will pay, and an unrated issue is not automatically unsafe. Review the issuer’s financial statements, debt maturity schedule, leverage, cash generation, and the specific bond documents when that level of analysis is appropriate.
Seniority, collateral, and covenants change recovery prospects
Two bonds from the same company can have very different outcomes in a restructuring. Senior secured debt may have a claim on pledged assets. Senior unsecured debt generally ranks ahead of subordinated debt but has no specific collateral. Covenants can limit additional borrowing, asset sales, dividends, or transactions that would weaken creditors’ position. Read the offering document or prospectus supplement for the bond’s ranking, guarantees, collateral, make-whole provisions, and covenant package.

Even a senior claim can recover less than par value, and recovery timing may be long and uncertain. Do not treat an investment-grade rating as a promise or a high-yield rating as proof of imminent failure. The SEC’s corporate-bond guidance distinguishes investment-grade debt, which is considered more likely to be paid on time, from non-investment-grade or high-yield debt, which generally offers more interest to compensate for greater risk: SEC Investor.gov guidance.
What Treasury backing does—and does not—solve
Treasury securities are obligations of the U.S. federal government, so their issuer-credit profile differs fundamentally from that of a private company. That does not eliminate every way an investor can lose money. A fixed-rate Treasury bought above or below par can trade at a loss when rates rise; inflation can reduce the purchasing power of its payments; and selling before maturity locks in the market price available at that time.
Interest-rate risk and bond prices
When market yields rise, newly issued bonds offer more attractive rates, so existing fixed-rate bonds generally must fall in price to offer a competitive yield. When market yields fall, existing higher-coupon bonds generally rise in price. The SEC summarizes the relationship in its fixed-income bulletin: “The longer the bond’s maturity, the more time there is for rates to change and, as a result, affect the price of the bond.” See Fixed Income Investments: When Interest Rates Go Up, Prices of Fixed-Rate Bonds Fall.

Why maturity and coupon matter
- Maturity: A 10-year fixed-rate bond normally reacts more to a rate change than a similar 2-year bond because more cash flows are exposed to changing discount rates.
- Coupon: Lower-coupon bonds return more of their value at maturity, making them generally more rate-sensitive than higher-coupon bonds with the same maturity.
- Embedded options: A callable corporate bond can be redeemed by the issuer before maturity. Its price may be capped when rates fall because the issuer can refinance, while its downside can remain when rates rise.
- Credit spread: Corporate prices also move when investors change the extra yield they demand over Treasuries. A company’s bond can fall even if Treasury rates are unchanged when its perceived credit risk increases.
Holding a bond to maturity can reduce the practical importance of interim market quotations because you receive the scheduled cash flows if the issuer pays as promised. It does not remove default risk, inflation risk, call risk, or the opportunity cost of being locked into an unattractive rate. It also does not help if you must sell early.

Returns: coupon, yield to maturity, and the price you pay
Coupon is not your total return
The coupon is the stated interest rate applied to the bond’s face value. If a bond with a $1,000 face value has a 5% annual coupon, its scheduled interest is $50 per year, usually divided into periodic payments. But if you pay $950, $1,050, or a different amount, your return is not simply 5%. The purchase price, accrued interest, reinvestment of coupons, and final principal repayment all matter.
Use YTM for a like-for-like comparison
Yield to maturity estimates the annualized return if you buy at the quoted price, receive the scheduled payments, reinvest interim cash flows at the assumed rate, and hold until maturity. It incorporates both coupon income and the gain or loss between your purchase price and the amount repaid at maturity. YTM is a comparison tool, not a promise: default, an early sale, a call, changing reinvestment rates, taxes, fees, and inflation can change the realized result.

- Expected ability to sell the specific issue without a large price concession.
A higher corporate yield is usually compensation for taking additional credit, liquidity, call, or structural risk. It is not evidence that corporate bonds always outperform Treasuries. There is no universal current yield ranking: the answer changes with maturity, rating, market conditions, and the price at which you can actually trade.

Liquidity: how easy is it to sell?
Liquidity means the ability to sell promptly at a price close to the market value, with a reasonably narrow difference between buying and selling quotes. It is a property of the individual security and the market at that moment, not a permanent label attached to an entire asset class.
Why corporate-bond liquidity varies
Large, frequently issued companies may have many investors and dealers quoting their bonds. Smaller issues, older maturities, unusual structures, or bonds under credit stress may trade infrequently. The SEC notes that an investor may need a broker to sell some bonds and that a thin market may make it difficult to obtain a price reflecting the bond’s value; see What Are Corporate Bonds?.
Why Treasuries are often—but not always—more tradable
Standard Treasury issues are widely followed and commonly traded, which can support tighter quotes in normal conditions. That does not mean every Treasury is easier to sell than every corporate bond, nor does it guarantee a favorable price during market stress. Ask your broker for the current bid, offer, estimated proceeds, and any markup or markdown before placing an order.

Fix the driver behind crashes, sound loss and screen glitchesFind Drivers →Clear out junk files and repair common Windows errorsFree Scan →Questions to ask before buying an individual bond
- When was this issue last traded, and what is the quoted bid-ask spread?
- Is the quote firm or indicative, and for what quantity?
- What markup, markdown, commission, or other transaction cost applies?
- Could a call, tender offer, or sinking-fund payment change the expected maturity?
- What price would I receive if I had to sell during a stressed market?
How to compare two bonds step by step
- Define the issuer. Confirm whether the security is a U.S. Treasury, a municipal or foreign-government bond, or a corporate obligation. For a company, identify the legal issuer and any guarantor.
- Read the security terms. Record coupon type, payment dates, maturity, call and put provisions, sinking funds, conversion rights, seniority, collateral, and covenants.
- Check credit information. Review current ratings from the available agencies, recent rating actions, and the issuer’s financial condition. Treat ratings as opinions that can change, not guarantees.
- Calculate the relevant yield. Use YTM at the executable purchase price. For a callable issue, also examine yield to call and the earliest realistic redemption date.
- Measure rate exposure. Compare maturities and, where available, duration or price sensitivity estimates. Longer maturity and lower coupon generally mean greater sensitivity to rate changes.
- Assess liquidity. Obtain bid and offer quotes for the exact CUSIP or issue, check recent trading activity, and estimate the cost of an early exit.
- Decide how the money will be used. Match maturity to a known cash need and keep emergency funds outside investments that may have to be sold at a loss.
- Document the trade. Save the confirmation showing price, accrued interest, fees, yield, settlement date, and any call assumptions so you can evaluate the position later.
When each type may fit—and when it may not
A Treasury may fit an investor who prioritizes
- Lower issuer-default exposure relative to most corporate borrowers.
- A known federal-government issuer and clearly stated maturity.
- Matching a future dollar liability with a Treasury cash flow.
It may be a poor fit if you cannot tolerate interim price declines, need a return that keeps pace with inflation, or require a very short holding period but choose a long maturity.

A corporate bond may fit an investor who can evaluate
- Whether the additional yield adequately compensates for the issuer’s credit and structural risks.
- The possibility of a downgrade, default, delayed recovery, or a wide resale spread.
- Concentration risk if several bonds depend on the same company or industry.
It may be a poor fit if the money must remain readily available, the issuer’s financial statements are difficult to analyze, or a temporary price decline would force a sale.
Individual bonds versus funds
An individual bond has a stated maturity and a defined contractual claim, assuming the issuer pays. A bond fund or exchange-traded fund owns a portfolio, normally has no single maturity date for your shares, and can distribute income while its share price changes daily. Diversification can reduce the effect of one issuer’s default, but it does not remove interest-rate, credit, liquidity, or market risk. Choose the structure that matches whether you need a specific maturity date, diversification, daily dealing, or professional portfolio management.
Worked comparison example
Imagine a five-year Treasury and a five-year corporate bond with similar payment frequency. The corporate issue offers a higher YTM at the quoted purchase price. That extra yield could compensate for the company’s default probability, a wider bid-ask spread, a call feature, or weaker covenants. It is not a free premium.
If market rates rise after purchase, prices of both fixed-rate bonds may fall. The corporate bond could fall more if investors also demand a larger credit spread. If rates fall, the corporate bond may rise, but a call could limit the gain because the issuer may redeem it and return principal earlier than expected. If you hold either bond to maturity and the issuer pays in full, the interim quotation matters less; if you sell early, the quoted market price determines your result.
Common mistakes and how to avoid them
- Comparing coupons instead of yields: Compare YTM or the appropriate yield-to-worst at the actual price, not the headline coupon.
- Assuming a rating is a guarantee: Ratings can change and do not promise repayment or a particular recovery.
- Ignoring the call date: A callable bond may mature earlier than the date shown in a simple yield comparison.
- Calling every government bond “safe”: Treasuries can lose market value before maturity, and municipal or foreign-government bonds have different risks.
- Assuming diversification creates liquidity: A fund can diversify issuers while its shares still fall in value or face trading spreads.
- Overlooking concentration: Several corporate issues from one sector can behave like one large bet.
- Forgetting inflation and taxes: A positive nominal return can lose purchasing power, and after-tax results differ by account and jurisdiction.
- Using a stale quote: Bond prices and spreads change. Request a current, issue-specific quote before trading.
A practical decision checklist
- Do I need the principal on a specific date?
- Can I hold until maturity, or might I need to sell?
- What loss could I tolerate if rates rise or the issuer is downgraded?
- Does the corporate yield justify its credit, call, and liquidity risks after fees?
- Have I compared the same maturity and cash-flow assumptions?
- Have I read the prospectus, confirmed the issuer, and checked the latest rating information?
- Is this position diversified enough for my overall portfolio?
For personal investment or tax decisions, consider advice from a qualified financial and tax professional who can review your circumstances. The comparison above is educational and does not establish that either security is suitable for a particular investor.
