Short answer: A license gives another party permission to use defined copyright rights while you generally remain the owner. An assignment or other transfer conveys ownership, or specified exclusive rights, to the recipient. In the United States, some grants described as licenses, transfers, or assignments can later be terminated under federal copyright law, but only if the grant, parties, work, dates, and notice procedure satisfy the applicable statute. A license is therefore not automatically short-term, and “reversion” is not an informal cancellation button.
This guide explains the difference under U.S. federal law, how contractual reversion differs from statutory termination, what dates and documents matter, and when professional advice is essential. Other countries use different rules.
Start with the transaction, not its label
Read the operative language in the signed agreement. Headings such as “license,” “assignment,” “transfer,” or “publishing agreement” are clues, not the entire legal analysis. A court may examine the rights actually granted, the parties’ intent, and the governing law.

Make a written inventory of every grant: the specific works, rights and uses, formats and media, territory, exclusivity, sublicensing authority, payment terms, accounting and audit rights, duration, renewal language, termination rights, and any reversion wording. Also identify every grantor, grantee, successor, and later amendment.

What “reversion” means in practice
Creators use reversion to describe rights returning to the creator or heirs. That return can come from different mechanisms:
- Contractual reversion: the agreement itself says rights return when a date, sales threshold, out-of-print condition, milestone, breach, or other event occurs. The clause’s definitions, notice requirements, cure periods, and governing law control.
- Contract expiration: a fixed term ends without a renewal. Check whether existing sublicenses, option periods, or post-term sell-off rights continue.
- Negotiated surrender or release: the parties sign a new document ending or narrowing the grant. Obtain a signed release and update records.
- Statutory termination: an eligible author, heir, or other statutorily recognized party ends a qualifying grant through the federal procedure. This is not ordinary cancellation and has technical timing and notice rules.
An agreement may contain no reversion clause and still be potentially subject to statutory termination. Conversely, a clause promising reversion does not replace the statutory process when federal termination law applies.
Which U.S. termination rule might apply?
The Copyright Office separates the principal provisions by the grant’s history. Determining the right section requires more than the contract’s title.

The January 1, 1978 dividing date comes from the Copyright Office’s overview; it is not a universal cutoff for every copyright issue. The December 2025 compilation of Title 17 contains the controlling statutory text. A lawyer should calculate eligibility for the particular work and grant rather than applying a date rule mechanically.
Section 203 timing: why “getting the rights back” takes years
For a qualifying post-1977 grant, the Copyright Office summarizes long lead times. A notice generally may be served no earlier than 25 years after execution. If the grant covers publication, the earliest service point uses the statutory alternative of 30 years after execution or 25 years after publication, whichever comes first. The effective termination date generally cannot be earlier than 35 years after execution; for a publication grant, the corresponding alternative is 40 years after execution or 35 years after publication, whichever comes first.

The notice must be served within the statutory window—described by the Office as two to ten years before the selected effective date—and the notice must state that effective date. These are minimums and windows, not a promise that termination will succeed. The exact calculation can change with multiple works, separate grants, publication dates, author deaths, or an agreement that covers more than one right.
Do not calculate a deadline from an invoice date, a signature page alone, or a later amendment without confirming which document created the grant. Preserve proof of execution and publication.

Who may terminate, and what can disqualify a grant?
Eligible parties and successors
Section 203 and the pre-1978 provisions assign termination interests to specified authors, heirs, widows or widowers, children, grandchildren, or other successors depending on the facts. Joint authorship can require coordinated action or affect the share needed for a valid termination. An estate plan or assignment of an author’s termination interest may not operate the way a normal copyright transfer does, so identify each statutory claimant.
Work made for hire
The Copyright Office identifies works made for hire as outside the termination provisions discussed here. Whether a work qualifies can be disputed; a contract’s label is not conclusive. Employee-created works and specially commissioned works have different tests, and the written agreement and actual working relationship matter.
Grants made by will
Grants made by will are also identified as outside these provisions. A testamentary transfer and an author’s lifetime grant should not be treated as interchangeable.

Derivative works and existing exploitation
A derivative work prepared under authority of the grant before termination may continue to be used under that grant after termination, subject to statutory limits. Termination generally restricts the making of new derivative works under the old grant; it does not erase every adaptation, translation, recording, or other derivative work already created. Review options, sublicenses, inventory, and release terms before selecting an effective date.

An informal email saying “I want my copyright back” does not complete the federal process. The Copyright Office’s overview and 37 C.F.R. § 201.10 require formal steps.
- Assemble the chain of title. Collect the signed grant, amendments, schedules, side letters, royalty statements, registration information, publication records, and documents showing authorship, heirs, or succession.
- Classify the grant. Decide whether the instrument grants a license, an assignment, or specified exclusive rights. Note whether it covers publication, a particular medium, or multiple works. Determine which termination section could apply.
- Identify the terminating party or parties. Check joint authors, deceased authors, heirs, estates, and any statutory share requirements. Confirm the current grantee and every relevant successor.
- Calculate a lawful effective date. Apply the applicable section’s window and the publication alternatives where relevant. Use the work and grant facts, not a generic anniversary.
- Prepare the notice. The notice must be written and signed, identify the grant and works, state the ownership and authority of the terminating party, name the grantee or successor, and specify the effective date and other information required by the regulation.
- Serve the notice correctly. Deliver it to the grantee or successor within the permitted two-to-ten-year interval (or the interval required by the applicable provision). Keep evidence of service and delivery.
- Record the served notice. The notice must be recorded with the U.S. Copyright Office before the effective date. Recordation is part of the statutory procedure, not an optional filing after termination.
- Preserve a complete file. Keep the signed notice, proof of service, recordation confirmation, calculations, and correspondence. Notify licensees and business partners only after counsel confirms what the effective date changes.
Because a defective notice or missed window can postpone or defeat termination, use counsel experienced in copyright agreements when a live deadline, disputed chain of title, multiple authors, or uncertain work-made-for-hire status is involved.
What happens after a license ends?
First determine why it ended. Expiration, breach termination, negotiated release, contractual reversion, and statutory termination have different consequences.
- Scope: Rights outside the original grant were never transferred and may remain with the owner. Rights inside the grant end only to the extent the contract or statute says they do.
- Existing copies and inventory: A contract may allow a sell-off period or continued distribution of already manufactured copies. Without such language, the parties may dispute what post-term sales are permitted.
- Sublicenses: Check whether sublicenses survive, terminate automatically, or require assignment to the creator. A termination notice directed only to an original grantee may not resolve every downstream agreement.
- Derivative works: Statutory limits can allow continued use of qualifying pre-termination derivatives while restricting new ones. Contractual rules may be narrower or broader where legally enforceable.
- Payments and accounting: Accrued royalties, advances, recoupment, audit rights, and indemnities may survive the end of exploitation. Ending a license does not automatically settle money owed.
Decision framework for creators negotiating a new deal
Choose the control you actually need
Retaining ownership through a license can preserve leverage over future media, territories, and adaptations. A transfer may be appropriate when the counterparty needs ownership-level control or is paying for exclusive rights, but specify whether the transfer covers the entire copyright or only listed exclusive rights.

Define the commercial scope
List each work, format, language, territory, platform, promotional use, and sublicensing power. State whether exclusivity applies to all uses or only named uses. Reserve rights that are not being granted.
Build an exit mechanism
Set a definite term, renewal process, minimum exploitation or reporting obligations, breach cure period, insolvency treatment, and a clear reversion trigger if that is part of the bargain. State what happens to inventory, derivatives, sublicenses, and data after termination.
Negotiate economics without assuming a structure guarantees more
Compare the advance, fees, royalties, accounting frequency, audit rights, deductions, recoupment, and payment conditions. Neither a license nor a transfer inherently pays more; the economics depend on the negotiated scope, market, risk, and enforcement terms. No representative statistic establishes that creators obtain reversion at a particular rate or that one structure consistently outperforms the other financially.
Confirm governing law and dispute forum
Identify the state or country law governing the contract and the forum for disputes. The federal termination rules described here are U.S.-specific and do not establish rights in another country.
Contract review checklist
- Signed date and effective date of every grant and amendment.
- Author, joint-author, employer, estate, grantee, and successor identities.
- Whether the work is claimed to be made for hire and the factual basis for that claim.
- Work titles, registration numbers if available, versions, and publication dates.
- Rights granted: reproduction, distribution, public performance, display, digital uses, adaptation, and other exclusive rights.
- Exclusive versus nonexclusive status, territory, language, media, platforms, and sublicensing.
- Term, renewal, options, milestones, minimum exploitation, and contractual reversion events.
- Termination-for-breach procedure, notice address, cure period, and post-termination sell-off.
- Advances, royalties, deductions, accounting schedule, audit period, and outstanding balances.
- Derivative works, existing adaptations, licenses already issued, and treatment of future versions.
- Governing law, dispute forum, confidentiality, indemnity, and survival clauses.
Common mistakes and how to avoid them
Assuming a license is automatically temporary
A license can run for the full copyright term, renew automatically, or be irrevocable within its stated scope. Look for a real end date or enforceable termination trigger.

Assuming an assignment eliminates all future rights
Some assignments or exclusive grants can be subject to U.S. statutory termination if the facts fit. Conversely, not every transfer qualifies. Analyze the statute and parties.
Using the wrong anniversary
Section 203 calculations can use execution and publication alternatives. A contract signing, first public announcement, and first authorized publication may be different events.
Sending notice to an old address
Identify the current grantee or successor and retain delivery evidence. Service and recordation defects are procedural failures, not minor formatting issues.

Termination interests can be divided among statutory successors. Obtain a complete family and estate picture before signing a notice or settlement.
Believing termination erases every downstream use
Existing derivative works and other uses may be protected or continued under statutory limits or contract language. Inventory what was created before the effective date.
When to obtain legal advice
Consult a copyright attorney before sending a notice or signing a release when the effective-date window is approaching, ownership is disputed, the grant covers multiple works or authors, a successor has acquired the business, the work may be made for hire, or a derivative-work and sublicense chain is extensive. Bring the complete signed agreement and amendments, publication and registration information, payment records, and estate documents. Counsel can distinguish a contractual claim from a federal termination claim and calculate the notice and effective dates for the specific grant.
Bottom line for creators
A licensing agreement usually leaves copyright ownership with the creator; an assignment or transfer conveys ownership or specified exclusive rights. Neither label alone answers whether rights can later return. Under U.S. law, contractual reversion and statutory termination are separate mechanisms, and statutory termination depends on the applicable section, grant date, authorship, work status, notice window, service, and Copyright Office recordation. Preserve the documents, map every right and successor, and treat a deadline or disputed chain of title as a legal matter rather than an ordinary contract cancellation.
