Before buying a construction company, prove four things from original records: the reported backlog is executable and profitable, bonding can continue after closing, safety liabilities and records are controlled, and open claims are quantified. A signed backlog total or management summary is not evidence by itself. Reconcile contracts to work-in-progress (WIP), cost-to-complete reports, receivables and cash; obtain surety and customer consents; review OSHA and workers’ compensation records; and price every unresolved dispute in the purchase agreement.
What the diligence process must establish
A construction acquisition transfers more than equipment and employees. It may transfer obligations to owners, subcontractors, laborers, regulators, insurers and sureties. The buyer should be able to answer, for every significant project:
- What work is legally committed, and can the contract be transferred or continued under new ownership?
- What revenue and gross margin remain after realistic cost-to-complete estimates?
- What bonds, indemnities, collateral and personal guarantees support performance?
- What safety, wage, environmental or record-retention obligations survive closing?
- What claims, notices or schedule events could consume cash or delay completion?
Use a data room organized by contract, project, employee-safety record, bond and claim. Require source documents rather than screenshots or an aggregated spreadsheet. Where a figure cannot be tied to an executed document and current project controls, classify it as unverified.
Workstream 1: Verify backlog quality and transferability
Build a contract-by-contract backlog schedule
Request every prime contract, subcontract, purchase order, bid, proposal, approved change order and related claim record. For each job, record at least:

- Customer, owner and the target’s role as prime contractor or subcontractor.
- Original contract value, current authorized value and remaining value.
- Estimated cost to complete, forecast gross margin and margin at inception.
- Percent complete, major milestones, contractual completion date and current forecast.
- Liquidated-damages terms, retainage rate and amount, payment status and aging.
- Pending, disputed or unapproved changes and the amount management expects to recover.
- Termination, suspension, default, assignment and change-of-control clauses.
- Required owner, lender, government or prime-contractor consents.
Reconcile each schedule line to the signed agreement, amendments, approved changes, WIP ledger, cost-to-complete report, accounts receivable, retainage subledger and cash receipts. Investigate differences instead of allowing management to net them into a single backlog number. A contract shown as 70% complete should produce supportable costs incurred, billings, retainage and collections consistent with that percentage.
Separate firm work from conditional work
Classify backlog into executed and funded work, executed work subject to a condition, approved but unsigned changes, options, letters of intent, apparent awards and pipeline. Only the first category should be treated as firm backlog unless the relevant condition is documented and likely to be satisfied. An unsigned award or management forecast is not a contract asset.
Stress-test the remaining work
Model backlog under realistic downside cases rather than relying on one margin forecast. Test:

- Remaining duration, milestone slippage and the effect of late completion.
- Material, labor and equipment cost escalation against contractual adjustment rights.
- Dependence on disputed or unapproved change orders.
- Cost-to-complete variance between the latest estimate and prior monthly forecasts.
Review original estimate, current estimate and actual cost by major cost code. A small remaining revenue balance can still hide a large loss if the remaining work is labor-intensive or subject to liquidated damages. Compare forecast margin with realized margin on completed projects of the same type; do not treat an industry-wide conversion percentage as a substitute for target-specific evidence.

Backlog red flags and follow-up
| Finding | Why it matters | Required follow-up |
|---|---|---|
| Large share of backlog is options, unsigned awards or unapproved changes | Revenue may never become enforceable work | Remove it from firm backlog and obtain written authorization or customer evidence |
| Current value differs from the signed contract | Management may be counting unauthorized scope | Trace every increase to an executed amendment or approved change order |
| Receivables and cash receipts lag billed work | Profit may not convert to cash; a dispute or collectability problem may exist | Confirm customer statements, aging, retainage and subsequent receipts |
| Forecast cost rises while reported margin stays constant | Losses or overruns may be deferred | Reperform the cost-to-complete forecast with project management and accounting |
| Assignment or change-of-control consent is missing | Closing could trigger termination or a contractual default | Obtain consent before signing or make it a closing condition |
Workstream 2: Confirm bonds and surety capacity
Know what each bond secures
Under the Federal Acquisition Regulation, a performance bond is a written instrument securing fulfillment of the contractor’s obligations. A payment bond assures payment obligations to labor and material suppliers. The Miller Act generally requires performance and payment bonds for federal construction contracts exceeding $150,000. That threshold applies to federal construction contracts; state, local and private projects can impose different requirements.
Collect the complete bond file
For every bonded project, obtain the executed bond, obligee, penal sum, surety, power of attorney, underwriting correspondence, indemnity agreement, collateral schedule and claims history. Identify who signed indemnities, whether owners or affiliates guaranteed obligations, and whether cash, letters of credit or marketable securities are pledged. Match the penal sum and obligee to the underlying contract and current authorized value.
Test whether the program survives a sale
Ask the surety in writing whether a change in ownership, control, legal entity, name, guarantor or assignment requires consent, a new indemnity or replacement bonds. Confirm the surety is acceptable for the relevant public or private obligee and that the buyer’s balance sheet, credit, management experience and work history support continuation. A target’s unused capacity is not automatically available to the buyer.

Federal Acquisition Regulation Subpart 28.2 addresses adequate bond security, Treasury-listed corporate sureties, valuation of individual-surety assets, substitution and security periods after completion. Review those requirements when federal work is involved and verify the current obligee instructions rather than assuming a bond can simply be reissued.

Measure capacity and collateral pressure
Prepare a schedule showing each outstanding penal sum, bonded backlog, remaining duration, indemnitor, collateral posted and open bond claim. Then obtain the surety’s written view of single-job and aggregate capacity after closing. Model the cash effect of collateral calls, retained funds, disputed progress payments and a requirement to replace bonds. Include release dates and post-completion obligations so collateral is not treated as immediately recoverable.
Workstream 3: Examine safety history and successor obligations
Pull regulator and internal safety records
Request OSHA inspection and citation histories, abatement evidence, incident and near-miss logs, OSHA 300 and 301 records where applicable, workers’ compensation loss runs, experience-modification data, training records, written safety programs, competent-person designations, site safety plans and open corrective actions. Reconcile citations to abatement certificates, invoices, photographs, revised procedures and responsible managers. An “ abated” notation without evidence should remain an open diligence item.
Evaluate controls, not just citation counts
OSHA focused-inspection guidance prioritizes hazards most likely to cause fatalities or serious injuries and calls for a project safety and health plan containing hazard analysis, procedures and assigned responsible individuals. For each active project, verify that the plan exists, is current, is communicated in toolbox talks or equivalent training, and identifies who can stop unsafe work. Review recurring findings by hazard, project manager and subcontractor; recurrence is more informative than a single citation count.

Preserve medical and exposure records after an asset deal
If an asset acquisition leaves substantial continuity of operations, OSHA treats the successor employer as subject to access and retention requirements for medical and exposure records. Preserve the records in a usable index, protect employee confidentiality, and state in the purchase agreement who will retain them, respond to employee or regulator requests, and fund storage and retrieval. Do not assume that an asset purchase eliminates historical record duties.
Price workers’ compensation exposure
Obtain five-year loss runs, open reserves, paid amounts, claimants’ employment status, return-to-work plans and experience-modification calculations. Tie large claims to incident reports, OSHA records, insurance notices and any third-party liability action. Ask the carrier how ownership or payroll changes affect retrospective premiums, audits and open-claim administration.

Test whether claims and payment requests are supported and truthful. The Kaufman & Canoles annotated checklist specifically calls for reviewing claims, protests, equitable adjustments, cure and show-cause notices, stop-work and termination notices, warranty claims, OSHA and wage-compliance records and related correspondence. It warns that pending or potential protests can alter projected revenue and cost, and that reviewers should test claims and payment requests for false or fraudulent content. Escalate unexplained inconsistencies to construction counsel and forensic accounting professionals.
Check liens, releases and closeout
For each project nearing completion, verify conditional and unconditional lien waivers, subcontractor payment status, bond-claim releases, punch-list obligations, warranty periods and final acceptance. A project can appear profitable while unresolved supplier or subcontractor claims consume retainage or trigger a payment-bond demand.
Compare targets with a common decision framework
Use the same evidence-based scorecard for every candidate. Avoid a single composite score that hides a fatal transfer problem.
| Dimension | Questions to answer | Evidence |
|---|---|---|
| Firm backlog | How much is executed, funded and transferable? | Contracts, amendments, consents, WIP and receipts |
| Concentration | Could one customer, region or project type disrupt the plan? | Backlog by customer, geography, type and duration |
| Margin resilience | Do cost-to-complete forecasts withstand escalation and delay? | Estimate-to-actual history, cost codes and schedule updates |
| Surety position | What penal sums, indemnities, collateral and unused capacity remain? | Bond files, indemnity agreements and written surety confirmation |
| Safety maturity | Are severe or recurring hazards controlled and documented? | OSHA history, abatement, audits, training and safety plans |
| Claims adequacy | Are reserves, insurance responses and schedule impacts realistic? | Five-year claims schedule, legal files, notices and ledger tie-out |
| Transferability | Will contracts, licenses, insurance and key-person relationships continue? | Consent matrix, licenses, policies and customer communications |
No universal acquisition benchmark establishes acceptable backlog conversion, construction-claims frequency or OSHA rates. Public-company disclosures often state that construction is inherently dangerous and that surety capacity depends on credit rating, financial condition, past performance, market capacity and underwriting practices. Use those factors as diligence questions, not as a substitute for the target’s verified records.
Closing checklist and purchase-agreement protections
- Freeze the data set. Obtain the latest WIP, backlog, receivables, cash receipts, schedule updates, claims register and safety records immediately before signing.
- Complete the consent matrix. List every customer, prime, lender, government agency, surety, insurer and licensing authority whose approval is required for ownership or assignment changes.
- Reperform high-risk forecasts. Independently test cost to complete, liquidated damages, retainage collectability, disputed changes and schedule recovery plans on the largest or lowest-margin jobs.
- Get written surety answers. Confirm continuation, replacement requirements, indemnity releases, collateral treatment and post-completion security.
- Verify safety closure. Match every material citation and corrective action to evidence of abatement, and establish medical and exposure-record custody.
- Quantify claims. Set reserves or purchase-price adjustments for open disputes, warranty work, liens, bond claims, workers’ compensation and possible fraud or wage violations.
- Draft targeted protections. Use specific representations, survival periods, covenants, escrows, special indemnities and closing conditions for identified exposures rather than relying only on a general indemnity.
- Plan post-close controls. Assign owners for customer notices, bond renewals, safety reporting, claim tender, record retention, lien releases and WIP reforecasting on day one.
The transaction is ready only when the buyer can trace firm backlog to enforceable contracts, maintain required bonds without unacceptable collateral strain, preserve safety and exposure records, and absorb or transfer quantified claims. Any item that cannot be verified should be treated as a price, escrow, covenant or closing-condition issue—not as assumed upside.
