Character Technologies Inc., the company behind Character.AI, says it has filed for voluntary Chapter 11 bankruptcy in Delaware to run a sale process. Disney Worldwide Services is the proposed “stalking-horse” bidder for a non-exclusive, perpetual license to certain company intellectual property and claims, with $20 million in stated consideration plus transition services. This is not a completed sale of Character.AI or an announced purchase of the entire company: higher or better offers may be considered, and the court process is still underway.
What Character.AI has proposed to sell
The agreement announced October 12, 2026, covers a license to certain intellectual property and certain claims belonging to Character Technologies. The license is described as non-exclusive and perpetual. The announcement does not identify the specific intellectual property or claims included, so it does not establish that Disney would own Character.AI, acquire all of its assets, or receive an exclusive right to the licensed material.
The stated consideration is $20 million, along with transition services involving former Character.AI employees whom Disney has hired. The figure applies to this proposed transaction; it is not a reported valuation or sale price for the whole company. The announcement does not provide a separate dollar value for the transition services.

Why Disney is called a stalking-horse bidder
A stalking-horse bidder provides a starting offer for a bankruptcy sale process. Character Technologies says its agreement with Disney is subject to higher or better offers under section 363 of the U.S. Bankruptcy Code. That means Disney’s proposal is not necessarily the final transaction: another qualified offer could affect the outcome. The company has also filed a motion seeking approval of bidding procedures. Filing that motion is not the same as the court approving the procedures, approving a final sale, or a transaction closing.

No competing offer is established in the company announcement and Reuters report available as of October 13, 2026. The ultimate buyer, final terms, and whether a transaction will close therefore remain unsettled.
What the Chapter 11 filing means for the platform
Character Technologies says it voluntarily filed its Chapter 11 case in the U.S. Bankruptcy Court for the District of Delaware to facilitate a value-maximizing sale process for all or substantially all of its assets. That broader stated purpose should not be confused with the narrower scope of the proposed Disney license: the company is pursuing a sale process, while Disney’s announced bid concerns specified, but not itemized, rights and claims.

The company says it intends to keep operating Character.AI during the sale process. It also says that if the process does not produce a purchase that provides for the platform’s continuation, the platform will be wound down. The announcement does not say that a shutdown has been scheduled; continuation depends on the result of the process.

Under its proposed bidding procedures, Character Technologies anticipated completing the sale process and closing any resulting transactions in late November or early December 2026. This is a proposed timetable, not a confirmed closing date or a report that the sale has been completed. Court action, later bids, or other developments could change the schedule.

The information announced so far does not explain how individual accounts, chat histories, user-created characters, or personal data would be handled. It would be premature to conclude that these would transfer to Disney, remain unchanged, or be deleted. The announcement also does not identify the licensed assets in detail, report a ruling on the bidding-procedure motion, or confirm the outcome of the sale process.

Because both the filing and the proposed sale process are current developments, later court filings or company updates may change the status, terms, or expected timing described here.
