For most large enterprises, a hybrid model is the most workable starting point: set risk appetite, minimum controls, inventory rules, approval thresholds and escalation centrally, while business and product teams handle contextual assessment and daily operation. Neither a fully centralized nor a fully federated structure is universally superior.
The right design depends on which decisions must be consistent everywhere and which require knowledge of a particular workflow, customer group, data set or jurisdiction. The National Institute of Standards and Technology (NIST) AI Risk Management Framework (AI RMF) defines governance outcomes and lifecycle practices, but it does not require a specific organization chart.
What centralized and federated AI governance mean
Centralized governance
A centralized model places most AI policy, risk review, approval and monitoring authority in an enterprise function. That function might report to the chief risk officer, chief information officer, legal department or an executive AI committee. Business units submit use cases to the center, which applies common criteria and records decisions.

Centralization is strongest when the enterprise needs one interpretation of policy, a complete portfolio view or scarce specialist expertise concentrated in one place. It can also create a single escalation path for issues that cross business lines. The trade-off is capacity: if every low-risk experiment waits for the same reviewers, the center becomes a queue and teams may work around it.

Federated governance
A federated model gives business units, product groups or regional entities substantial authority to assess and operate their own AI systems. A central team supplies guardrails, shared tools and assurance, while local teams make many approval and monitoring decisions.
Federation keeps decisions close to the people who understand the users, affected individuals, data provenance and operational consequences. It can shorten review time and support different sector or country requirements. Without common definitions, however, two units may classify similar systems differently, keep incompatible records or apply very different challenge standards.
Hybrid governance
Hybrid governance separates non-delegable enterprise decisions from contextual execution. The center owns the policy baseline, risk taxonomy, inventory schema, minimum controls, escalation rules and reporting. Named owners in each business or product team document intended use, assess impacts, implement controls and monitor performance. Delegated authority is explicit: teams know which decisions they may make and which require central or executive approval.

NIST AI RMF 1.0 (2023) organizes risk management around four functions: Govern, Map, Measure and Manage. Governance is cross-cutting and continuous throughout an AI system’s life, rather than a one-time sign-off before launch. NIST says organizations can adapt the functions to their needs, resources and capabilities.
“Attention to governance is a continual and intrinsic requirement for effective AI risk management over an AI system’s lifespan and the organization’s hierarchy.”

— National Institute of Standards and Technology, AI RMF 1.0, Section 5 (2023)
The framework’s Govern outcomes call for transparent policies and procedures, roles and communication paths, executive accountability, training, risk-tolerance-based controls, an AI inventory, monitoring and review, and management of third-party risks. Those outcomes can be implemented through centralized, federated or hybrid reporting lines.

Centralized and federated models compared
| Decision axis | More centralized arrangement | More federated arrangement | Question to settle |
|---|---|---|---|
| Policy consistency | One team sets common requirements and interpretations. | Units apply shared standards locally; differences need an arbitration process. | Which controls must be identical across every entity and jurisdiction? |
| Local context | Central reviewers need structured input from operational teams. | Domain teams understand users, data, workflow and potential harms directly. | Who knows how the system will affect real decisions and affected people? |
| Portfolio visibility | A central inventory and review office can provide an enterprise view. | Visibility depends on reliable reporting into a common inventory. | Can every unit register systems and update records when use changes? |
| Speed | Review is consistent but can become a bottleneck if every case follows one path. | Low-risk decisions can move quickly, but inconsistent interpretations may emerge. | Which tiers require prior approval, and which use delegated authority? |
| Accountability and challenge | A central function can provide clear escalation and independent challenge. | Responsibility is close to implementation, but conflicts of interest need controls. | Who can stop deployment, approve an exception or escalate a concern? |
| Specialist capacity | Scarce legal, security, privacy or model-risk expertise is concentrated. | Skills are distributed and closer to work, but training may be uneven. | Where is expertise scarce, and how will local practitioners be supported? |
These are design criteria derived from the AI RMF’s requirements for policies, inventory, accountability, communication, risk tolerance, training and lifecycle management. NIST has not published a controlled comparison showing that one arrangement performs better than the other.

| Decision | Enterprise owner | Local owner or contributor | Escalation trigger |
|---|---|---|---|
| Risk appetite and prohibited uses | Executive leadership, with board-level oversight where appropriate | Business and legal representatives provide impact information | Material change to enterprise risk tolerance or a potentially prohibited use |
| AI policy and minimum controls | Central AI governance or risk function | Security, privacy, procurement, engineering and business teams test practicality | Control cannot be met, or a jurisdiction requires a stricter rule |
| System inventory and taxonomy | Central function owns the schema and reporting | Product or system owners create and maintain records | Missing owner, stale record or unregistered deployment |
| Low-risk use-case approval | Central function defines criteria and sampling | Delegated business owner approves within the criteria | Use, data, users or performance moves outside the approved boundary |
| High-impact or high-risk approval | Cross-functional central committee and accountable executive | Product owner supplies context, testing and mitigation evidence | Unresolved harm, weak evidence, material residual risk or exception request |
| Operational monitoring | Central function sets metrics, cadence and reporting format | Local team runs monitoring and investigates abnormal results | Drift, incident, complaint, control failure or material use change |
| Third-party procurement | Central procurement-risk process defines due diligence | Requesting unit documents intended use and supplier dependency | Opaque model, unacceptable contract terms or no contingency path |
| Exceptions | Central authority records and time-limits exceptions | Local owner explains necessity and compensating controls | Exception affects multiple units, rights or enterprise risk appetite |
This map prevents a common failure in which responsibility is “delegated” but nobody retains authority to challenge a decision. Delegation should name the person who remains accountable for the outcome, even when another team performs the assessment.
A practical hybrid operating model
1. Give executives and the board the risk mandate
Executive leadership should approve the enterprise AI risk appetite, receive portfolio and incident reports, and decide on material escalations. A board committee can be integrated with existing enterprise-risk oversight when AI could affect customers, employees, safety, financial reporting or regulatory obligations. The board does not need to review every model; it needs visibility into exposure, exceptions and whether management has effective controls.
2. Establish a central AI governance or risk function
The central function should maintain the policy baseline, risk taxonomy, minimum control library, inventory requirements, review cadence, exception process, training curriculum and portfolio reporting. It should coordinate with legal, privacy, security, procurement, compliance, internal audit and enterprise risk rather than attempting to replace those functions.
Central staff should publish decision templates and examples so that local teams can complete reviews consistently. They should also sample delegated approvals and recalibrate criteria when recurring errors appear.
3. Name accountable owners in every business and product team
Each system needs a named owner with authority over its intended use, data, suppliers, controls and retirement. That owner documents the users and affected groups, purpose, inputs, outputs, human role, known limitations and operating environment. The team implements mitigations, monitors results, reports incidents and triggers reassessment when the system or its context changes.

4. Add independent challenge for consequential cases
For higher-impact systems, separate development from testing or arrange an independent review by a qualified risk, audit, safety, privacy or security function. Independence does not require a separate department for every project; it requires that the person approving residual risk is not simply accepting their own unchecked work.
5. Make exceptions visible and temporary
An exception record should state the requirement being waived, business justification, affected systems or jurisdictions, compensating controls, approving authority, expiry date and review date. Permanent exceptions usually indicate that the baseline is unrealistic or that risk appetite has changed; both conditions deserve an explicit policy decision.
Use risk tiers to prevent a review queue
A tiered workflow allows central oversight without forcing identical treatment of a spelling assistant and a system that influences employment, credit, healthcare or safety decisions. The exact labels are an enterprise choice; the evidence and approval threshold should be documented.
- Intake: The requesting team registers the proposed system before production use, including purpose, owner, users, data sources, model provider, deployment location and whether it makes or supports decisions about people.
- Initial classification: Apply the enterprise taxonomy to estimate impact, scale, autonomy, sensitivity of data, reversibility of decisions, exposure to vulnerable groups and dependency on an external provider.
- Context mapping: The local owner describes the workflow, affected people, expected benefits, foreseeable misuse, human oversight and alternatives. This is where domain knowledge is indispensable.
- Control assessment: Security, privacy, quality, fairness, transparency, accessibility, resilience and records-management controls are assessed according to the tier. Evidence can include testing results, data documentation, supplier terms, fallback procedures and user notices.
- Independent challenge: A reviewer who was not solely responsible for development checks assumptions, test design, residual risk and the proposed monitoring plan for higher tiers.
- Approval: Delegated owners approve low-risk cases within published criteria. A central cross-functional committee and accountable executive approve high-risk or high-impact cases, with legal and regulatory review where required.
- Deployment with conditions: The approval record states the permitted purpose, users, data, performance bounds, human intervention requirements, monitoring cadence and conditions that invalidate approval.
- Monitoring and reassessment: The operating team reviews performance, complaints, incidents, drift, data changes, supplier changes and unexpected impacts. A material change returns the system to classification and approval.
- Retirement: The owner documents shutdown, data retention or deletion, user communication, replacement arrangements and lessons for the inventory.
High-risk approval should not be an informal email from the project sponsor. It should be a recorded decision by an authority with sufficient independence, access to the evidence and power to delay or stop deployment.

- One taxonomy: Define common terms such as AI system, model, high impact, incident, material change, human oversight and third-party component.
- One inventory schema: Require the same minimum fields, owner, lifecycle status, use case, data categories, supplier, risk tier, approval date and next review date from every unit.
- One control baseline: Publish mandatory controls and identify where a unit may add stricter safeguards for local law or risk.
- One evidence standard: Specify acceptable testing, documentation and sign-off artifacts for each tier.
- One escalation route: Give employees, customers and local teams a way to report harm or challenge a decision without going through the project owner alone.
- Common training: Train owners and reviewers on policy, documentation, incident handling, bias and limitations; add domain modules where risks differ.
- Assurance sampling: The center periodically reviews local decisions, compares classifications across units and publishes corrective actions.
- Shared tooling: Provide templates, inventory services, monitoring dashboards and approved integration patterns so compliance is easier than creating a parallel process.
Third-party AI requires local procurement controls
Supplier systems may be opaque, change without notice or operate under a risk tolerance different from the deploying enterprise’s. Procurement review should therefore be part of the use-case workflow, not a final contract checkbox.

Questions to answer before purchase or integration
- What model, data, version and hosting arrangement will be used, and can the supplier change them unilaterally?
- What documentation covers training data, limitations, testing, security, privacy, accessibility and known incidents?
- Can the enterprise obtain logs, performance information and notice of material changes?
- What contractual rights support audit, incident notification, data deletion, subcontractor visibility and termination?
- What happens if the service is unavailable, withdrawn, materially changed or found unsuitable?
The requesting business owner remains accountable for the use in the enterprise’s workflow even when a supplier operates the model. A contingency plan should identify manual fallback, alternate service or safe shutdown, with an owner and test date.
Failure modes and corrective design
When centralization fails
| Symptom | Likely cause | Correction |
|---|---|---|
| Reviews take months for routine experiments | Every case follows the highest scrutiny path. | Introduce risk tiers, delegated low-risk authority and service-level targets. |
| Central reviewers cannot judge operational impact | Business context arrives late or in a generic form. | Require a named local owner and contextual impact assessment at intake. |
| Teams build unregistered tools | The process is perceived as punitive or inaccessible. | Offer a lightweight registration path, clear benefits and safe escalation. |
| One committee becomes a single point of failure | Scarce specialists are required for every decision. | Train distributed reviewers and reserve central capacity for high-impact cases. |
When federation fails
| Symptom | Likely cause | Correction |
|---|---|---|
| Similar systems receive different risk ratings | Terms and thresholds are interpreted locally. | Publish examples, calibrate reviewers and use central sampling. |
| The inventory is incomplete | Reporting is voluntary or ownership is unclear. | Make registration a deployment gate and assign system owners. |
| Local teams approve their own exceptions | Delegated authority has no independence requirement. | Reserve material exceptions for central or executive approval. |
| Skills vary sharply between units | Training and specialist access are uneven. | Provide common training, office hours and escalation to specialists. |
Implementation roadmap for a large enterprise
First 30 days: establish authority and visibility
- Appoint an executive sponsor and publish who is accountable for AI risk.
- Define interim prohibited uses, risk appetite and an escalation channel.
- Collect an initial inventory, including pilots, embedded vendor features and locally purchased tools.
- Identify existing legal, privacy, security, model-risk, procurement, audit and safety processes that AI governance must connect to.
Days 31–60: design the operating baseline
- Approve the taxonomy, risk tiers, minimum controls and inventory fields.
- Write decision-rights matrices for low-, medium- and high-impact use cases.
- Create intake, assessment, exception, incident and reassessment templates.
- Train local owners and reviewers; provide a route to specialist advice.
- Define monitoring metrics and the evidence required at each approval tier.
Days 61–90: pilot and calibrate
- Run the workflow on a representative set of systems from different business units and risk tiers.
- Compare classifications and review times; correct ambiguous definitions.
- Test an incident escalation and a third-party contingency plan.
- Have an independent assurance function sample approvals and report gaps to the executive sponsor.
After 90 days: operate as a lifecycle capability
Set recurring inventory attestations, control reviews, training refreshes, supplier reassessments and executive reporting. Revisit the model when the enterprise enters a new jurisdiction, acquires a business, adopts a new class of model or experiences a material incident.
Measure whether the model is working
Leading indicators
- Percentage of known AI systems with a named owner and current inventory record.
- Percentage of systems classified before production use.
- Review time by risk tier and percentage of decisions made under delegated authority.
- Training completion and reviewer-calibration results across business units.
- Percentage of exceptions with an owner, compensating control and expiry date.
- Supplier reviews completed before integration and contingency tests completed on schedule.
Outcome indicators
- Incidents, near misses, substantiated complaints and time to escalation.
- Control failures, unauthorized use and systems discovered outside the inventory.
- Material changes that were detected through monitoring rather than after harm occurred.
- Repeat findings from independent assurance and the time needed to close them.
- Evidence that affected people receive required explanation, review or appeal pathways.
Metrics should be segmented by business unit and risk tier. A high approval count does not prove good governance, and a low incident count may reflect under-reporting. Pair volume measures with evidence quality, challenge results and remediation speed.
Questions to settle in the executive design workshop
- Which AI decisions could materially affect rights, safety, employment, access to services, finances or reputation?
- Which controls must be uniform worldwide, and where must local law or context add requirements?
- Can each unit identify every AI system, including vendor features hidden inside ordinary software?
- Who has authority to pause deployment immediately when evidence is incomplete or harm is suspected?
- Which function provides independent challenge, and how is its independence protected?
- How will a local team obtain an exception, and who can reject or expire it?
- What evidence will executives and the board receive, at what cadence, and in what form?
- What happens when a supplier changes a model, loses availability or cannot provide adequate documentation?
How to choose between the models
Lean more centralized when the enterprise has highly concentrated risk, limited specialist capacity, strong cross-business dependencies or a need for one global interpretation. Lean more federated when domain context varies significantly, decisions are operationally time-sensitive, and units can demonstrate mature controls and reliable reporting.
Most large enterprises should begin with central non-negotiables and progressively delegate decisions as teams demonstrate competence. Delegation is earned through accurate inventories, sound assessments, effective monitoring and clean assurance results; it is not simply a restructuring exercise.
NIST’s framework supports this outcome-oriented approach. It provides a common language and lifecycle expectations while leaving organizations to adapt implementation. The central question is therefore not “Which org chart does NIST prefer?” but “Where should each decision be made so that consistency, context, challenge and accountability are all preserved?”
