Yes. A promoter can create a pledge after reporting that no shares were encumbered. The earlier statement describes the promoter’s position on the relevant reporting date; it is not a permanent promise that a pledge or other restriction will never be created. Once a new pledge is created, it is a fresh encumbrance event that must be disclosed under Regulation 31 of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011 (SAST Regulations).

What a “no encumbrance” report actually says

A no-encumbrance statement should be read as a snapshot. It reports the promoter’s holdings and the portion subject to an encumbrance at a particular reporting point. If the reported encumbered holding was zero on that date, the statement is accurate for that date even if the promoter later borrows against shares.

The statement does not freeze the promoter’s future financing choices. A later pledge, lien or similar restriction is assessed as a new event. The promoter must then make the disclosure required for that event, rather than relying on the earlier zero figure.

Why the reporting date matters

When comparing a zero-encumbrance statement with a later pledge, identify the date covered by the first statement. The key questions are whether the pledge existed on that date and when the later transaction was legally created. A pledge created after the reporting date is not retroactively included in the earlier snapshot.

What the official form requires

SEBI’s Regulation 31 form separates three event types: creation, release and invocation. It asks for the event date, the type of encumbrance, the number and percentage of shares affected, the entity in whose favour the shares are encumbered, and the promoter’s encumbered holding after the event.

The form’s footnote also requires the table to show all promoters, their shareholding in the target company and their pledged shareholding as on the reporting date, even when the filing is being made on a different event date. That prevents an event filing from showing only the newly affected shares while omitting the wider promoter position.

Which rule governs a later pledge?

Regulation 28(3) of the SAST Regulations defines “encumbrance” broadly for this disclosure chapter. It includes “a pledge, lien or any such transaction, by whatever name called.” The label used in a financing document is therefore not decisive.

Regulation 31(1) requires the promoter of every target company to disclose details of shares encumbered by the promoter or by persons acting in concert with the promoter. A pledge created after a previous no-encumbrance filing falls within this requirement as a creation of encumbrance.

The seven-working-day deadline

Regulation 31(3) requires disclosure within seven working days from the creation, invocation or release of the encumbrance. The clock is tied to the relevant event, not to the date of the promoter’s earlier periodic or point-in-time statement.

Where the filing must go

The promoter must send the disclosure to every stock exchange where the company’s shares are listed and to the target company at its registered office. Filing with only one exchange, or notifying the company without completing the exchange filings, does not match the destinations specified in Regulation 31(3).

How the sequence works in practice

  1. Report the position on the applicable date. The promoter states the holdings and encumbered holdings for the reporting date. If no qualifying restriction exists then, the encumbered amount can be zero.
  2. Create the later transaction. A bank or other counterparty may subsequently receive a pledge, lien or another arrangement that restricts the shares. The legal form and its practical effect should be identified at this point.
  3. Prepare the Regulation 31 event filing. Select the creation event and provide the date, encumbrance type, number and percentage of shares, beneficiary or secured party, and post-event encumbered holdings.
  4. File within seven working days. Count the deadline from creation of the encumbrance. Do not defer the filing until a later periodic report.
  5. Deliver it to both required recipients. Submit to every exchange on which the shares are listed and to the company’s registered office.
  6. Track later changes separately. If the encumbrance is invoked or released, make the corresponding event disclosure within seven working days of that invocation or release.

This sequence means that a promoter can move from a correctly reported zero encumbrance to a correctly disclosed pledged holding without contradicting the earlier report, provided the later event is disclosed accurately and on time.

What counts as an “encumbrance” beyond a pledge?

The statutory wording is deliberately wider than the word “pledge.” Regulation 28(3) expressly includes a lien and “any such transaction, by whatever name called.” The practical test is whether the arrangement restricts the promoter’s rights or creates a risk that another party can appropriate or sell the shares.

SEBI’s risk-based explanation

In an adjudication order reproducing FAQ 70, SEBI stated: “The promoters have to understand the nature of encumbrance and those encumbrances which entail a risk of the shares held by promoters being appropriated or sold by a third party, directly or indirectly are required to be disclosed to the stock exchanges in terms of the Takeover Regulations, 2011.”

That explanation directs promoters to examine substance rather than rely on the title of a document. A restriction can be reportable even when the paperwork does not use the word pledge.

Non-disposal undertakings and other covenants

The same SEBI order explains that the analysis can cover direct or indirect restrictions, including non-disposal undertakings and other covenants or arrangements that impair the promoter’s rights in the shares. A non-disposal undertaking should therefore be tested against its effect: can a third party enforce rights that prevent disposal, appropriate the shares or otherwise compromise the promoter’s control?

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Because the facts and drafting of each arrangement differ, the promoter should map the rights actually granted, the party benefiting from them and the circumstances in which the shares could be sold or taken over. Calling an arrangement a “covenant,” “undertaking” or “security support” does not by itself remove it from Regulation 31 analysis.

What information belongs in the event disclosure?

SEBI’s official form identifies the core fields. A complete filing should make the event and the resulting position understandable without forcing readers to reconstruct the transaction from other documents.

Form element What it records
Event type Creation, invocation or release
Event date The date on which the relevant creation, invocation or release occurred
Type of encumbrance The pledge, lien or other restriction involved
Shares affected Number of shares and their percentage
Beneficiary The entity in whose favour the shares are encumbered
Post-event position The promoter’s encumbered holding after the event

The form also calls for all promoters, their shareholding and pledged shareholding as on the reporting date. That broader presentation matters when a new pledge is added to shares that were already subject to another disclosed restriction.

How to analyse a disputed “zero pledge” versus later pledge

When an investor, company or regulator compares the two disclosures, use the following sequence rather than treating the two numbers as inherently inconsistent.

  1. Compare the dates. Record the reporting date of the no-encumbrance statement and the creation date of the later transaction.
  2. Identify the legal form. Determine whether the later arrangement is a pledge, lien, non-disposal undertaking or another covenant.
  3. Test the practical risk. Ask whether a third party can appropriate, invoke or sell the shares, directly or indirectly.
  4. Quantify the affected holding. Check the number and percentage of shares and the resulting encumbered holding after the event.
  5. Check both filing destinations. Confirm that the filing was made to every relevant exchange and to the company.
  6. Check the deadline. Measure seven working days from creation, invocation or release, as applicable.
  7. Review reason disclosure. Determine whether the transaction falls within the requirements addressed by SEBI’s circular on disclosure of reasons for promoter encumbrance and the exchange’s current filing workflow.
Situation Regulatory treatment Required action
No qualifying restriction on the earlier reporting date Point-in-time holding disclosure Report the holdings and encumbered holdings for that date
Pledge or other reportable restriction created later New creation of encumbrance File the Regulation 31 event disclosure within seven working days
Previously disclosed encumbrance is invoked Separate invocation event Make a fresh disclosure within seven working days of invocation
Encumbrance is removed Separate release event Make a fresh disclosure within seven working days of release

Reasons for encumbrance: a separate disclosure issue

SEBI issued Circular SEBI/HO/CFD/DCR1/CIR/P/2019/90 on 7 August 2019, titled “Disclosure of reasons for encumbrance by promoter of listed companies.” The existence of a Regulation 31 event filing does not eliminate the need to examine whether reason information is required for the particular transaction.

For a current filing, the promoter should read the circular together with the exchange’s active filing process and the form in use at the time. The reason requirement can depend on the transaction and the applicable workflow, so it should be checked rather than assumed from the earlier no-encumbrance statement.

Common mistakes and how to avoid them

  • Treating “zero” as a continuing prohibition. Zero describes the reported date; it does not bar a later transaction.
  • Waiting for the next periodic statement. Creation, invocation and release each have their own seven-working-day deadline.
  • Reporting only a document called a pledge. Liens, non-disposal undertakings and other restrictive arrangements may also be encumbrances.
  • Sending the filing to only one destination. Regulation 31(3) names every relevant stock exchange and the target company’s registered office.
  • Omitting the wider promoter table. The official form’s footnote requires all promoters and their holdings as on the reporting date to appear, even for an event-date filing.
  • Ignoring later invocation or release. Those are not automatically covered by the creation filing; each is a separate event.
  • Leaving the reason analysis until after submission. Check the 7 August 2019 SEBI circular and the current exchange workflow while preparing the event filing.

Practical compliance checklist

  • Write down the reporting date for the earlier no-encumbrance statement.
  • Obtain the executed financing, security or covenant documents for the later transaction.
  • Describe the arrangement by its legal effect, not only its heading.
  • Calculate the number and percentage of shares affected.
  • Identify the entity receiving the rights over the shares.
  • Calculate the post-event encumbered holding.
  • Complete the creation, invocation or release fields in the Regulation 31 format.
  • Submit within seven working days of the relevant event.
  • Send the filing to every exchange where the shares are listed and to the company’s registered office.
  • Check whether reason disclosure is required under the applicable SEBI circular and exchange process.
  • Keep a calendar for any later invocation or release.

Bottom line for promoters and investors

A prior report of zero encumbrance and a later pledge can both be correct because they describe different dates. The legal issue is not whether the promoter once reported no encumbrance; it is whether the later pledge or restriction was disclosed as a new Regulation 31 event, within seven working days, to every relevant exchange and to the company. The same analysis applies to liens, non-disposal undertakings and other arrangements that create a direct or indirect risk of appropriation or sale.
