Probably not by itself. Johnson & Johnson’s proposed separation of Orthopaedics into a standalone DePuy Synthes could sharpen management focus and accountability, but the company’s most clearly identified performance weaknesses—Cardiovascular and Surgery outside the United States—would remain inside J&J’s continuing MedTech business. As of October 13, 2026, the separation was still planned, not completed, and J&J was leaning toward a spin targeted for mid-2027.
What Johnson & Johnson is planning
J&J announced in October 2025 that it intended to separate its Orthopaedics business, which operates under the DePuy Synthes name. Management said the goal was to give both the separated company and the remaining J&J portfolio greater strategic and operational focus, while shifting the continuing portfolio toward higher-growth and higher-margin markets.
The proposed transaction would leave J&J MedTech centered on Cardiovascular, Surgery and Vision, alongside the company’s Innovative Medicine segment. Orthopaedics generated approximately $9.2 billion in fiscal 2024 sales, so this is a material portfolio change rather than a small asset disposal.

What “the MedTech problem” actually is
J&J has not said that every MedTech franchise is failing. In prepared remarks on October 13, CFO Joe Wolk said: “We are clear on where MedTech performance needs to improve, specifically Cardiovascular and Surgery outside the U.S., and are taking action to strengthen results.” He also characterized the segment’s underlying fundamentals as strong.
The company’s fiscal second-quarter 2026 Form 10-Q reported MedTech income before tax equal to 13.2% of sales, down from 14.1% in the same period a year earlier. J&J attributed the decline primarily to $0.3 billion of Orthopaedics separation-related costs, higher research and development spending, increased commercial investment and tariffs, partly offset by operational factors and favorable currency in cost of products sold. That is a period-specific margin measure affected by separation spending; it is not, on its own, a clean measure of recurring operating performance.

J&J was also restructuring Surgery to simplify operations, exit non-strategic product lines and optimize selected sites. Its 2025 annual report estimated total program costs of $0.9 billion to $1.0 billion, with substantial completion expected by fiscal year-end 2026.
How a spin could help
A clearer portfolio mandate
Removing Orthopaedics could let J&J devote more management attention and capital to Cardiovascular, Surgery and Vision. A smaller continuing portfolio may make product priorities, resource allocation and accountability easier to communicate to investors and operating teams.

More direct accountability for DePuy Synthes
A standalone DePuy Synthes would have a leadership team and capital-allocation decisions dedicated to orthopaedics rather than competing with unrelated MedTech priorities. J&J Chairman and CEO Joaquin Duato said the company was leaning toward a spin because of DePuy Synthes’ performance and the momentum generated by Namal Nawana’s team. That is management’s rationale, not proof that separation will produce higher growth or margins.
A potentially different growth mix
J&J has said the continuing portfolio should move toward higher-growth and higher-margin markets. The separation could make that mix more visible, but the outcome will depend on execution, product adoption and the economics of the remaining businesses after costs are fully absorbed.

Why the separation may not solve the problem
The named weak spots stay in J&J
Cardiovascular and Surgery outside the U.S. are the areas Wolk specifically identified for improvement. An Orthopaedics spin does not remove those businesses or automatically improve their commercial execution, regional demand, product adoption or returns on investment.
Corrective programs are still in progress
Management described corrective action for Abiomed, continued investment in clinical evidence and OTTAVA commercialization as a longer-term opportunity. These are plans and forward-looking initiatives, not demonstrated post-separation results. The Surgery restructuring also carries substantial cost and execution risk even if it is substantially complete by the end of fiscal 2026.

Separation costs can obscure the signal
The $0.3 billion of Orthopaedics separation-related costs cited in the fiscal second-quarter filing already affected the reported MedTech margin. Standalone companies can also incur new overhead for finance, information technology, public-company compliance, supply-chain arrangements and other functions. Until those costs and allocations are known, it will be difficult to determine whether an improvement reflects better operations or simply a different accounting and portfolio boundary.

Which figures matter—and which do not
- $9.2 billion: DePuy Synthes Orthopaedics sales in fiscal 2024.
- 13.2% versus 14.1%: MedTech income before tax as a share of sales in fiscal Q2 2026 and fiscal Q2 2025, respectively.
- $0.3 billion: Orthopaedics separation-related costs cited among the drivers of the fiscal Q2 2026 margin decline.
- $0.9 billion to $1.0 billion: Estimated total cost of the Surgery restructuring program in J&J’s 2025 annual report.
- $25.399 billion and 5.9%: J&J’s consolidated Q3 2026 sales and reported growth; adjusted EPS was $2.59, down 7.5% year over year. These company-wide figures do not isolate MedTech and cannot show whether the segment’s problem was fixed.
Bottom line: a focus lever, not a proven cure
The proposed DePuy Synthes spin could improve strategic focus, make accountability more direct and give J&J’s remaining MedTech portfolio a cleaner growth mandate. But the evidence available on October 13, 2026 does not establish that it will fix J&J’s broader MedTech performance challenge. The decisive evidence will come after the transaction: whether Cardiovascular and Surgery improve outside the U.S., whether margins recover after separation and restructuring effects, and whether DePuy Synthes performs successfully as an independent company.
