Stock splits and bonus issues both increase the number of shares in an investor’s account, but they do so through different mechanisms. A split subdivides each existing share into more shares and reduces the face value proportionately. A bonus issue gives eligible shareholders additional shares in a declared ratio while keeping the face value unchanged; in the Indian Securities and Exchange Board of India (SEBI) comparison, reserves are transferred into share capital. Neither action, by itself, guarantees that your investment becomes more valuable.
The practical result depends on the issuer’s terms, the market in which the security trades, and the event dates in the official corporate-action notice. The guide below separates the accounting mechanics from what an investor actually needs to check.
The essential difference in one view

“Face value” is the nominal value assigned to each share in the company’s share capital. It is not the same as the price quoted on an exchange. A corporate action can change one without changing the other in the same way.

Subdividing an existing share
In a split, the company replaces each old share with a larger number of shares. The ownership represented by the position is divided into smaller units rather than expanded by a transfer from reserves. A split therefore changes the denomination of the holding.

Investor.gov’s illustration uses a two-for-one split: 100 shares priced at $100 each become 200 shares priced at $50 each. The example still represents $10,000 immediately after the split (200 × $50), before any subsequent market movement. The SEC uses the same arithmetic example and explains that the shareholder’s equity is not changed by the split itself.
What changes besides the count
In SEBI’s comparison, face value falls in proportion to the split. If one old share has a face value of 10 and the company announces a 1:10 split, each old share becomes ten shares with a face value of 1 each. The total face-value amount represented by the original holding is unchanged.
Per-share measures also need to be read on the new basis. The SEC and Investor.gov examples show the market price and dividend per share adjusting proportionately in a split. That does not predict the price after trading resumes; it describes the mechanical adjustment needed to express the same underlying holding in smaller units.
Why companies use splits
The SEC says companies often split shares to make them more affordable to individual investors. A lower quoted price can make a security easier to buy in whole-share amounts, but affordability is not the same as value. A split does not improve the company’s assets, earnings or the investor’s percentage ownership by itself.
How a bonus issue works
Additional shares from the declared ratio
A bonus issue allots new shares to shareholders who meet the issuer’s eligibility terms. The entitlement is expressed as a ratio. In SEBI’s February 2025 investor-education presentation, a 2:1 bonus means two bonus shares for each share held. An investor with 100 qualifying shares would receive 200 new shares and hold 300 shares after the allotment, subject to the event’s terms and processing.
The ratio describes the number of new shares, not the final total. This is the most common source of confusion: “2:1 bonus” means two additional shares per one held, while “2-for-1 split” means two shares in total for each one held.

Reserves become share capital
SEBI’s comparison describes a bonus issue as moving an amount from reserves into share capital. The company’s accounting presentation changes, and the shareholder receives more units, but the transaction does not by itself bring new cash into the company or create wealth for the holder. The comparison also states that face value remains unchanged.
Because the face value stays the same, do not apply split-style face-value arithmetic to a bonus issue. The number of shares changes through an allotment, while the nominal value assigned to each share does not.
Market price after a bonus issue
The market price is not guaranteed to follow a particular formula in every market or issue. Trading conditions, the issuer’s notice and exchange procedures determine how the security is quoted after the shares are allotted. More shares in the account are therefore evidence of an entitlement being processed, not proof that the investment has increased in value.
Why a larger share count is not automatically a gain
The value test
To assess whether you are better off, multiply the number of shares you own by the price at which those shares can actually be sold, then account for any relevant costs and taxes in your jurisdiction. Comparing only the share count can produce the wrong conclusion.
For a split, the neutral arithmetic is explicit. The Investor.gov example changes 100 shares at $100 to 200 at $50; both positions total $10,000 in the illustration. The SEC describes the same immediate-value result and notes that a split does not dilute existing ownership interests.

A split gives every shareowner the same proportional subdivision. A bonus issue, when allotted to all holders according to the declared ratio, also preserves each eligible holder’s proportional interest relative to other eligible holders. Your percentage ownership can still change if you are not eligible, if you do not hold the security on the relevant date, or if the issuer’s terms include a special treatment for fractional entitlements.

What can change after trading resumes
Once the new basis is available for trading, buyers and sellers set the market price. Demand, company news, earnings expectations and broader market conditions can move the price up or down. Those later movements are market outcomes, not a guaranteed consequence of the split or bonus issue. A corporate action can make a stock appear cheaper per share while leaving the economic exposure broadly equivalent at the instant of adjustment.
Worked examples: read the ratio correctly
Two-for-one stock split
- You own 100 shares before the split.
- The issuer announces a 2-for-1 split.
- Each old share is replaced by two new shares, so your account shows 200 shares.
- The face value and per-share measures are adjusted proportionately under the split terms.
- Investor.gov’s illustrative price moves from $100 to $50 per share, leaving the example’s total at $10,000 immediately after the split.
The example is an illustration, not a forecast of the company’s future price.
One-for-ten stock split
SEBI’s presentation illustrates a 1:10 split as each existing share becoming ten shares with one-tenth of the original face value. If you held 25 shares, the mechanical result would be 250 shares on the new basis, while the total face-value amount represented by the holding would remain equivalent.
Two-for-one bonus issue
- You own 100 shares on the eligibility date specified by the issuer.
- A 2:1 bonus provides two new shares for every one held.
- You receive 200 bonus shares and hold 300 shares in total after allotment.
- The face value per share remains the same in SEBI’s comparison.
- The post-event market value depends on the price at which the enlarged share base trades; the ratio alone does not establish a profit.
Dates, eligibility and when you can trade
Read the issuer’s corporate-action notice
Do not infer dates from the ratio. The company and the relevant exchange publish the record date, the last date on which a purchase can qualify under applicable settlement rules, the ex-date or adjustment date where used, the allotment details and the first expected trading date. These labels and their relationship vary by market, so the official notice controls.
Investor.gov’s guidance on entitlement dates emphasizes checking the issuer’s and exchange’s information rather than assuming a universal timetable. Your broker’s display may lag the exchange record while the action is being processed.
India-specific bonus-share trading rule
SEBI’s circular dated September 16, 2024, titled “Enabling T+2 trading of Bonus shares where T is the record date,” addresses a specific Indian-market process. It provides for trading of bonus shares on a T+2 basis where T is the record date, subject to the circular’s conditions. This is not a worldwide rule and should not be applied to securities listed in other jurisdictions.

What “eligible” means in practice
- You must hold the security under the method and by the date stated in the notice.
- The account may show an entitlement or temporary line item before the shares become fully tradable.
- Fractional entitlements, if the ratio does not produce a whole number, are handled according to the issuer’s and market’s stated procedure; never assume that a fraction will be credited as a tradable share.
- Different account types, settlement systems or cross-listed securities can have different processing dates.
What changes in your account and statements
Position quantity
After a split, the quantity is multiplied by the split factor. After a bonus issue, the original quantity remains and the credited bonus quantity is added. Your broker may display the event in separate transaction lines before consolidating the total position.

Cost information
Statement systems may recalculate the displayed average cost per share after either event so that the total historical cost is represented over the new number of shares. The exact display and tax-lot treatment are jurisdiction- and broker-specific. Preserve the original contract notes, acquisition dates and cost records instead of relying only on the current app display.
Corporate-action labels
Look for wording such as “split,” “subdivision,” “bonus,” “record date,” “allotment,” “ex-date,” and “first trading date.” A label that says “new shares credited” does not, by itself, tell you whether the event was a split or a bonus issue; the notice’s ratio and face-value treatment do.
A practical checklist for investors
- Obtain the primary notice. Use the issuer’s official exchange or regulator filing, not a social-media summary.
- Identify the action. Confirm whether it is a split or a bonus issue and copy the ratio exactly.
- Translate the ratio into a total. For a split, multiply your old shares by the stated factor. For a bonus, calculate the new shares first, then add them to your old holding.
- Check face value. A proportional reduction points to a split; unchanged face value is the treatment described for a bonus issue in SEBI’s comparison.
- Mark the relevant dates. Record the record date, ex-date or adjustment date where applicable, allotment date and first tradable date.
- Verify eligibility. Confirm that your position was held in the required form on the relevant date and that any settlement condition was met.
- Reconcile the credit. Compare the expected quantity with the broker statement and the registrar or depository record after processing.
- Check tradability separately from credit. A quantity can appear in an account before an exchange permits ordinary selling.
- Update records. Keep notices, statements, acquisition dates and cost information for reporting and future decisions.
- Assess value using the price, not the count. Compare the total position value before and after the event, allowing for normal market movement.
Common mistakes and how to avoid them
Mistake: treating “2:1” as the same in both actions
The notation is not interchangeable. A 2-for-1 split produces two total shares per old share. A 2:1 bonus produces two new shares plus the original, or three total. Write the resulting total beside the ratio before placing any order.
Mistake: assuming the quoted price must rise because the share count rose
Share count and per-share price are separate variables. The split examples from Investor.gov and the SEC show the per-share price adjusting downward in the same proportion. A bonus issue also does not guarantee a particular market price.

Mistake: applying Indian procedures globally

Mistake: confusing face value with market value
Face value is a nominal share-capital figure. Market value is the price established by trading. A bonus issue can keep face value unchanged while the market price moves independently; a split can reduce face value while the economic value of the holding is unchanged in the immediate example.
Mistake: selling before the new shares are tradable
Broker screens, depository records and exchange permissions can update at different times. Verify the first trading date and the status of the credited line before relying on the shares for a sale or margin calculation.
Mistake: assuming tax treatment
The applicable tax rules depend on your country, account type, security and transaction dates. The sources summarized here do not establish a universal tax treatment. Obtain advice based on your jurisdiction and retain the corporate-action documents your adviser requests.
How to decide what the event means for your investment
If you already own the shares
Start with eligibility and reconciliation, not with a buy-or-sell reaction. Confirm the ratio, calculate the expected total, wait for the stated tradable date, and then evaluate the position using the market price and your investment plan. The action alone does not require a change in your thesis.
If you are considering buying before the record date
Read the full notice and settlement rules first. Buying solely to obtain “free” shares overlooks the price adjustment and the possibility that the market price changes before or after the event. The economic decision should rest on your assessment of the security, risk and time horizon, not on the headline share count.
If you are comparing two companies
Normalize the data to a common per-share basis and check whether historical prices and dividends were adjusted for the corporate action. A chart that is not adjusted can make a split look like a sudden loss or gain even when the change was only a denomination change. Also distinguish a company’s operating performance from the accounting reclassification in a bonus issue.
What the official explanations establish—and what they do not
SEBI’s February 2025 investor-education presentation supplies the split-versus-bonus accounting comparison and the illustrative 2:1 bonus and 1:10 split ratios. Investor.gov’s “Stock Split” glossary and the SEC’s “Stock Splits” explainer provide the neutral two-for-one example and explain that a split does not change shareholder equity or dilute existing ownership. SEBI’s September 16, 2024, circular establishes an India-specific T+2 bonus-share trading process where T is the record date. Investor.gov’s entitlement guidance directs investors to issuer and exchange notices for event dates.
