Boeing divides its most consequential oversight work among three different board committees. The Aerospace Safety Committee focuses on the safety of aircraft and aerospace operations; the Audit Committee oversees financial reporting, internal controls, auditors and broad risk; and the Compensation Committee sets executive pay and the incentives that can influence management behavior.
They are separate functions, but not isolated ones. The safety and compensation committees jointly consider safety metrics when evaluating annual incentives, while the audit committee’s control and risk work provides a parallel check on financial and compliance exposure. Boeing’s 2026 proxy, filed in 2026 and describing 2025 activity, is the primary current description; committee memberships and priorities can change with each proxy and charter update.
What each Boeing committee is responsible for
A public-company board does not manage daily engineering, accounting or payroll operations. Instead, committees prepare issues for the full board, test management’s work, demand information and escalate concerns. Boeing’s three committees divide that oversight by the type of risk or decision involved.

The practical dividing line is simple: the safety committee asks whether aerospace products and operations are safe; the audit committee asks whether Boeing’s financial and control systems can be relied upon; and the compensation committee asks how executives should be rewarded or held financially accountable.

What does Boeing’s Aerospace Safety Committee do?
Boeing states that the Aerospace Safety Committee “assists the Board in the oversight of the safe design, development, certification, production, maintenance and operations of our aerospace products and services.” That scope covers the complete lifecycle, not only an aircraft’s design or the moment it leaves a factory.
Design, engineering and certification oversight
The committee reviews how safety is built into design and development, how engineering decisions are documented and how products are certified. Its remit includes the certification basis and continuing compliance of aerospace products, so board oversight can extend from early development through in-service changes and maintenance.
In its recurring work, the committee reviews FAA type certificates and production certificates. It also examines significant communications from the Federal Aviation Administration, including matters that may require management action, additional evidence or escalation to the board.
Production, maintenance and operational events
Safety oversight continues through manufacturing, delivery, maintenance and operation. The committee reviews safety events and management’s response, looking for patterns, root causes, corrective actions and evidence that fixes are working. This is different from directing a production line: the committee tests whether management has an effective process and whether unresolved issues are being surfaced promptly.
FAA airworthiness directives and regulatory response
FAA airworthiness directives are mandatory instructions addressing an identified unsafe condition. The committee reviews applicable directives and Boeing’s response. That review can include implementation status, communication with operators, engineering analysis and whether related risks have been identified elsewhere in the fleet or production system.
Speak Up submissions and escalation channels
The committee reviews submissions through Boeing’s Speak Up process. Such reports can provide an avenue for employees and others to raise safety or quality concerns outside normal management chains. Board review does not mean every submission becomes a board decision; it means the committee has visibility into themes, serious allegations and how management investigates and closes them.
Safety Management System and safety policy
The committee reviews Boeing’s safety policies and Safety Management System (SMS). An SMS is a structured way to identify hazards, assess risk, set controls, monitor outcomes and improve processes. At board level, the question is whether the system is operating across the enterprise, whether reporting is encouraged, and whether corrective actions are tracked to completion.
ODA Ombudsperson program
Boeing’s Organization Designation Authorization (ODA) allows authorized company personnel to perform certain certification functions for the FAA. The Aerospace Safety Committee reviews the ODA Ombudsperson program, an internal channel intended to support independence and the ability to raise concerns within that delegated framework. Oversight of the program is distinct from the FAA’s regulatory authority; the committee cannot replace the agency’s certification or enforcement role.

Access to safety and engineering leadership
The committee’s accountability link is direct access to safety and engineering leaders. Those executives provide reports and answer questions, while the committee can request additional analysis or bring material issues to the full board. Its role is therefore broader than receiving a dashboard: it is a governance checkpoint for whether management’s safety processes, information flow and responses are credible.
What does Boeing’s Audit Committee oversee?
Boeing describes the Audit Committee as “the representative of the Board for general oversight of Boeing’s financial accounting and reporting, systems of internal control, audit process, and compliance standards.” The committee’s remit starts with the financial statements but extends into the systems and risks that could make those statements or the company’s conduct unreliable.
Financial accounting and reporting
The committee reviews the quality and integrity of financial accounting and reporting. It receives information from finance leaders and the independent auditor, discusses significant judgments and estimates, and monitors how management addresses identified issues. The committee reports to the full board rather than preparing the accounts itself.
Internal control over financial reporting
Internal control over financial reporting (ICFR) consists of processes designed to support accurate, authorized and timely financial information. The committee monitors management’s assessment of those controls, significant deficiencies or material weaknesses when identified, and remediation plans. A control review can involve system access, close processes, revenue recognition, estimates, approvals and evidence retention.
Independent registered public accounting firm
The Audit Committee directly appoints, compensates, retains and oversees Boeing’s independent registered public accounting firm. That authority is intended to protect auditor independence from management. The committee also evaluates auditor performance, discusses the audit plan and reviews communications required under professional standards.
Independence does not make the auditor a Boeing employee or a regulator. The auditor provides an independent opinion within its engagement, while the committee is responsible for board-level oversight of the relationship and for challenging management when necessary.
Enterprise risk, cybersecurity and artificial intelligence
The committee’s risk work includes enterprise risk, cybersecurity and artificial-intelligence matters. These topics can affect financial reporting, operations, privacy, intellectual property, resilience and regulatory exposure. The committee reviews how risks are identified, prioritized, monitored and reported, rather than owning every technical control.
Legal, ethics and compliance
Legal, ethics and compliance matters also fall within the audit committee’s broad oversight. That can include compliance programs, investigations, reporting channels and significant legal exposures. The committee’s connection to the board is through independent reporting and escalation: serious concerns should not depend solely on the business unit being reviewed.

What does Boeing’s Compensation Committee decide?
The Compensation Committee establishes, reviews and approves executive and equity compensation. It evaluates individual executive performance, sets performance measures and determines awards within the company’s compensation framework.
Annual incentives and performance evaluation
Annual incentive decisions combine company performance with individual executive evaluation. The committee reviews whether goals were met, how results were achieved and whether circumstances require judgment rather than a mechanical formula. That discretion matters when an executive’s actions create significant safety, compliance or reputational consequences that may not appear immediately in a financial metric.
Long-term stock-based compensation
Long-term awards, including stock-based components, are intended to align executives with longer-horizon company performance and shareholder outcomes. The committee determines award design and vesting conditions and considers whether the overall package encourages durable results rather than short-term risk-taking.

Safety metrics and the link to pay
The key connection among the three committees is safety-related compensation. The Aerospace Safety and Compensation committees jointly identify safety metrics and consider safety performance in annual incentive decisions. Safety information therefore can move from operational oversight into an executive-pay outcome.
Boeing’s 2026 proxy reports that approximately 93% of the CEO’s 2025 target pay was variable. “Target pay” is the value assigned when the planned performance conditions are met; it is not a guarantee of cash received. The figure indicates that most target compensation depended on performance-linked annual or long-term components, making the design and measurement of those components significant.
Clawbacks and controls against undue risk
The Compensation Committee applies clawback and other controls intended to discourage undue risk-taking. A clawback can require repayment or forfeiture of compensation under specified circumstances, such as a financial restatement or conduct covered by the applicable policy. The precise trigger and amount depend on the governing plan and policy; a clawback is not an automatic penalty for every disappointing outcome.
Shareholder say-on-pay
Executive compensation is also subject to the shareholder say-on-pay process required for public companies. The advisory vote does not transfer pay-setting authority from the board, but it gives shareholders a formal channel to express approval or concern about the compensation program and its disclosure.

How the committees work together
Safety information can affect incentive decisions
The safety-to-compensation link is the clearest cross-committee process. The Aerospace Safety Committee reviews safety events, policies, SMS performance, FAA matters and reporting themes. It then consults the Compensation Committee on safety metrics and executive performance evaluations. The Compensation Committee uses that input when deciding annual incentives and other pay outcomes.

Audit provides a separate assurance layer
The Audit Committee does not set safety targets or executive pay. Its contribution is a separate assurance layer: reliable financial reporting, effective internal controls, independent auditing and visibility into legal, ethics, cybersecurity and enterprise risks. Some incidents can reach more than one committee when they affect operations, disclosure, controls, compliance or compensation.
Escalation to the full board
Committees prepare and scrutinize matters within their charters, but the full board retains ultimate oversight. A committee can escalate a material event, unresolved control weakness, significant regulatory communication or compensation concern for board consideration. This structure allows specialized review without removing collective board accountability.

Boeing’s 2025 proxy, which describes 2024 activity, says the Aerospace Safety Committee oversaw management’s response to the January 2024 737-9 door-plug accident and updates to the Safety & Quality Plan. The same proxy says the Audit Committee monitored financial controls, auditor performance, enterprise risk and compliance matters.

How to interpret Boeing’s committee disclosures
Start with the latest proxy
Use the latest DEF 14A proxy for current committee names, membership, meeting activity and descriptions of the prior year. The 2026 proxy is current for the information described here and covers 2025 activities; the 2025 proxy is useful for 2024 historical context.
Check the committee charters
Charters define responsibilities in more detail than a summary table. They show which matters are reserved for the committee, what reports it receives and how it interacts with management, auditors and other board committees. Because charters and memberships can change, an older description should not be treated as a current roster.
Separate oversight from management
A committee’s review, approval or monitoring role does not mean it designed an aircraft, performed an audit or ran a compensation calculation. Board committees oversee management’s systems and decisions, request evidence, challenge assumptions and escalate issues. Regulators, independent auditors and operating executives retain their own responsibilities.

Safety, financial and compensation metrics are meaningful only with their definitions, measurement period, exclusions and decision rights. A target-pay percentage, for example, describes the mix of intended compensation, not the executive’s realized earnings. Likewise, a committee’s review of an FAA directive does not by itself establish that every related action was complete.
Why the distinction matters to employees, investors and customers
- Employees: The Aerospace Safety Committee’s review of Speak Up submissions and safety systems signals that escalation channels and reporting culture are board-level concerns, not only local management issues.
- Investors: The Audit Committee’s oversight of controls, auditors and enterprise risk helps investors assess the reliability of disclosures, while compensation design shows how the board converts performance and risk judgments into incentives.
- Customers and operators: Safety oversight spans design, certification, production, maintenance and operation, so it is intended to cover the lifecycle that affects aircraft and aerospace services in use.
- Regulators and the public: Board committees do not replace the FAA or other authorities. Their role is internal governance, oversight and escalation alongside external regulation.
Bottom line: three committees, one governance system
Boeing’s Aerospace Safety Committee is the specialist forum for product and operational safety, including certification, FAA directives, safety events, Speak Up reports, the Safety Management System and the ODA Ombudsperson program. The Audit Committee is the board’s financial-control and assurance function, with authority over the independent auditor and a wider remit covering enterprise, cybersecurity, artificial-intelligence, legal, ethics and compliance risks. The Compensation Committee sets executive and equity pay, evaluates performance, uses long-term and annual incentives, and applies clawback controls.
The committees are most consequential where their work connects: safety oversight informs safety metrics, and those metrics can influence executive incentives. For an up-to-date view, readers should consult Boeing’s latest proxy and committee charters because membership, metrics and activities are time-sensitive.
