Short answer: A spot bitcoin ETF or exchange-traded product (ETP) gives you a security that tracks bitcoin through a trust, while buying bitcoin directly gives you the bitcoin itself and, with self-custody, control of the private keys. The ETP is usually simpler to hold in a brokerage account but charges an ongoing sponsor fee and cannot be withdrawn as bitcoin. Direct ownership offers transferability and network use, but you must account for trading, withdrawal, custody and hardware-wallet costs and protect the keys yourself.

Neither route is universally better. Choose based on whether you need transferable bitcoin, how comfortable you are with wallet security, which accounts you can use, your holding period and the complete cost of ownership in your jurisdiction.

What the two choices actually give you

Spot bitcoin ETF or ETP

A spot bitcoin ETP is a trust that holds bitcoin and issues exchange-traded shares. You own the shares, not the underlying coins. The trust’s custodian holds the bitcoin, while your brokerage account records the security. The share price is designed to reflect the value of the trust’s bitcoin, but the trading price can move above or below the trust’s net asset value (NAV).

“ETF” is common shorthand, but U.S. spot bitcoin products are registered under the Securities Act of 1933 and the Securities Exchange Act of 1934, not as investment companies under the Investment Company Act of 1940. That legal distinction affects the regulatory framework and protections that apply. It does not turn the product into a bank deposit or give you a right to withdraw coins.

Bitkey Bitcoin Hardware Wallet, No Screen - Self-Custody, No Seed Phrase
  • BITCOIN EXCLUSIVE, PHONE VERIFICATION: Bitkey is designed from the ground up exclusively for bitcoin — a dedicated hardware wallet for secure bitcoin storage. Approve transactions with a tap using your phone and NFC. No device screen is required.
  • SELF-CUSTODY, NO EXCHANGE OR CUSTODIAN REQUIRED: You hold two of the three keys in the Bitkey system – one on your phone and one on your Bitkey device. The third is stored on Bitkey’s server and cannot move your bitcoin on its own.
  • NO SEED PHRASE: Set up and use Bitkey without creating or storing a seed phrase.
  • 2-of-3 MULTISIG: Three keys are stored separately across your phone, Bitkey device, and Bitkey’s server. Any two keys are required to move your bitcoin.
  • BUILT-IN RECOVERY: Encrypted backup and recovery tools can help you regain access if you lose your phone or Bitkey device. You can also designate a Recovery Contact.

Bitcoin bought directly

When you buy bitcoin through a digital-asset exchange, broker, payment application or peer-to-peer transaction, the asset is allocated to you. If you withdraw it to a wallet that you control, you hold the private keys that authorize transactions. If you leave it with a platform, that platform controls the keys and you hold a claim through its account system instead of practicing self-custody.

A wallet does not contain physical bitcoin. It stores the private keys and related information needed to control on-chain addresses. Losing the key or recovery seed can permanently remove access, while a compromised key can let an attacker move the bitcoin.

Side-by-side comparison

Question Spot bitcoin ETP Bitcoin bought directly
What do you own? Shares of a trust that holds bitcoin; the shares do not deliver the underlying coins. Bitcoin itself, or a custodian’s claim to bitcoin until you withdraw it; self-custody gives you the controlling keys.
How are costs charged? An ongoing sponsor fee is deducted from trust assets. Brokerage commissions and the bid-ask spread can also apply. Purchase spread and trading fees, withdrawal or network fees, possible custodian account fees and, for self-custody, the cost of a hardware wallet.
Who controls custody? The trust and its appointed custodian hold the bitcoin; you rely on the issuer, custodian, brokerage and exchange. You control the keys in self-custody, or an exchange or other provider controls them in third-party custody.
How do you trade? Through a brokerage on a national securities exchange during exchange trading hours; the market price can differ from NAV. Through an exchange, broker, payment application or peer-to-peer route, generally with access to the platform’s own trading hours and rules.
Can you transfer or spend bitcoin? No. You can sell the shares, but the shares are not withdrawable bitcoin. Yes, when you hold bitcoin through a service that permits withdrawals or in a wallet you control; network fees and security checks apply.
Who handles recovery? You recover access through the brokerage and account-provider procedures; you do not manage a bitcoin seed phrase for the shares. In self-custody, you alone must back up and protect the keys or seed phrase. In third-party custody, recovery depends on that provider.

Fees: compare the whole holding cost, not just the headline rate

The ETP sponsor fee

The U.S. Securities and Exchange Commission says spot bitcoin and ether ETPs generally charge a fee to the sponsor that a person holding the crypto asset directly does not pay. The fee comes out of trust assets. As a result, the amount of bitcoin represented by each share declines over time as the trust pays the sponsor, even if the bitcoin price itself is unchanged.

  • Effortless Asset Management: Monitor and transact seamlessly with Trezor Suite, our intuitive desktop and mobile app
  • Enhanced Backup Solution: Rest assured with Multi-share Backup, eliminating single points of failure for secure cold wallet recovery

Your actual ETP cost can also include a brokerage commission, the bid-ask spread when you buy or sell, and any account-level charge imposed by your broker. A temporary fee waiver, a changed expense ratio or a different trading spread can alter the result, so read the current prospectus and brokerage schedule rather than relying on an old comparison.

Costs on the direct route

Direct ownership is not fee-free. A platform can charge a trading fee, build a spread into its quoted price, or charge both. Moving bitcoin off the platform can create a withdrawal fee and a network fee. A custodian may charge annual asset-based, transaction, transfer, account-opening or account-closing fees; the SEC specifically recommends asking about each of these. A hardware cold wallet adds a device purchase, and replacing or securely storing backups can add practical expense.

The fairest comparison is to estimate the total for your planned holding period:

Custody: convenience versus control

What happens inside an ETP

The trust’s custodian holds the bitcoin for shareholders. Prospectus descriptions of spot products include institutional custody, cold storage and multisignature controls. Those arrangements can reduce the need for a retail investor to operate a wallet, but they introduce dependence on the trust, sponsor, custodian, brokerage and market infrastructure.

You cannot normally send a share to a bitcoin address, transfer it to a hardware wallet or use it to pay on the network. Selling the share is the exit route. If the brokerage is unavailable, the exchange is closed or the share is trading at a premium or discount to NAV, the result can differ from the price you expected for the underlying bitcoin.

Self-custody

Self-custody means you create or use a wallet and keep the signing keys yourself. A cold wallet is typically a physical device kept offline. The SEC describes cold wallets as generally less convenient but more resistant to online attacks than hot wallets, which remain connected to the internet.

The control is direct, but so is the responsibility. You must secure the device, protect the recovery seed, verify addresses before signing and plan for loss, theft, damage or incapacity. A forgotten or destroyed seed phrase is not like a resettable brokerage password; access may be permanently lost.

Third-party custody of direct bitcoin

Leaving purchased bitcoin on an exchange or with another custodian avoids some wallet-management work, but it is not the same as holding the keys. A custodian can be hacked, suffer an operational failure, shut down or enter bankruptcy. Review its withdrawal rules, security practices, account-recovery process, fees and any stated insurance before treating the balance as immediately available.

How access and trading differ

Buying an ETP through a brokerage

  1. Confirm that your country, account type and broker permit the specific spot bitcoin product. Read the current prospectus for the trust’s fee, custody description and risks.
  2. Fund the brokerage account and search for the exact listed symbol. Check the exchange, market price, bid-ask spread and the latest NAV information available from the issuer.
  3. Enter a buy order during the exchange’s trading session. A market order executes at available prices; a limit order sets a maximum purchase price but may not execute.
  4. After execution, monitor the number of shares and the account statement. The position remains a security in the brokerage account, not a bitcoin balance that can be withdrawn.
  5. To exit, sell the shares during exchange trading hours. The sale price can be above or below NAV and can differ from the contemporaneous bitcoin price because of spreads, premiums, discounts and market conditions.

Buying and securing bitcoin directly

  1. Choose a platform or peer-to-peer method available in your jurisdiction. Compare its identity checks, payment methods, quoted spread, trading fee and withdrawal policy.
  2. Complete the purchase and verify the amount, execution price and fee on the confirmation screen.
  3. Decide whether to keep the bitcoin with the platform or withdraw it. A withdrawal requires a compatible wallet address and usually incurs a platform or network charge.
  4. For self-custody, initialize the wallet using its documented process, record the recovery seed offline, and keep backups in secure separate locations. Never disclose the seed to a website, support agent or unsolicited caller.
  5. Send a small test amount first when you are unfamiliar with the process. Confirm the destination address on the wallet device and wait for the platform’s required network confirmations.
  6. For later transfers or spending, review the address, amount and network fee on the signing device before approving. Keep the recovery plan current if the device is lost or replaced.

Price tracking and product-specific risks

Risks shared by both routes

  • Bitcoin volatility: The value can move sharply, so neither an ETP share nor directly held bitcoin is a stable-value asset.
  • Market liquidity: Spreads can widen during stressed or illiquid markets, increasing the cost of entering or exiting.
  • Technology and cybersecurity: Trading platforms, custodians, brokerages and wallet software can experience outages, attacks or operational errors.

Additional ETP risks

  • Tracking deviation: The share may not match the bitcoin price exactly because of the sponsor fee, trading costs, portfolio operations and market conditions.
  • Premium or discount to NAV: Exchange trading determines the price you receive; it can be higher or lower than the trust’s calculated NAV.
  • Issuer and custodian dependence: You rely on the trust’s legal structure, sponsor, custodian, brokerage and exchange. A problem in any link can affect access or value.
  • Regulatory and market-structure changes: Listing approval does not guarantee a permanent product, unchanged fees or uninterrupted trading.

Additional direct-ownership risks

  • Key loss: Losing the private key or seed phrase can permanently eliminate access.
  • Phishing and fraud: Attackers may target exchange credentials, recovery phrases, wallet software or support channels.
  • Custodian failure: If you leave coins with a third party, hacking, shutdown or bankruptcy can delay or prevent withdrawals.
  • Irreversible operational mistakes: An incorrect address, unsupported network or exposed seed can cause a loss that no broker’s trade-cancellation process can repair.

What SEC approval does—and does not—mean

On January 10, 2024, the SEC said its staff was reviewing 10 spot bitcoin ETP registration statements simultaneously. The agency had disapproved more than 20 spot-bitcoin ETP exchange-rule filings between 2018 and March 2023 before approving certain listings.

SEC Chair Gary Gensler wrote, “While we approved the listing and trading of certain spot bitcoin ETP shares today, we did not approve or endorse bitcoin.” He also said the action “does not endorse the disclosed ETP arrangements, such as custody arrangements.” Approval therefore means the listed securities met the applicable filing and exchange requirements; it is not a recommendation of bitcoin, a guarantee of performance or a certification that any particular custodian is risk-free.

Which route fits your objective?

Choose the ETP when your priority is brokerage simplicity

An ETP may fit if you already use a brokerage, want exchange-traded price exposure, prefer statements and orders in the same account as other securities, and do not need to send or spend bitcoin. Accept the ongoing sponsor fee, market-hour trading and the fact that you own shares rather than transferable coins.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Choose direct bitcoin when transferability matters

Direct ownership is the relevant route if you need to move bitcoin to another wallet, hold keys yourself, use the network or preserve control outside a securities account. Budget for the purchase spread, platform and network charges, wallet equipment if applicable, and the time needed to learn backups and transaction verification.

Use third-party custody only deliberately

Keeping direct bitcoin with a platform can be a middle ground for people who want the asset’s transferability but are not ready for self-custody. It also concentrates counterparty risk. Confirm that withdrawals are enabled for your account, understand limits and review what happens if the provider is offline or insolvent.

A practical decision checklist

  • Do you need to transfer bitcoin to a wallet or use it on the network?
  • Can you access the desired product through a brokerage in your country and account type?
  • Have you added every cost: sponsor fee or trading spread, brokerage commission, exchange fee, withdrawal or network fee, custody charge and hardware device?
  • Which failure can you manage better: a custodian or issuer problem, or the possibility of losing your own seed phrase?
  • How long will you hold, and how much will repeated buying and selling make spreads and commissions matter?
  • Have you read the current prospectus, fee schedule, withdrawal policy and custody disclosures rather than relying on an old fee comparison?

Bottom line for a 2026 decision

Use a spot bitcoin ETP for straightforward, brokerage-based exposure when you accept sponsor fees, market-price/NAV differences and the inability to withdraw bitcoin. Buy bitcoin directly when control, transferability or network use outweighs the technical and security work. In either case, compare all-in costs and the exact custody arrangement available to you on the day you invest; fees, waivers, tickers, broker access and withdrawal terms can change.
