For most investors seeking bitcoin-price exposure in a regular brokerage account, a low-cost spot-bitcoin exchange-traded product (ETP) is the cleaner starting point. It holds bitcoin through a custodian and is designed to reflect the asset’s value less expenses. A bitcoin-treasury stock is common equity in an operating company. Its return depends on bitcoin, the company’s debt and preferred financing, share issuance, business results, custody and the premium or discount investors place on the stock relative to its bitcoin holdings. That structure can produce greater upside than bitcoin in some markets, but it can also magnify losses and tracking errors.

What you are actually buying

A spot-bitcoin ETP

A spot-bitcoin ETP owns bitcoin for a trust and issues exchange-traded shares representing an interest in that vehicle. The trust’s stated objective is generally to reflect the value of the bitcoin it holds, minus expenses and liabilities. In one SEC filing, Bitwise identifies Coinbase Custody Trust Company as the custodian. The investor does not normally take possession of private keys; the trust and its service providers handle custody, valuation and administration.

The word “ETF” can be confusing. The SEC’s Investor Bulletin explains that products using ETF in their names are not necessarily registered as investment companies under the Investment Company Act of 1940. A spot-bitcoin product can instead be organized as a commodity trust or another exchange-traded structure. Read the product’s prospectus and registration statement rather than assuming that every product has the legal protections, diversification rules or operating requirements of a conventional stock or bond fund.

A bitcoin-treasury stock

A treasury stock is ordinary equity in a company that has chosen bitcoin as a major treasury asset. The company can sell common shares, issue debt or sell preferred securities, then use the proceeds to purchase bitcoin. Your shares are a claim on the entire company after its creditors and preferred holders—not a redeemable claim on a fixed number of coins.

Strategy’s 2024 Form 10-K described issuing debt or equity to buy bitcoin. Its 2025 filing described bitcoin as a core component of the balance sheet and capital structure and warned that concentration, custody, liquidity and regulatory risks can materially affect shareholders. The company’s business activities, cash needs, governance decisions and financing terms therefore matter alongside the bitcoin price.

How the two structures create exposure

ETP share creation and redemption

When demand for an ETP changes, authorized participants can generally create new shares by delivering the required bitcoin or cash, or redeem shares under the trust’s procedures. This arbitrage mechanism is intended to keep the market price close to the value of the underlying bitcoin, known as net asset value (NAV). It is a design feature, not a guarantee: trading spreads, market stress, fees, settlement conditions and temporary imbalances can still produce a premium or discount.

Shares trade on an exchange during market hours, so you can buy or sell without opening a digital-asset wallet. The share price can move while bitcoin markets trade continuously, and the ETP may open at a different price from its prior close when bitcoin moved overnight. The trust’s expenses gradually reduce the bitcoin value represented by each share.

Treasury-company financing

A treasury company can increase bitcoin per share when it raises capital at a favorable valuation and buys more bitcoin than the dilution or financing cost offsets. It can reduce bitcoin per share when it issues stock at an unfavorable price, incurs expensive debt, pays preferred dividends, sells bitcoin or fails to cover obligations with operating cash flow.

  1. Raise capital: The company sells common stock, convertible or other debt, and sometimes preferred securities.
  2. Acquire bitcoin: Proceeds are used to purchase and custody bitcoin, subject to the company’s policies and market conditions.
  3. Service the capital stack: Interest, maturities, covenants, preferred dividends and other obligations must be met regardless of bitcoin’s daily price.
  4. Revalue the equity: Investors price the company’s bitcoin, liabilities, operating assets and future financing options. That market price can be above or below a calculated look-through NAV.

Because these steps involve a corporation, the stock’s performance is not mechanically tied to the number of bitcoins on its balance sheet. A share can rise faster than bitcoin when investors reward the company’s financing model, or fall faster when they fear dilution, refinancing problems or a shrinking premium.

Issue Spot-bitcoin ETP Bitcoin-treasury stock
What you own A share in a trust or similar vehicle holding bitcoin, less expenses and liabilities Common equity in an operating company that owns bitcoin among its assets
Exposure fidelity Intended to reflect bitcoin held by the trust, less expenses Bitcoin plus operations, financing, liabilities, governance and market-to-NAV effects
Leverage and dilution No corporate balance-sheet leverage at the investor level; fund expenses reduce return Debt, preferred claims and new common shares can amplify gains and losses and dilute holders
Price versus NAV Premiums, discounts and spreads can occur; creation and redemption are designed to support alignment The stock can remain above or below look-through bitcoin value; there is no ETF-style redemption right for an individual shareholder
Liquidity and access Exchange-traded through a brokerage; liquidity depends on the product and market conditions Exchange-traded equity; liquidity and financing depend on the issuer, its shareholder base and market conditions
Custody risk Trust-level custodian, administrator and operational controls Corporate custody, counterparties, internal controls and private-key security are issuer risks
Diversification Focused exposure to bitcoin through a product wrapper Bitcoin concentration combined with operating-company and governance exposure
Typical fit An investor prioritizing simpler, closer bitcoin tracking An investor intentionally accepting complex equity and financing risk for potentially amplified exposure

Why a treasury stock can move more than bitcoin

Leverage on the balance sheet

Debt creates a fixed claim ahead of common shareholders. If bitcoin appreciates substantially, the value left for common equity can grow faster than the coin price because debt repayment is relatively fixed. If bitcoin falls, the same fixed obligations consume a larger share of the company’s assets and cash flow. Refinancing may also become more expensive or unavailable when markets turn against the company.

Premiums and discounts to holdings

Investors may pay a premium for a company that can raise capital, has a recognizable strategy or is viewed as a convenient proxy for bitcoin. That premium can expand the stock’s gains during enthusiasm and contract abruptly during risk-off periods. A discount can arise when shareholders question governance, custody, liquidity, future dilution or the value of non-bitcoin operations. Unlike an ETP, a stockholder generally cannot redeem shares directly for the company’s proportional bitcoin.

Share issuance and dilution

New common shares increase the number of claims on the company. Issuing them above the company’s look-through value can benefit existing holders if the proceeds buy enough bitcoin; issuing below that value can transfer economic value away from current holders. Convertible securities can add future dilution if conversion terms become attractive. Read the company’s share-count history, authorization limits and financing agreements instead of judging exposure from its bitcoin total alone.

Operating and governance results

Revenue, expenses, acquisitions, litigation, executive decisions, capital allocation and shareholder voting all affect common stock. Even a company whose bitcoin holdings are rising can underperform bitcoin if operating losses consume cash or management makes an unfavorable financing decision. Conversely, successful operations or a valuable software business can support the stock independently of bitcoin.

Risks both vehicles share—and risks they do not

Bitcoin volatility

The SEC has warned that bitcoin prices can fluctuate widely. Neither an ETP nor a treasury stock removes that underlying volatility. A brokerage wrapper changes how you hold the exposure, not the risk of a sharp move in bitcoin.

ETP-specific risks

  • Tracking difference: Expenses, trading costs and the trust’s operating liabilities mean returns will normally be below the spot bitcoin return over time.
  • Premiums, discounts and spreads: Market stress or a closed market can widen the gap between the share price and NAV.
  • Custody and operational controls: A custodian, administrator or other service provider could suffer an outage, security incident or legal restriction.
  • Product structure: Legal protections, creation and redemption procedures and fee schedules differ by prospectus. The “ETF” label alone does not establish identical regulation.

Treasury-stock-specific risks

  • Financing risk: Interest, preferred dividends, covenants and maturities can force asset sales or unfavorable refinancing.
  • Dilution: New shares and convertible securities can reduce each existing share’s economic claim.
  • Corporate liquidity: The company may need cash when bitcoin is depressed and may be unable to sell assets at a favorable price.
  • Custody and counterparty risk: The issuer’s wallet controls, custodians, exchanges and procedures affect shareholders.
  • Regulatory and governance risk: Changes in rules, disclosures, management decisions or shareholder actions can move the stock independently of bitcoin.
  • Market-to-NAV risk: A falling premium or widening discount can overwhelm a favorable move in the underlying asset.

What the published data says about market size and ownership

The Federal Reserve reported that crypto-ETPs had approximately $100 billion in aggregate market capitalization in late December 2024. That is a snapshot of the market at that date, not a forecast or a measure of future demand.

The same Federal Reserve analysis estimated that about 20% of crypto-ETP shares were held by institutions identified through 13-F filings and roughly 80% by retail and other smaller investors, using filings through September 13, 2024. The estimate describes reported ownership and does not prove that one ownership group receives better returns.

Company scale can also change quickly. Strategy reported approximately 447,470 bitcoins as of December 31, 2024 in its 2024 Form 10-K. Its 2025 Form 10-K reported approximately 717,131 bitcoins acquired for approximately $54.5 billion, at an average cost of approximately $76,027 per bitcoin, as of February 13, 2026. Those figures describe one issuer at specific reporting dates; they are not a target allocation or evidence that its shares will track bitcoin.

A decision framework for choosing between them

Choose the ETP baseline when tracking fidelity is the priority

  • Your objective is to approximate bitcoin’s daily and long-term price movement rather than invest in a company.
  • You want transparent exchange pricing and a conventional brokerage security.
  • You do not want to analyze debt maturities, preferred claims, share issuance or operating cash flow.
  • You can accept the ETP’s expense ratio, custody arrangements and occasional premium or discount.

Compare each candidate’s stated objective, total expenses, bid-ask spread, average trading volume, creation and redemption process, custodian and history of premiums or discounts. A lower headline fee is not automatically better if execution spreads or structure create larger tracking differences.

Consider a treasury stock only as an equity and financing decision

  • You understand that the stock can diverge materially from bitcoin in either direction.
  • You have reviewed debt terms, preferred dividends, maturities, conversion features and authorized share capacity.
  • You can tolerate operating, governance, custody and regulatory risks in addition to bitcoin volatility.
  • You have a reason to believe the company’s financing and operations justify accepting those risks, rather than using the stock merely because it is available in a brokerage account.

Ask how many bitcoins are held, how that number changed per diluted share, what liabilities rank ahead of common equity, when major obligations mature, how bitcoin is custodied and what would happen if the company needed liquidity during a bitcoin downturn. A large bitcoin total by itself does not answer those questions.

How to buy and monitor either security through a brokerage

  1. Confirm the account and security: Verify that your brokerage permits the specific ETP or stock, identify the correct exchange ticker and read the current disclosure documents. Names can be similar, so check the issuer and security type before placing an order.
  2. Define the exposure you want: Decide whether the position is intended to follow bitcoin or to take an equity view on a treasury company. Do not substitute one objective for the other after a price move.
  3. Review trading conditions: Check the live bid-ask spread, recent volume and the ETP’s indicative NAV or the stock’s relationship to estimated bitcoin value. A market order can execute at a materially different price in a fast market; a limit order controls the maximum purchase price but may not fill.
  4. Size for the downside: Model a severe bitcoin decline and, for a treasury stock, an additional fall in the company’s premium or a financing shock. Keep the position small enough that you can hold through volatility without forced selling.
  5. Record your rationale: Note the product’s fees and custody for an ETP, or the company’s debt, preferred securities, diluted share count and bitcoin-per-share measure for a treasury stock.
  6. Monitor at reporting dates: Recheck filings, share counts, bitcoin holdings, liabilities, maturities, custody disclosures and any change in the product’s structure. For an ETP, compare market price with NAV and watch for persistent tracking differences. For a stock, track both bitcoin per share and the premium or discount investors are assigning.

Brokerage availability, commissions, account eligibility and tax treatment vary by jurisdiction and provider. Verify those details in your own account and the issuer’s current documents rather than assuming that two exchange-traded securities have identical costs or tax results.

Three practical investor situations

The tracking-focused investor

This investor wants bitcoin exposure, has no interest in managing private keys and does not want corporate credit risk. An ETP’s trust structure, published objective and creation-redemption mechanism address that need more directly than common stock. The investor still has to accept bitcoin volatility, expenses, custody risk and possible trading premiums or discounts.

The opportunistic equity investor

This investor is deliberately analyzing a company’s ability to raise capital, acquire bitcoin and manage debt. A treasury stock may offer a way to express that view, but the thesis must include financing terms, dilution and operations. Bitcoin’s direction is only one input; a correct bitcoin call can still produce a poor stock result if the premium contracts or new financing harms existing holders.

The investor comparing a recent rally

A stock that outperformed bitcoin over a short period may have benefited from a rising premium, leverage or favorable issuance rather than superior long-term bitcoin tracking. Before extrapolating the move, separate the change in bitcoin holdings per share from the change in the market valuation assigned to the company. The reverse is also true: a stock lagging bitcoin may reflect a shrinking premium or financing concern rather than a failure of bitcoin exposure itself.

Bottom line

A spot-bitcoin ETP is generally the more direct, simpler instrument for investors whose goal is to follow bitcoin’s price through a brokerage account. A bitcoin-treasury stock is a leveraged, actively financed equity position: it can outperform when bitcoin rises and capital markets cooperate, but it can also underperform sharply because of debt, preferred claims, dilution, operating results, custody, regulation or a changing premium to NAV. Treat the stock as an equity investment with bitcoin concentration—not as a redeemable substitute for bitcoin—and choose it only after those additional risks fit your objectives and capacity for loss.
