Short answer: A U.S. spot bitcoin exchange-traded product (ETP) holds bitcoin in a trust, while a bitcoin futures fund holds futures contracts linked to bitcoin prices. The spot structure avoids futures expiration and rolling, but its shares can still trade away from bitcoin’s value and its sponsor fee reduces the bitcoin represented by each share over time. A futures fund can diverge because futures prices differ from spot prices, contracts expire, and replacing them can help or hurt returns depending on the futures curve.
This comparison is limited to U.S. products and explains structures rather than recommending a particular fund. “Bitcoin ETF” is common shorthand, but SEC staff describes U.S. spot bitcoin products as exchange-traded commodity trusts, not investment companies registered under the Investment Company Act of 1940. Always use the current prospectus, holdings and market data for a named product.
What you actually own through each structure
The most important difference is the asset inside the vehicle. A spot bitcoin ETP’s trust holds bitcoin with a custodian. A futures-based fund holds standardized bitcoin futures contracts and may hold cash, Treasury bills or other collateral. Holding a futures contract gives the fund price exposure to bitcoin without owning bitcoin itself.

How a spot bitcoin ETP works
Bitcoin is held in the trust
Authorized participants create and redeem shares under the trust’s procedures, while the trust’s custodian holds the underlying bitcoin. The share price is intended to reflect the value of the bitcoin represented by a share, less expenses. The amount of bitcoin represented by one share gradually declines as the sponsor’s fee and other trust expenses are paid from the assets.
Spot exposure removes futures roll mechanics
Because the trust holds bitcoin rather than a series of expiring contracts, it does not need to sell a near-month futures contract and buy a later-month contract simply to keep exposure. That removes one important source of divergence from the bitcoin spot price. It does not make tracking perfect: the share can trade at a premium or discount, the valuation of bitcoin markets can differ, and fees and operational events still affect results.
Share-market effects still matter
Supply and demand for the ETP’s shares can temporarily move the market price away from the trust’s net asset value. Creation and redemption mechanisms are designed to help arbitrage those differences, but they cannot eliminate every premium, discount or trading disruption. The SEC also cautions that issuer issues and crypto-market events can affect a spot product’s shares independently of a simple bitcoin price change.

How a bitcoin futures fund works
Futures are time-limited agreements
A futures contract is a standardized agreement tied to buying or selling an amount of an asset at a specified future date and price. Bitcoin futures trade on regulated futures exchanges, and a fund obtains price exposure by holding those contracts rather than taking delivery of bitcoin. The contract’s price can be above or below the current spot price and can differ from the price of another expiration month.

Maintaining exposure requires a roll
As a contract approaches expiration, a fund that wants continuing exposure generally sells or closes it and buys a later-dated contract. This replacement is called rolling. The price relationship between the expiring and new contracts determines whether the transaction helps or hurts the fund, in addition to any trading costs and fees.
Contango and backwardation
Contango is an upward-sloping futures curve in which a later contract costs more than a nearer contract. Selling the cheaper expiring contract and buying the more expensive later contract can create a roll cost or roll premium that reduces returns, all else equal. Backwardation is an inverted curve in which later contracts cost less; the economics can move in the fund’s favor. Neither condition is permanent, and the outcome depends on the contracts, dates and strategy selected by the fund.
The CFTC’s “What is a Bitcoin Futures ETF?” page describes these mechanics and warns that “Regulated doesn’t mean risk-free.” Regulation of an exchange or fund does not eliminate bitcoin volatility, futures losses, liquidity problems or operational risk.
Collateral and margin affect results
A futures fund normally posts collateral and may hold cash or short-term government securities while maintaining its contracts. Daily gains and losses are settled through the futures market, so margin requirements and the fund’s ability to meet them matter. A fund may use a wholly owned subsidiary or other structure for futures exposure; the prospectus explains the arrangement, limits and associated risks.

Why returns can differ from bitcoin’s spot return
Futures basis can be positive or negative
The difference between a futures price and the spot price is commonly called the basis. A fund can lose relative ground when it repeatedly buys expensive later contracts, but it can also benefit when later contracts are cheaper. Even before a roll, a futures contract may not move one-for-one with the spot market because it reflects interest rates, supply and demand for futures, expected volatility and other market conditions.
Roll timing and contract selection matter
Two funds that both target bitcoin futures can produce different results if one uses a different expiration month, rolls on different dates or holds a different number of contracts. A fund’s stated benchmark, position limits, liquidity rules and discretion around the roll should be reviewed rather than inferred from its ticker.
Illustrative roll example
Assume, purely as an illustration, that a fund closes a contract at $100 and the next contract costs $105. With no other price movement, the fund must spend more to maintain a similar notional exposure, creating a negative roll effect. If the next contract instead costs $95, the replacement could create a positive roll effect. Actual results also include daily settlement, transaction costs, collateral income, management fees and changes in bitcoin prices.
Fees compound in both structures
Both spot trusts and futures funds charge expenses. A spot sponsor fee reduces the bitcoin amount represented by each share. A futures fund’s expense ratio is only one part of its drag: brokerage and exchange costs, bid-ask spreads, collateral income or losses, margin financing and roll effects can all influence the net result. Fee waivers may expire, so check the current prospectus and fee table rather than relying on an older figure.

Spot does not mean perfect tracking
A spot ETP avoids futures basis and expiration, but its market price can still diverge from the value of the bitcoin held by the trust. Premiums or discounts, creation and redemption frictions, custody interruptions, valuation timing and extraordinary crypto-market events can all contribute. The sponsor fee is a persistent, mechanical reduction in the bitcoin represented by a share.
It is therefore too broad to say that spot products always track better. They avoid futures-specific roll and basis mechanics, while futures funds may at times benefit from favorable backwardation. The appropriate comparison is the product’s stated objective and its historical tracking against that objective over comparable periods, after expenses.
U.S. legal and regulatory structure
Spot bitcoin products are not 1940 Act investment companies
In its September 2024 bulletin, SEC staff describes U.S. spot bitcoin ETPs as registered offerings and securities organized as commodity trusts. They are not registered investment companies under the Investment Company Act of 1940, even though investors and media often call them ETFs. That distinction affects the legal protections, disclosure framework and governance rules that apply; it does not make a spot product unregulated or risk-free.

Separate the product from the bitcoin market
Futures exchanges are subject to Commodity Futures Trading Commission oversight, while the spot bitcoin market has a different regulatory landscape. A securities-law filing, exchange listing or regulated futures venue does not guarantee the safety of the underlying market or the product. Laws, approvals and product terms can change, so current filings govern.

A product-by-product diligence process
Do not choose between categories from a ticker, a headline return or a single expense ratio. Use the following process for every fund under consideration.
- Identify the actual holdings. Open the latest holdings file and prospectus. Confirm whether the portfolio contains bitcoin, futures, cash, Treasury bills, swaps or a subsidiary, and note the percentage or limits for each.
- Read the legal structure. Determine whether the vehicle is a commodity trust, a 1940 Act fund or another registered structure. Note custody, valuation, creation and redemption, and the protections that actually apply.
- Record the complete fee terms. Capture the total expense ratio, any temporary waiver, the waiver’s end date and expenses that may sit outside the headline ratio. Fees can change with amendments to the prospectus.
- For futures funds, map the roll policy. Find the contract months, usual roll dates or windows, number of contracts, position limits and the benchmark methodology. A fund that rolls monthly can behave differently from one using a different schedule.
- Inspect collateral and margin rules. Identify eligible collateral, where it is held, how collateral income is treated, and what happens if margin requirements rise or futures liquidity falls.
- Compare tracking on matched periods. Compare the fund’s net asset value return with its stated benchmark and with bitcoin’s spot return over the same dates. Separate market-price return from NAV return and account for fees, premiums and discounts.
- Check trading conditions. Review average volume, bid-ask spreads, creation and redemption activity, and the frequency and size of premiums or discounts. These conditions change, particularly during market stress.
- Read the risk factors for failure scenarios. Look for custody loss, cyber incidents, exchange outages, futures limit moves, counterparty default, forced liquidation, valuation uncertainty and suspension of creations or redemptions.
- Recheck before trading. Prospectuses, fee waivers, holdings, contract specifications and availability are not permanent. Use the latest filing and market data on the date of the decision.
What historical evidence can—and cannot—tell you
The Bank for International Settlements analyzed a hypothetical launch of a bitcoin futures ETF in 2018 and wrote that it would have underperformed spot prices by about 18% cumulatively over the following four years in that analysis. This is a historical hypothetical from a 2021 study, not a current category statistic, a forecast or a guaranteed result for every futures fund. The analysis is available in Launch of the first US bitcoin ETF: mechanics, impact, and risks.
There is no single universal roll-cost number or current representative performance gap for all U.S. spot and futures products. Contract curves, strategies, fees, market conditions and fund operations change. Treat any generalized percentage as context, not as a substitute for the individual fund’s record.
Common misconceptions to avoid
- “A futures ETF owns bitcoin.” Futures provide contractual price exposure; the fund’s prospectus must be checked for any separate bitcoin holding.
- “Spot means risk-free tracking.” Spot products avoid futures rolls but still have fees, share-market premiums or discounts, custody risks and bitcoin volatility.
- “Contango always causes a loss.” Contango can make a roll costly, but backwardation can produce the opposite effect and the fund’s exact transactions matter.
- “A regulated product is safe.” As the CFTC states, “Regulated doesn’t mean risk-free.” Regulation does not remove market, operational, counterparty or liquidity risk.
- “The lowest expense ratio is automatically best.” Total outcomes also depend on basis, rolls, collateral, spreads, tracking history and the quality of custody and operations.
- “A ticker tells you the structure.” Names and marketing shorthand can obscure whether a product is a commodity trust, a 1940 Act fund, a subsidiary arrangement or another vehicle.
Bottom line for investors
A spot bitcoin ETP gives an investor trust-level exposure to bitcoin itself, with no futures expiration to roll, but fees and share-market effects can still create tracking differences. A bitcoin futures fund gives exposure through expiring contracts, so basis, contract selection, rolling, collateral and margin become additional determinants of return. Neither structure guarantees close tracking or limits bitcoin’s volatility.
For a defensible comparison, start with the latest prospectus and holdings, then evaluate fees, legal wrapper, custody, roll rules, collateral, liquidity and matched-period tracking. The right conclusion depends on the specific product and the date you examine it, not on the word “ETF” alone.
