How do biotech IPO risks and valuation differ from tech IPOs? A development-stage biotech may be valued before it has an approved product or any product revenue, so clinical evidence, regulatory milestones, cash runway and the probability of reaching market can dominate the analysis. A technology IPO may offer operating evidence such as revenue, customer adoption, growth and a clearer route toward profitability. Neither pattern applies to every issuer: the right comparison is always stage-, business- and evidence-specific.

The practical question is: what should investors look at when comparing a biotech IPO with a technology IPO? Read each prospectus as a record of what is known, what is forecast and what could invalidate the investment case.

The fundamental difference: what evidence exists today?

Biotech and technology companies can both be high-growth, loss-making businesses, but an IPO investor often receives different kinds of evidence.

A clinical-stage biotech can still be testing whether its product works, whether it is safe enough for regulators, and whether it can be manufactured consistently. The company may have no approved product and no product revenue. Its value therefore depends heavily on the quality of its data, the probability and timing of future milestones, and its ability to finance development until those milestones arrive.

Some technology issuers instead have a commercial product, paying customers and a history of revenue. Investors can examine growth rates, gross margins, retention, sales efficiency, competitive position and management’s assumptions about reaching profitability. That evidence does not eliminate risk: customer concentration, price pressure, rapid technological change and unprofitable growth can still undermine the offering.

The distinction is not “science versus business” or “safe tech versus risky biotech.” It is a difference in where the most important uncertainty sits. For one biotech, uncertainty may be concentrated in a pivotal trial and regulatory review. For one software or hardware company, it may be concentrated in converting demand into durable revenue and profit.

Why biotech IPO risk is often milestone-driven

Clinical trials can fail or take longer than planned

A trial can miss its endpoint, produce an inconclusive result, reveal an unacceptable safety signal or enroll patients more slowly than expected. Even a promising early result may not predict success in a larger or differently designed study. Delays increase costs and push the next value-changing event further into the future.

Apogee Therapeutics states the issue directly in its SEC-filed 2025 Form 10-K: We are a clinical stage biotechnology company with a limited operating history, we are currently conducting clinical trials, and we have no products approved for commercial sale, which may make it difficult for you to evaluate our current business and likelihood of success and viability. (Apogee Therapeutics, 2025 Form 10-K.) This is an issuer risk disclosure, not an independent prediction, but it captures why conventional operating comparisons can be weak for a pre-revenue biotech.

Regulatory approval is a separate hurdle

Positive clinical data does not guarantee approval. Regulators can request additional analyses or trials, require changes to a development plan, restrict a label or decline an application. The timing of review can also change. For products involving advanced modalities, investors should identify the applicable regulatory pathway and the evidence regulators require rather than assuming that a successful study automatically leads to launch.

The relevant questions include which agency and review route apply, what milestone is next, what submission is expected, and what the company says could delay or prevent that milestone. The U.S. Food and Drug Administration’s guidance resources on potential cellular and gene therapy products illustrate why the pathway can be product-specific (FDA guidance page).

Time to value is uncertain

A biotech’s valuation may rise or fall around a small number of catalysts: interim data, a pivotal readout, a regulatory filing, an approval decision or a partnership. The date, probability and information content of each catalyst matter. A projected event six months away is not equivalent to one that may occur several years from now, particularly when the company must keep spending throughout the interval.

Financing can change the ownership story

Clinical development consumes cash before commercial revenue exists. If the current balance does not fund the next meaningful milestone, the company may issue shares, sell securities with preferential terms, borrow, license an asset or reduce the program. New equity can dilute existing holders; a financing made during weak market conditions may be especially costly. A cash-rich balance sheet does not remove the need to model burn, contractual commitments and the cost of later-stage trials.

Manufacturing, intellectual property and commercialization add risk

Manufacturing a clinical material at scale and to consistent quality can be difficult. Patent scope, remaining patent life, freedom to operate and potential competing claims affect the period of commercial protection. After approval, actual revenue still depends on the label, price, reimbursement, physician and patient adoption, supply and competition from other therapies. These are reasons to assess the eventual commercial opportunity separately from the probability of getting approval.

How technology IPO risk is commonly framed

The evidence available for a technology issuer varies widely. A mature enterprise-software company may report several years of subscription revenue, renewal data and gross margins. A young platform, semiconductor designer or artificial-intelligence company may have meaningful technical and commercial uncertainty despite an IPO.

The 2025 technology IPO market description from Wilson Sonsini Goodrich & Rosati says companies with strong revenue growth, visibility into profitability or exposure to secular-growth themes were well received (2025 Technology and Life Sciences IPO Report). This indicates what investors rewarded in that reported cohort; it is not a requirement that every technology IPO have profits or a predictable path to them.

Operating evidence investors can test

  • Revenue quality: distinguish recurring, contracted or usage-based revenue from one-time sales, and identify customer concentration.
  • Growth durability: examine the drivers of growth, retention, pricing, sales capacity and the size of the remaining market.
  • Profitability visibility: look at gross margin, operating expenses, cash burn and the assumptions needed to reach positive cash flow.
  • Adoption and competitive position: assess switching costs, distribution, product differentiation and the risk that a larger rival or a new technical approach changes demand.

These measures can anchor a valuation when they are supported by historical results. They remain estimates of future performance, not guarantees. A company with fast growth but heavy acquisition costs may be riskier than its headline growth suggests.

Valuation: use comparable axes, not a sector multiple

There is no universal “biotech multiple” or “tech multiple” that makes two IPOs directly comparable. A stage-matched framework is more useful.

Valuation axis Biotech questions Technology questions
Evidence and stage Is the program preclinical, in an early clinical phase or supported by pivotal data? How relevant and reliable are the endpoints and patient population? How mature is the product? What customer adoption, usage, retention and implementation evidence is demonstrated?
Revenue and profitability Is there any approved product revenue? If not, what assumptions connect a future approval to sales? What are current revenue, growth and margins? How visible is a route to profitability, and what execution assumptions does it require?
Risk and time to value What is the next clinical or regulatory catalyst, when may it occur, and what could delay or invalidate it? What product launches, renewals, capacity increases or market expansions must happen to support the forecast?
Cash and financing How long will cash fund trials and operations? How much dilution could future financing create? Is the business self-funding, and if not, how much cash is needed to sustain growth or reach break-even?
Market and competition What is the addressable patient population, competing treatment, likely label, reimbursement environment and IP protection? What is the serviceable market, competitive response, pricing power and risk of substitution or obsolescence?
Benchmark and venue Are the peer companies at the same development stage and pursuing comparable indications? Does the market have specialist analyst and investor coverage? Are peers comparable by business model, geography, growth rate, margin profile and reporting date?

For any numerical comparison, identify the issuer set, date, geography, development or commercial stage, revenue status and metric. Keep reported figures separate from management forecasts. A revenue multiple based on a commercial technology company cannot be applied meaningfully to a pre-revenue biotech simply because both are going public.

Biotech-specific valuation inputs

Data quality and the next catalyst

Read beyond the headline result. Examine trial design, control group, endpoint definition, statistical plan, follow-up period, patient selection and safety findings. Then ask what evidence is still missing before approval. A catalyst is valuable only to the extent that it resolves an important uncertainty.

Probability-adjusted development path

Management’s timeline should be tested against the number and duration of remaining studies, regulatory interactions, manufacturing work and enrollment requirements. The longer and more complex the path, the more capital and execution risk stand between today’s valuation and a commercial product.

Cash runway and dilution

Use the latest balance sheet, operating cash use, research commitments and planned trial costs to estimate whether the IPO proceeds reach the stated milestone. The prospectus should explain intended use of proceeds, but investors must decide whether those proceeds are sufficient. A short runway can make a seemingly attractive valuation vulnerable to a near-term financing.

Intellectual property and market opportunity

Patent filings do not automatically establish durable exclusivity. Review expiration dates, issued versus pending claims, licenses, geographic scope and litigation disclosures. Separately evaluate the market after approval: a large theoretical patient population may translate into a smaller commercial opportunity because of diagnosis, treatment sequencing, reimbursement or a narrow label.

Technology-specific valuation inputs

Revenue composition and customer behavior

Separate recurring revenue from services, hardware or one-off contracts. Check renewal rates, net revenue retention, backlog, deferred revenue and concentration. Growth supported by a few customers or unusually large contracts may not persist.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Margins, spending and the path to cash generation

Gross margin shows the economics of delivering the product; operating expenses show what the company spends to acquire customers, develop technology and support expansion. A forecast of profitability should identify the changes required in hiring, sales efficiency, infrastructure costs or pricing. If those changes are not visible in historical results, treat the forecast as a material execution risk.

Competition and technological change

Assess whether the company controls a defensible distribution channel, proprietary data, patents, ecosystem or switching cost. A fast-growing market can attract well-funded competitors, and a product advantage can narrow quickly. The prospectus’s risk factors and use-of-proceeds section help identify how much investment is needed to keep the position.

What the 2025 IPO snapshot does—and does not—show

Wilson Sonsini Goodrich & Rosati’s 2025 report counted IPOs using final prospectuses and research from S&P Global Market Intelligence and FactSet. Its sector labels were “technology” and “life sciences,” not “technology” and “biotech.”

Sector label in the report 2025 IPOs 2024 IPOs
Technology 22 8
Life sciences 18 25

The report describes 2025 life-sciences issuance as selective and concentrated in later-stage biotech and medtech companies with de-risked assets or near-term clinical catalysts. It describes technology demand as strongest for companies with revenue growth and profitability visibility or exposure to secular-growth themes. It also notes market volatility, geopolitical and macroeconomic headwinds, and regulatory-review friction during a U.S. federal government shutdown. Those observations describe that year’s cohort and conditions, not a forecast for the next IPO window.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Do not equate “life sciences” with biotech: the category includes medtech and other businesses, and the report does not provide a matched set of issuer-level valuation multiples that would support a sector-wide comparison.

Issuer examples: why balance sheets matter

SEC filings show how different the financial starting points can be, even among clinical-stage companies. Apogee Therapeutics reported a $255.8 million net loss for 2025 and an accumulated deficit of $561.8 million as of December 31, 2025 (2025 Form 10-K). Celldex Therapeutics reported a $287.4 million operating loss in 2025 and $518.6 million in cash, cash equivalents and marketable securities at December 31, 2025 (2025 Form 10-K).

These are issuer-specific figures, not sector averages or valuation benchmarks. They illustrate why an investor must read the balance sheet, burn rate, commitments and planned milestones together rather than relying on a headline loss or cash number alone.

A practical prospectus comparison checklist

  1. Identify the stage. Record whether the biotech is preclinical, in clinical testing or approaching a filing. For the technology issuer, record product maturity, revenue status and customer adoption.
  2. Define the next value-changing event. Write down the milestone, expected timing, evidence it will provide and the stated causes of delay, failure or additional work.
  3. Test the evidence. For biotech, review trial design, endpoints, safety, enrollment, regulatory interactions and manufacturing. For technology, review revenue composition, growth, retention, margins, customer concentration and competitive assumptions.
  4. Calculate the funding question. Compare cash and IPO proceeds with expected operating burn, research or development commitments and the cost of reaching the next meaningful milestone.
  5. Model dilution and alternatives. Read share-count tables, outstanding options or warrants, planned offerings, debt terms and management’s stated financing needs.
  6. Assess the market after success. For biotech, consider label, pricing, reimbursement, competing therapies and IP. For technology, consider market size, pricing, switching costs, distribution and substitution.
  7. Select genuinely comparable peers. Match stage, geography, business model, revenue status, indication or product category, and reporting date. A specialist IPO guide notes that peer listings can improve benchmarking, while investor appetite for a novel therapy varies by market (Baker McKenzie, Guide to IPOs for Biotech and Pharma Companies).
  8. Separate fact from forecast. Mark every management projection, probability assumption and market-size estimate. Treat historical results and regulatory filings as evidence, not as a guarantee of future performance.

Common comparison mistakes

  • Using a tech revenue multiple for a pre-revenue biotech: the biotech may have no product sales to which the multiple can be applied.
  • Treating one positive trial readout as approval: efficacy, safety, manufacturing and regulatory review remain separate questions.
  • Ignoring financing after the IPO: a company can need substantial capital before its next catalyst, creating dilution or program cuts.
  • Calling every life-sciences IPO “biotech”: the 2025 market count includes medtech and other life-sciences businesses.
  • Assuming every technology IPO is profitable or predictable: the 2025 report describes investor preference, not a universal issuer profile.
  • Comparing peers without matching dates and stages: market conditions, clinical evidence, revenue scale and cash positions change quickly.
  • Confusing a large addressable market with realizable sales: approval, label, reimbursement, adoption and competition determine what can actually be captured.

Bottom line for investors

A biotech IPO asks, in large part, whether a development program can produce reliable evidence, survive regulatory review and reach a market before financing and execution risks overwhelm it. A technology IPO may let investors anchor more of the valuation to observed revenue, customer behavior, margins and a path to profitability, but those anchors are only as durable as the company’s competitive position and assumptions.
