Binance.US is seeking up to $100 million in a private financing round at a target valuation of approximately $1 billion, according to contemporaneous reporting citing Bloomberg. The financing is still in progress, so the amount, valuation and investor lineup may change before closing. World Liberty Financial (WLF) was informed about the effort but is not currently participating, according to a separate source familiar with the matter.
What Binance.US is reportedly raising
Up to $100 million, not a completed transaction
The reported round has a maximum target of $100 million. That figure describes the amount Binance.US is seeking, not money that has already been deposited or committed in a closed financing. No public term sheet or signed closing date has been disclosed.
A target valuation near $1 billion
The proposed financing values Binance.US at approximately $1 billion. Reporting does not establish whether that figure is a pre-money or post-money valuation, so it should not be compared mechanically with every earlier valuation figure. The target can also change while negotiations continue.

WLF was made aware of the fundraising effort, but the source familiar with the matter said it is not currently investing. Spokespeople for both Binance.US and WLF declined to comment. Awareness of a fundraising process is therefore not evidence of a commitment, allocation or partnership.

Why Binance.US is seeking capital now
The stated objective is to expand the U.S. business as digital-asset platforms compete for customers. The company is also working within a difficult operating environment in which access to banking and state-by-state licensing affects which services it can offer.
Restoring state money-transmitter licenses
Reported expansion work includes restoring money-transmitter licenses in some U.S. states. Binance.US has not said that every planned restoration is complete. Licensing status can determine whether customers in a particular state can use dollar services, so progress may arrive unevenly across the country.

Dollar services remain state-dependent
Binance.US’s official help guidance says some states currently operate as crypto-only while the company works to restore U.S. dollar services. Customers should check the service availability shown for their state rather than assume that deposits, withdrawals or trading pairs are identical nationwide.

Potential products and liquidity arrangements
Other reported options include exploring prediction markets and considering external trading liquidity, potentially from the global Binance platform. These are reported possibilities, not finalized launches or contracts. The fundraising could provide resources for product development, compliance work and customer acquisition, but the company has not published a detailed use-of-proceeds plan.

The company also restored its referral program on September 10, 2025, according to its help guidance. That date establishes when the program returned; it does not establish how much money the fundraising would allocate to referrals or marketing.
How the target compares with Binance.US’s 2022 financing
Binance.US announced in 2022 that it had raised more than $200 million at a $4.5 billion pre-money valuation. The newly reported target of approximately $1 billion is materially lower than that earlier reference point.

This is an important but imperfect comparison. The current figure is a fundraising target, while the 2022 amount was announced as money raised. The current valuation’s pre-money or post-money status is also unresolved, whereas the 2022 announcement specifically used a pre-money valuation. Changes in market conditions, regulation, banking access and the company’s operating position may also affect the price investors are willing to pay.
Binance.US and global Binance are separate operations
Binance.US launched in 2019 and operates independently from the global Binance trading platform. Changpeng Zhao is a major shareholder of both entities, but operational separation does not make them the same company or guarantee that products, liquidity, licenses or customer protections are interchangeable.

That distinction matters because the reported plan to consider external liquidity from global Binance would be an arrangement requiring its own commercial, technical and regulatory decisions. The reporting does not say that such a liquidity agreement has been finalized.
What has not been disclosed
