No. “Tokenized stock” describes a security or security-related interest represented in token form, while “stock-backed crypto token” is an imprecise marketing label. A token might give you issuer-recognized ownership, an indirect entitlement to shares held by a custodian, or only a contract whose value follows a stock price. The token’s name, ticker and blockchain do not establish which one it is. In the United States, the controlling evidence is the offering document, custody arrangement, ownership record and rights attached to that particular product.
Why the two phrases are easy to confuse
Both phrases suggest that a blockchain token is connected with a publicly traded company. That common description hides several legally different arrangements. “Tokenized stock” can be used broadly for a security represented digitally, but it does not automatically mean the token holder is recorded as a shareholder. “Stock-backed” has no single standardized definition in the U.S. sources discussed here. It might mean that actual shares are held in custody, that an issuer created a tokenized class of security, or simply that a third party promises a return linked to a stock.
The Securities and Exchange Commission (SEC) staff’s January 28, 2026 statement and Investor.gov’s investor explanation separate the market into three useful structures. They are a framework for asking the right questions, not a guarantee that every product fits neatly into one category. Legal classification depends on the product’s actual terms and economic reality, not its branding.
The three structures behind a stock-linked token
1. Issuer-sponsored tokenized security
In this model, the company whose security is represented, or an agent acting for it, issues the security in tokenized form. The token may carry the rights of its class. Those rights can include voting, dividends or equivalent distributions, information rights, corporate-action treatment and a defined redemption or transfer process.

That still does not prove that the token is identical to the company’s conventional common shares. A tokenized issuance can be a different class with different rights, transfer limits or recordkeeping. The governing documents and the issuer’s ownership records determine what the holder owns. A ticker symbol or a statement that the token is “the stock on-chain” is not enough.
2. Custodial token or security entitlement
Here, a custodian or other intermediary holds the underlying shares and issues a token representing the buyer’s indirect interest. The holder may have a security entitlement through the intermediary rather than being recorded directly on the issuer’s shareholder register.

This structure can pass through some economic benefits, but the route matters. Voting instructions, dividend payments, notices, corporate actions, transfer rights and redemption may depend on the intermediary’s agreement and procedures. The token holder must also rely on the intermediary to maintain the underlying position and keep accurate records.
3. Synthetic linked security or derivative
A third party can issue its own instrument whose return follows a referenced stock without holding that company’s shares for the token holder. The SEC staff describes a linked security as the third party’s security, not an obligation of the referenced company, and says it does not confer rights or benefits from that company.

The instrument could be a security-based swap or another type of derivative, depending on its facts. Its value may closely track the stock while the holder receives no vote, dividend claim, ownership interest or direct remedy against the stock issuer. The third party’s ability to perform becomes central to the investment.
How the models differ
| Question | Issuer-sponsored token | Custodial token | Synthetic linked token |
|---|---|---|---|
| Who issues it? | The company or its authorized agent | An intermediary that holds securities in custody | A third party issuing its own linked instrument |
| What is legally represented? | A tokenized security, potentially a distinct class | An indirect security entitlement to securities held by the custodian | A separate linked security or derivative |
| Are you a direct shareholder? | Only if the governing documents and records provide that status | Generally no; the intermediary’s records and custody agreement define the entitlement | No claim against the referenced company merely because the price is linked |
| Voting and information rights | May exist, subject to the tokenized class’s terms | May be passed through, limited or handled by the intermediary | Usually not rights of the referenced company; check the contract |
| Dividends or equivalent payments | Defined by the tokenized security’s terms | May be collected and passed through by the custodian | May be reflected in the return formula, or omitted |
| Main additional risk | Different rights or recordkeeping from conventional shares | Custody, intermediary and recordkeeping risk | Issuer, counterparty, collateral and contract-performance risk |
| What determines the result? | Offering documents and issuer records | Custody agreement, entitlement records and token terms | Linked-security or derivative documentation and the issuer’s creditworthiness |
The table shows why “backed” is not a substitute for documentation. Two tokens referencing the same company can produce very different legal outcomes.

What rights should you verify before buying
Read the legal terms for each of these items rather than inferring them from a product page:
- Ownership record: Identify whose ledger or register records your interest and whether the company recognizes you as a shareholder.
- Voting: Confirm whether you can vote, how votes are collected, and whether an intermediary may vote or exercise discretion instead.
- Distributions: Determine whether cash dividends are paid, converted into another payment, net of fees, or excluded entirely. A price-linked adjustment is not necessarily a dividend.
- Corporate actions: Check the treatment of splits, mergers, tender offers, rights offerings, spin-offs and delistings.
- Information rights: See whether you receive issuer reports and notices or only information selected by the token provider.
- Redemption and conversion: Find out who can redeem, for what asset, at what price, on what schedule and subject to which suspension rights.
- Transfer and settlement: Review permitted wallets, trading venues, lockups, geographic restrictions and whether transfers require provider approval.
- Fees and adjustments: Look for custody charges, spread, financing, oracle or network fees, and clauses allowing the provider to change the tracking formula.
- Insolvency treatment: Establish whether underlying shares are segregated for customers or whether you hold only an unsecured claim against the token issuer.
Counterparty and custody risk can change the investment
An owner of a company’s underlying security faces the risks of that company and the market. A token holder may face those risks plus the risks of a custodian, platform or token issuer. If the third party fails, freezes withdrawals, loses records or enters bankruptcy, access to the referenced asset can be delayed or reduced even when the company’s shares remain valuable.

For a custodial arrangement, ask whether the shares are held in a segregated account, who has control of them, how reconciliations are performed and what claim customers have if the intermediary becomes insolvent. For a synthetic instrument, ask what collateral exists, how it is valued and whether the provider can terminate or cash-settle during a market disruption. The SEC staff and Commissioner Hester M. Peirce have both emphasized that third-party exposure can be materially different from owning the underlying security.

Putting a security on a blockchain does not turn it into a non-security. SEC Commissioner Hester M. Peirce wrote on July 9, 2025: “As powerful as blockchain technology is, it does not have magical abilities to transform the nature of the underlying asset.” Her next sentence was: “Tokenized securities are still securities.” That statement is a commissioner’s view, not a replacement for the SEC staff’s analysis or applicable law.
The SEC staff’s January 2026 statement explains that some stock-linked products can be security-based swaps. It also notes restrictions on offering security-based swaps to people who are not eligible contract participants unless applicable registration and exchange-trading conditions are met. The exact result depends on structure, offering method, participants and transaction. Do not assume that a product available through a crypto interface is available lawfully to every U.S. customer.

The SEC Office of the Advocate for Small Business Capital Formation, in material last reviewed May 15, 2026, likewise cautions that a digital security’s economic and voting rights can differ from those of a conventional security. These qualifications matter when a provider describes a token as “the same as” a listed share.
A practical process for investigating a token
- Locate the primary documents. Obtain the offering memorandum, prospectus or terms, custody agreement, risk disclosures and any redemption policy. If the provider cannot supply them, stop before treating “backed” as a factual claim.
- Identify every entity. Write down the token issuer, the stock issuer, the custodian, the broker, any guarantor and the trading venue. Determine whether the stock issuer authorized or participated in the token.
- Classify the legal interest. Decide whether the document says you receive a tokenized security, a security entitlement through custody, or a separate linked security or derivative. Do not rely on the product name.
- Trace the asset and records. For a purportedly backed token, find out where the shares are held, who reconciles the quantity, how encumbrances are disclosed and which record establishes your claim.
- Map the rights. Make a written checklist for voting, dividends, corporate actions, information, redemption, transfer and insolvency. Mark each right as expressly granted, limited, delegated or absent.
- Test failure scenarios. Read what happens if the stock market closes, the oracle fails, the token depegs, the custodian becomes insolvent, the provider is hacked or regulators restrict trading.
- Check U.S. access rules. Confirm whether the offering is registered or relies on an exemption and whether your status, location and trading venue satisfy the stated restrictions.
- Compare the economics. Account for spreads, custody fees, financing, network costs, conversion charges and any difference between the token’s price and the reference stock.
What “same” can and cannot mean
“Same” has at least three possible meanings. It could mean the token tracks the same market price, represents the same legal ownership, or gives the same shareholder benefits. A synthetic product may satisfy only the first. A custodial token may provide an indirect version of the second and some of the third. An issuer-sponsored token may provide rights equivalent to a conventional class, but only its documents establish that equivalence.
The Federal Reserve’s March 5, 2026 capital-treatment FAQ illustrates the narrow importance of identical rights. It discusses “eligible tokenized securities” that confer legal rights identical to the non-tokenized form and says the technology used to issue or transact them generally does not change their capital treatment. That banking-capital guidance does not declare every marketed stock token eligible or identical; it reinforces that legal rights, not blockchain format, are the decisive feature.
Quick Recap
Common mistakes to avoid
- Assuming one token equals one share without verifying whether the provider can redeem one for one.
- Treating a reserve statement as proof that customers own the reserved shares.
- Confusing a dividend-equivalent payment with a dividend paid by the company.
- Assuming a familiar stock ticker gives voting or information rights.
- Ignoring the token issuer’s bankruptcy risk because the reference company is financially strong.
- Assuming that U.S. availability through an application settles the product’s securities-law status.
- Using a general explanation of tokenized securities as proof of the terms of a particular offering.
The bottom line for U.S. readers
Tokenized stocks and stock-backed crypto tokens are not automatically the same. A token can be an issuer-sponsored security, an indirect custodial entitlement or a synthetic instrument linked to a stock’s price. Those categories differ in ownership, shareholder rights, redemption, custody and failure risk. Treat “backed” as a claim to verify, not a legal conclusion. The product’s current terms, custody records and applicable U.S. offering rules answer the question for that token.
