For most people, the evidence does not justify calling memecoins generally “worth buying.” The U.S. Securities and Exchange Commission (SEC) staff describes typical memecoins as assets whose prices are driven mainly by demand and speculation, often with little or no practical function, and subject to significant volatility. The Commodity Futures Trading Commission (CFTC) warns that thinly traded or newly launched tokens can be targets for pump-and-dump schemes and that liquidity, promoters, affiliates, and platform legitimacy require careful checking.

A memecoin can be a speculative purchase someone knowingly makes with money they can afford to lose. That is different from treating a popular meme, rising chart, celebrity post, exchange listing, or hardware wallet as evidence of investment quality. Before buying, establish what the token is, whether you could realistically sell it on the venue you would use, who is behind it, and what maximum loss would leave your finances intact.

What a memecoin is—and what the label does not tell you

In its February 27, 2025 Staff Statement on Meme Coins, the SEC Division of Corporation Finance describes a meme coin as a crypto asset inspired by a meme, character, current event, or trend, promoted to an enthusiastic online community that buys and trades it. In the staff’s description, people typically buy these assets for entertainment, social interaction, or cultural participation. Their value is driven primarily by market demand and speculation, functionality is limited or absent, and prices tend to be significantly volatile.

The statement is a view of SEC division staff, not a Commission rule or legally binding guidance. It does not cover every token marketed as a memecoin. The staff says its analysis does not extend to an offering that is inconsistent with the characteristics it describes or to a product using the memecoin label to disguise what would otherwise be a security. The economic realities of each transaction still matter. SEC Commissioner Caroline A. Crenshaw issued a same-day response challenging the staff statement’s framing; that response is a commissioner’s position, not an adjudication.

The staff statement puts the central risk plainly: “Given the speculative nature of meme coins, they tend to experience significant market price volatility, and often are accompanied by statements regarding their risks and lack of utility, other than for entertainment or other non-functional purposes.” That description is not a prediction about any particular token. It is a reason to investigate a specific asset rather than infer quality from its category label.

Why “worth buying” is the wrong first question

“Worth buying” combines several different decisions. A person may be asking whether a token has a useful function, whether its current price is justified, whether it can be sold quickly, whether the promoters are trustworthy, or whether the possible loss fits their finances. Those questions can have different answers.

Question What to establish Why it matters
What are you buying? The exact token, blockchain, contract address, holder rights, and stated function Similar names and promotional descriptions can conceal a different asset or no meaningful rights at all.
Can you exit? The actual trading pair, venue, order-book or pool depth, consistency of activity, and likely price impact for your order A displayed price is not a promise that someone will buy your amount at that price.
Who influences it? Identities, incentives, affiliations, insider or promoter concentration, and disclosures Concentrated control and undisclosed incentives can make manipulation or an abrupt sell-off more likely.
What can go wrong besides price? Fraud, hacked accounts, malware, wallet errors, platform failure, and a market becoming unavailable Secure custody cannot repair a fraudulent token or create buyers for an illiquid one.
Can you afford the outcome? The maximum loss you can tolerate without affecting essential expenses Speculation should not depend on leverage or money needed for rent, bills, debt payments, or emergencies.

If you cannot answer these questions with verifiable information, the appropriate conclusion is not that the token is a bargain. It is that the information is insufficient for an informed purchase.

Liquidity determines whether an exit is possible

Liquidity is the ability to buy or sell an asset in the market without causing a disproportionate price change. It belongs to a specific token, trading pair, and venue—not to the memecoin category as a whole. The CFTC lists liquidity as a due-diligence factor and warns that thinly traded or new alternative currencies and tokens are vulnerable to pump-and-dump schemes.

Do not confuse volume with executable liquidity

A headline 24-hour volume figure may combine many venues, include short-lived activity, or reflect trades in a pair you cannot use. It does not prove that you can sell a meaningful amount at the displayed price. Examine the venue and pair where you would actually trade. Look for activity that persists over time rather than a single spike, and inspect the orders or liquidity pool around the current price. A market can show a quote while having so little depth that your sell order moves the price sharply.

Estimate the effect of your intended order

Before committing funds, compare your intended order with the visible bids or pool depth. Ask how far down the available bids you would have to sell and whether a failed or partially filled transaction would leave you exposed. In an automated market maker, check the quoted output for the exact order size and the stated price-impact or slippage information. In an order-book market, check the quantity available at successive prices. These observations are venue-specific; the official advisories do not establish a universal “safe” volume, spread, or depth threshold.

Plan for a disappearing market

Investor.gov’s crypto-asset-securities alert lists the possibility that a market disappears or an asset is no longer tradable anywhere. That alert addresses crypto asset securities, so it should be treated as an illustration of platform and market risk, not as a statement that every memecoin is a security. For any token, ask what alternatives exist if the venue suspends trading, the liquidity pool is drained, or counterparties leave.

Due diligence for a specific memecoin

Use the following sequence before sending money. Completing one item does not compensate for failing another.

1. Verify the token’s identity

Confirm the exact name, blockchain network, and contract address through more than one trustworthy source. A ticker or logo is not a unique identifier. Compare the address shown in the project’s documentation with the address displayed by the venue you plan to use and with an independent blockchain explorer or other reliable reference. Be wary of search results, copied websites, and social accounts that imitate a project. The CFTC’s consumer advisories emphasize fraud and platform legitimacy, but they do not authenticate any particular contract; you must do that verification yourself.

2. Determine what ownership gives you

Read the token’s documentation and transaction terms. Establish whether holders receive an enforceable right, access to a real function, governance power with meaningful effect, or simply a transferable balance. SEC staff says typical memecoins have limited or no functionality and do not convey rights to business income or assets. That category description is not a substitute for examining a specific token’s code, disclosures, and terms. If the only stated thesis is that more people will later pay a higher price, treat it as resale speculation rather than utility.

3. Investigate the people and affiliated entities

Identify developers, promoters, issuers, market-making entities, and other listed affiliates where possible. Look for independently verifiable identities, consistent public disclosures, and an explanation of who controls treasury funds, liquidity, and privileged contract functions. Treat anonymous promises of guaranteed returns, imminent exchange listings, or secret partnerships as unverified claims. The CFTC specifically recommends extensive due diligence on individuals and entities associated with a digital coin or token.

4. Assess liquidity on your actual venue

Record the pair you would trade, the venue’s jurisdiction and operating status, recent activity, spread, depth, and any stated withdrawal or trading restrictions. Check whether activity is steady or concentrated in a sudden spike. Consider a sell transaction of the size you would realistically need, not merely a tiny test order. Thin trading can amplify price impact, enable manipulation, and leave you unable to exit at an expected price. No official source in this guidance provides a numeric liquidity threshold that makes a token safe.

5. Treat hype as a warning signal

The CFTC warns against purchasing on social-media tips or sudden price spikes. Investor.gov describes promoters touting memecoins to raise the price and selling before the hype ends. A screenshot of gains, a countdown, an influencer endorsement, or claims that a listing is “guaranteed” is promotion—not independent evidence. Pause when the sales message emphasizes urgency, secrecy, or fear of missing out. Verify each material claim using information that does not depend on the promoter being right.

6. Separate custody and platform checks from token analysis

Research the legitimacy of any exchange, website, bridge, and wallet before depositing funds or entering sensitive information. Consider account takeover, phishing, malware, private-key loss, withdrawal freezes, and insolvency or operational failure. Investor.gov’s alert discusses hacking, malware, volatility, and custody-related risks in the context of crypto asset securities. A hardware wallet can be an optional custody tool for someone who already holds crypto, but it does not prevent a token from losing value, becoming untradable, or being fraudulent. Storage security and investment merit are separate questions.

7. Set a maximum loss before you buy

The CFTC characterizes speculative purchases as carrying considerable risk and cautions that no strategy is guaranteed. Decide the maximum amount you can lose without impairing essential expenses or forcing you to borrow. Do not use leverage to make an uncertain thesis appear affordable. Write down the conditions under which you would stop adding money; otherwise a falling price can turn a small speculation into an open-ended commitment.

How pump-and-dump schemes affect memecoin buyers

A typical pump-and-dump sequence starts with promoters acquiring a position, creating a narrative through social channels, and encouraging outsiders to buy during a rapid price rise. The promoters then sell into that demand. Late buyers are left with a sharply lower price and a market that may be too thin for an orderly exit. The CFTC warns that thinly traded or new tokens are especially susceptible to this behavior, and Investor.gov uses memecoin promotion as an example of crypto-related fraud.

  • Sudden, unexplained price and volume spike: A rapid move without independently verifiable news can be the promotion itself.
  • Guaranteed or near-guaranteed returns: A promise of certainty conflicts with the speculative nature of the asset.
  • Pressure to act immediately: Deadlines, exclusive groups, and “buy before the listing” messages discourage checking facts.
  • Anonymous or unverifiable promoters: You cannot evaluate incentives or accountability when identities and affiliations cannot be confirmed.
  • Instructions to send funds directly: Requests to bypass a reputable, independently verified venue increase fraud and custody risk.
  • Token identity confusion: A copied ticker or contract address can direct funds to an impostor asset.

None of these signs proves fraud by itself, but several together justify stopping rather than trying to trade faster.

Comparing two memecoins without being misled by popularity

If you are comparing named tokens, use identical criteria and token-specific evidence. Do not rank them from follower counts, market-cap screenshots, or a single day’s return.

Comparison axis Questions to answer for each token
Utility and rights What function exists today? What rights, if any, do holders receive? Are claims documented in enforceable terms?
People, incentives, and concentration Who created and promotes it? Are identities verifiable? How concentrated are insider, treasury, or promoter holdings, and what unlocks or selling incentives exist?
Liquidity and execution On the venue and pair you would use, how consistent is activity, how wide is the spread, and how much price impact would your intended order create?
Contract, network, custody, and platform risks Which network and contract are correct? Are privileged functions, upgrade controls, withdrawal rules, and platform legitimacy documented?
Source of the investment thesis Does the case depend on social hype and a larger buyer, or on a verifiable use that could exist without a promotional campaign?

The sources supporting this framework do not assess or rank particular tokens. If one candidate has missing information on a comparison axis, record that as an unresolved risk rather than awarding it a neutral score.

Legal and regulatory context

The SEC staff statement’s limits matter when interpreting online claims that a memecoin is “not a security.” The statement applies only to the characteristics described by staff, says its analysis does not cover offerings inconsistent with those characteristics, and emphasizes the economic realities of a transaction. It is not a blanket legal classification for every token carrying a meme-themed name. Commissioner Crenshaw’s response criticized the statement’s approach, illustrating that regulatory interpretation is contested.

Readers should therefore avoid two opposite mistakes: assuming every memecoin is automatically a security, or assuming the label removes legal and disclosure risk. The token’s structure, marketing, rights, transactions, and surrounding facts determine the relevant analysis. A category label cannot replace the project’s documents or professional advice appropriate to your jurisdiction.

If you still decide to make a speculative purchase

After completing the checks above, keep the transaction consistent with the risk you accepted rather than with the story being promoted.

  1. Write down the exact network, contract address, venue, pair, purchase amount, and maximum loss.
  2. Recheck the address immediately before signing a transaction; do not rely on a pasted social-media link.
  3. Review the quoted output, price impact, fees, and any withdrawal or transfer restrictions for the intended size.
  4. Keep account credentials, recovery phrases, and private keys away from websites, messages, and people requesting them.
  5. Save transaction records and monitor whether liquidity, trading access, or project disclosures materially change.
  6. Do not add funds merely to lower an average purchase price. Reassess the original facts and your loss limit instead.

This process cannot turn a speculative token into a guaranteed investment. It is designed to prevent avoidable identity, execution, fraud, and custody mistakes.

Questions readers commonly ask

Are memecoins a scam?

Some may be fraudulent, while others may simply be highly speculative assets with little utility. Official advisories warn that promoters can use memecoins and other tokens in pump-and-dump schemes. Evaluate the specific token, promoters, contract, venue, and liquidity instead of assuming either that every token is legitimate or that every token is a scam.

Can I sell a memecoin after the price crashes?

Only if a functioning market still has buyers or usable liquidity. A displayed quote does not guarantee an executable sale, and a thin market can impose severe price impact. Trading can also be suspended, or the asset can become unavailable on all venues.

How do I check a memecoin’s liquidity?

Check the exact trading pair and venue, observe the depth and spread around the current price, examine whether activity persists over time, and compare the quoted result for your intended order size. Do not treat an aggregate volume headline as proof that your order can be filled at the displayed price.

Does a hardware wallet make a memecoin safer?

It may address some private-key custody risks, but it cannot protect against a collapsing price, absent buyers, a fraudulent contract, or a market that disappears. Custody security and token quality must be evaluated separately.

The practical verdict

Memecoins are best treated as high-risk speculation that may be suitable only for someone who understands the possibility of losing the entire amount and can absorb that loss. The SEC staff’s description of limited utility and significant volatility, together with CFTC warnings about thin liquidity and promotional manipulation, gives no basis for calling the category broadly “worth buying.” A purchase is only defensible as a personal risk decision after you verify the token’s identity, understand what ownership provides, investigate the people behind it, test the actual market’s ability to absorb your order, secure your custody, and set a hard loss limit. If those facts cannot be established, staying out is the more informed decision.
