If your commercial real estate development loan is nearing maturity and a new loan is unavailable, do not wait for a payment default. The practical alternatives are to negotiate a documented extension or restructuring with the current lender, seek additional credit, transition construction debt to bridge financing while the property stabilizes, add project-level equity, sell the project, or—if no credible repayment plan exists—discuss a deed in lieu or foreclosure resolution. None is automatic. Your executed loan documents, project performance, lender credit decision, property location, and applicable legal advice determine what is actually available.

What to do before the maturity date

Contact the lender as soon as the projected payoff problem is visible. A lender can evaluate a workout while the project still has time, collateral value, and operating options. Waiting until maturity can reduce negotiating leverage, trigger default provisions, and leave too little time for a sale, new equity, or construction completion.

  1. Build a current sources-and-uses statement. Show cash on hand, undrawn commitments, remaining hard and soft costs, interest, taxes, insurance, leasing costs, tenant improvements, commissions, reserves, and the amount required to reach completion or stabilization.
  2. Document the physical and operating status. Provide an architect or contractor completion schedule, inspection status, certificates or permits, lease-up or sales evidence, current rent roll, signed contracts, and a realistic absorption timetable.
  3. Update the repayment case. Prepare operating projections, expected sale proceeds, valuation support, debt-service calculations, and downside cases. A plan that depends only on interest being paid from a reserve does not solve uncertain principal repayment.
  4. Show sponsor and guarantor capacity. Include liquidity, contingent obligations, personal or corporate guarantees, other real estate exposure, and the amount of new equity that can actually be funded and when.
  5. Ask for written conditions. Request the lender’s requirements for an extension, additional advances, restructuring, bridge conversion, equity admission, reporting, reserves, guarantees, and consent to a sale or assumption.

The interagency policy on troubled commercial real estate credits and the Office of the Comptroller of the Currency (OCC) problem-loan guidance describe these as prudently considered workout tools. They do not give a borrower a right to obtain any of them.

At-a-glance comparison of the main alternatives

Path When it may fit Issues to resolve
Extend or renew with the current lender The project is viable but needs more time to finish, lease, sell, or stabilize. Extension tests, fee, reserves, new equity, guarantees, covenants, maturity, and a credible payoff source. The OCC says timing should match construction and absorption needs.
Restructure existing debt Current payments or maturity do not fit a reasonable repayment ability. Amortization, payment deferral, concessions, collateral, guaranties, reporting, and whether the revised plan is sustainable.
Request additional credit More money can complete the project or materially improve repayment prospects. Updated budget, contingency, remaining costs, lien priority, borrower contribution, and demonstrated exit. Recognition as a workout option is not a commitment to lend.
Convert to bridge financing Construction is complete or nearly complete, but lease-up, sales, or other stabilization remains. Completion evidence, absorption assumptions, bridge term, reserves, takeout plan, and extension alignment.
Add an equity partner or joint venture The project needs sponsor capital or a stronger funding plan. Equity amount and timing, preferred return, distribution waterfall, governance, dilution, control, guarantees, and lender consent.
Sell the asset or project A sale is more credible than a new loan or continued ownership. Net proceeds, payoff amount, timing, buyer diligence, transfer restrictions, and required lender consent.
Deed in lieu or foreclosure discussions No viable repayment, sale, or restructuring plan can be produced. Legal, guaranty, title, tax, deficiency, release, and reporting consequences require deal-specific advice.

1. Extend or renew the existing loan

An extension or renewal preserves the current lender relationship and may be the least disruptive path when the underlying project is sound but the original maturity assumed an unrealistic construction, lease-up, sale, or absorption schedule. The OCC’s construction-lending guidance states that extension options should align with expected construction time and projected absorption, rather than simply postponing the problem.

What to request

  • A defined extension period tied to measurable milestones, such as substantial completion, certificates, signed leases, unit sales, or a minimum occupancy level.
  • A revised maturity and one or more carefully defined extension options, with notice deadlines and objective tests.
  • Interest, tax, insurance, operating, and construction-cost reserves sized to the remaining schedule.
  • Any required sponsor equity, completion guarantee, repayment guarantee, leasing covenant, reporting package, or cash-management arrangement.
  • A payoff source that is more than a hope for future refinancing: a sale, stabilized financing, operating cash flow, or committed equity.

Trade-offs

An extension can avoid a forced sale, but it may increase interest, extension fees, legal costs, reserves, and reporting. The lender may require additional collateral, tighter covenants, a principal curtailment, or fresh guarantees. A short extension that ends before the project can realistically stabilize merely moves the maturity problem forward.

2. Restructure the debt

A restructuring changes the debt’s payment or risk profile to fit the borrower’s reasonable repayment ability. The interagency workout policy expressly recognizes restructuring with or without concessions. Possible changes include an interest-only period, deferred payments, revised amortization, a new maturity, or a negotiated reduction or reallocation of obligations.

Questions the lender will test

  • Will the modified debt service fit realistic property cash flow?
  • What amount can the sponsor contribute immediately, and what liquidity remains afterward?
  • Does the collateral support the revised exposure under current valuation and downside assumptions?
  • Are guarantors financially capable of performing their obligations?
  • Is the proposed exit—sale, stabilized loan, or operating repayment—specific, timed, and supported by evidence?

Payment relief is not the same as repayment. If interest is funded from reserves while principal remains unsupported, the loan may appear current without becoming less risky. Any modification should therefore include a sustainable schedule and a credible source of principal repayment.

3. Request additional credit

More credit can be appropriate when a defined funding gap prevents completion or when a targeted advance materially improves the project’s repayment prospects. OCC guidance lists granting additional credit as a possible workout action, but the lender still has to underwrite the request and may decide that advancing more money increases rather than reduces its risk.

Prepare an advance package

  • A line-by-line remaining-cost budget, independent cost-to-complete support, and a contingency sized to known risks.
  • Evidence that prior funds were used for the project and that liens, draw documentation, inspections, and contractor issues are controlled.
  • The sponsor’s required contribution, source of funds, and timing; lenders commonly expect meaningful borrower participation where the project has a shortfall.
  • A revised valuation or market analysis and a calculation of loan-to-cost and loan-to-value after the proposed advance.
  • A clear exit showing how the incremental debt will be repaid and what happens if construction, leasing, or sales take longer.

Common failure point

Asking for enough money to finish the building without proving demand, lease-up, sales velocity, or takeout financing does not establish repayment. A lender may instead require a smaller controlled advance, new equity first, additional collateral, or a sale process.

4. Transition construction financing to bridge financing

When construction is complete or nearly complete but the property has not stabilized, ask whether the existing construction facility can be converted or renewed as bridge financing. The OCC Comptroller’s Handbook recognizes construction-to-bridge structures for the stabilization period and emphasizes that the term and extension options should reflect remaining construction work and projected absorption.

When the structure fits

  • The physical asset is sufficiently complete to operate, lease, sell, or obtain occupancy approvals.
  • The remaining risk is primarily lease-up, sales, operating ramp-up, or another identifiable stabilization phase.
  • The bridge term includes realistic reserves for interest, taxes, insurance, operations, tenant improvements, leasing commissions, and carry costs.
  • A takeout plan identifies the likely stabilized loan, sale, or other repayment source and the conditions it will require.

What can undermine the request

Unfinished critical work, unresolved liens, weak leasing evidence, unrealistic absorption, inadequate reserves, or a takeout that depends on an unsupported valuation can cause the lender to reject a bridge conversion. The bridge should not be used to conceal a project that cannot reach stabilization.

5. Add project equity, an equity partner, or a joint venture

New equity can fund completion, replenish depleted reserves, reduce leverage, or demonstrate sponsor commitment. The Federal Reserve’s February 2026 examination manual notes that larger project equity contributions may come from equity partners or joint ventures and that a bank evaluates the likelihood of raising the needed equity.

Terms that must be negotiated

  • Amount, funding dates, and whether equity is common, preferred, or another agreed instrument.
  • Preferred return, return of capital, promote, and distribution waterfall.
  • Voting rights, major-decision approvals, deadlock procedures, replacement rights, and day-to-day control.
  • Construction and operating responsibilities, reporting, budgets, and approval of a sale or refinancing.
  • Guarantees, indemnities, completion obligations, tax allocations, and treatment of future capital calls.
  • Existing lender consent, intercreditor terms, lien priority, and whether new money must be subordinate or can receive negotiated protections.

Equity may solve a funding gap but can materially dilute the original sponsor’s economics and control. A term sheet is not committed capital; verify investor capacity, closing conditions, diligence requirements, and the date funds will be available.

6. Sell the property or development project

A sale can be the most credible repayment route when the market value and buyer demand support a closing but a new loan does not. Compare the expected net proceeds—not the headline price—with the lender’s payoff, accrued interest, closing costs, taxes, commissions, repair or completion costs, and any required reserve release.

Loan assumption is not automatic

Review the loan’s transfer restrictions and due-on-sale clause before marketing an assumption. The statutory due-on-sale framework permits a lender to enforce a contractual due-on-sale clause and encourages, but does not require, permitting certain assumptions. Commercial loans therefore are not freely assumable merely because a buyer is willing to take over payments. Obtain written lender consent and document any release, modification, or continuing guaranty.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Sale-process checks

  • Set a realistic contract-to-close schedule that includes buyer diligence, title, survey, environmental work, permits, lender approval, and payoff processing.
  • Disclose construction status, leases, warranties, litigation, liens, and known defects accurately.
  • Test whether a lower price and a delayed closing still pay the debt and transaction costs.
  • Determine whether the lender will allow a discounted payoff, release of collateral, seller financing, or a controlled sale process.

7. Discuss a deed in lieu or foreclosure resolution

If the project cannot be completed, sold, refinanced, or sustainably restructured, discuss the lender’s remedies and negotiated resolutions before unilateral action. OCC problem-loan guidance lists foreclosure among possible outcomes, while a deed in lieu may be considered in some circumstances. The consequences depend on the documents and jurisdiction.

Issues requiring legal advice

  • Whether a deed in lieu releases the borrower and guarantors or leaves a deficiency claim.
  • Title defects, junior liens, mechanics’ liens, environmental liabilities, and tenant rights.
  • Tax treatment, bankruptcy implications, reporting, and any recourse or bad-act carve-outs.
  • Condition of the property, operating control during transition, and responsibility for insurance, security, and preservation.

Do not surrender possession or sign a release without counsel reviewing the payoff, guaranty, title, tax, and deficiency consequences. The available remedy and procedure vary by state and by contract.

How to choose among the alternatives

Use a written comparison rather than choosing the option with the lowest immediate cash requirement. Score each path against the following decision axes:

Decision axis What to measure
Time required Months to complete construction, reach occupancy, lease or sell units, stabilize operations, obtain consent, and close the repayment transaction.
Cash requirement Sponsor equity, new investor capital, reserves, carry costs, transaction costs, and contingency funding.
Debt burden Interest rate, fees, amortization, maturity, extension risk, and total debt service under base and downside cases.
Repayment source Operating cash flow, sale proceeds, stabilized loan, committed equity, or another documented source with timing and conditions.
Downside resilience Effect of slower absorption, cost overruns, lower rents or prices, higher rates, delayed permits, or a lower valuation.
Ownership and guarantees Dilution, control, preferred economics, personal or corporate guarantees, and future capital-call exposure.
Consents and priority Lender approval, intercreditor arrangements, lien priority, transfer restrictions, and required waivers.
Execution risk and cost Legal, appraisal, engineering, brokerage, financing, diligence, and documentation costs, plus the probability and timing of closing.

Regulators’ core themes are borrower financial strength, collateral and project prospects, adequate equity, and a workout plan that can actually repay the debt. A plan that looks workable only if every optimistic assumption holds is not a durable solution.

Legal and jurisdictional limits

This guidance is U.S.-focused and based primarily on federal supervisory materials. The statutory due-on-sale excerpt referenced for the assumption discussion is from the 2022 U.S. Code edition; confirm current codification and applicability before relying on it for a legal conclusion. State foreclosure procedures, usury and tax rules, lien law, bankruptcy law, and the exact loan documents can change the result. Have real estate finance counsel review any amendment, forbearance, intercreditor agreement, equity admission, sale contract, deed in lieu, release, or guaranty waiver.

A practical decision sequence

  1. Can the project reach a defined milestone with existing funds? If yes, seek an extension or bridge structure tied to that milestone. If no, quantify the funding gap.
  2. Can the sponsor or a new partner fund the gap? If yes, negotiate equity terms and lender consent while testing whether additional credit is also needed.
  3. Does a realistic sale produce enough net cash? If yes, obtain lender approval and run a controlled sale process. If no, do not assume a buyer can take over the loan.
  4. Is there a sustainable repayment plan after modification? If yes, propose a restructuring with reserves, reporting, and a credible exit. If no, obtain legal advice about negotiated surrender or enforcement consequences.

Frequently Asked Questions

Can I force the lender to extend a commercial development loan?

No. Interagency and OCC guidance describes extensions, renewals, restructurings, and additional credit as prudent workout possibilities, not borrower rights. The lender can approve, condition, or reject a request after its own credit analysis.

What’s actually slowing this PC down?

Pick the symptom - the matching free tool is one click away.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Is a commercial real estate loan automatically assumable when I sell the project?

No. A contractual due-on-sale clause may let the lender require payoff or consent to a transfer. Any assumption, guaranty release, or modification must be documented with the lender.

When does bridge financing make sense?

It may fit when construction is complete or nearly complete and the remaining period is identifiable stabilization—such as lease-up or sales—with sufficient reserves and a credible takeout or sale plan.

What if interest is being paid from a reserve?

Reserve-funded interest can keep payments current while principal repayment remains unresolved. The lender will still assess borrower capacity, collateral, project prospects, and the actual source and timing of principal repayment.
