Yes—most AI agreements should give the buyer a retrospective testing and audit right that remains available after deployment. No single law or regulator currently mandates one identically worded clause for every AI contract. However, current European and UK guidance consistently expects post-deployment evaluation, auditability, independent testing, review after material changes, incident reporting and corrective action. Putting those controls in the contract turns guidance into an enforceable obligation.
A retrospective right is not permission to inspect everything a supplier owns. It is a defined, risk-based right to test the agreed AI system, obtain the evidence needed to evaluate it, and require remediation when performance, security, privacy or compliance deteriorates.
What a retrospective testing right does
The right applies after the system has entered production or real-world testing. It lets a buyer, regulator or qualified independent assessor check whether the supplier is still meeting the contract’s requirements rather than relying only on pre-signing demonstrations.

The clause should identify the system and its boundaries: model and version, interfaces, data flows, approved use cases, deployment environments and relevant subcontractors. Without that definition, a supplier can argue that a changed model, plug-in, data pipeline or hosted component falls outside the audit.

The right should survive go-live and remain usable for the agreed evidence-retention period, including during termination assistance and any regulator or customer investigation.
When the right should activate
Use both scheduled reviews and event-based triggers. A practical clause lists the following events:
- A material model, prompt, system or interface change.
- Retraining, a new data source, or evidence of data or concept drift.
- A security, privacy or safety incident.
- A substantiated complaint or unexplained performance degradation.
- A request from a competent regulator or supervisory authority.
- A scheduled review set by the parties according to the system’s risk and use.
Material updates should not be treated as ordinary maintenance. The UK Government’s Code of Practice for the Cyber Security of AI says developers should treat major AI-system updates as a new model and undertake a new security-testing and evaluation process. A contract can translate that principle into a notice, testing and approval workflow before the updated version handles production data.

What the buyer should be able to examine
Access should be broad enough to test the contractual promises but limited to information necessary for that purpose. The evidence package commonly includes:
- Current and historical test plans, evaluation results and acceptance criteria.
- Model, system and data-flow documentation, including the version in production.
- Change logs, release records and retraining history.
- Incident, complaint and corrective-action records.
- Process logs covering modelling, training, testing, verification and implementation.
- Relevant datasets or representative samples, with appropriate redaction or controlled access.
- Documentation from subcontractors whose components affect the agreed system.
The UK Government’s Guidelines for AI procurement call for end-to-end auditability through process logs that gather data across those lifecycle phases. Logs should therefore be specified as a deliverable, with retention, integrity and export requirements, rather than left as an informal support promise.
Protecting confidential and personal information
Audit access should operate under least-privilege, security and confidentiality controls. The contract can require a secure data room, named assessors, access logs, redaction, encryption and limits on copying. It should also address trade secrets, personal information and customer data, while preserving enough representative evidence to test the claimed outcome. Privacy restrictions should narrow the method of access—not silently eliminate the right.

Independent testing and repeat testing
A buyer should be able to appoint a qualified independent tester when internal review is not sufficient, especially for security, high-impact decisions or a dispute over supplier results. The UK cyber-security code states: "For security testing, System Operators and Developers should use independent security testers with technical skills relevant to their AI systems."
Define objective competence, confidentiality, conflict-of-interest rules, permitted methods and reporting recipients. The supplier may reasonably approve a tester’s security arrangements, but it should not have an unrestricted veto over independence.
Retesting is essential after a material update, a failed evaluation, a serious incident or completion of corrective action. A one-time pre-contract test cannot establish that a continuously changing model remains accurate, secure or compliant.

Remedies when testing finds a problem
An audit right without consequences is largely informational. The contract should connect findings to an ordered response:
- Notify: the supplier promptly reports the issue, affected versions, users, data and foreseeable impact.
- Mitigate: it takes immediate containment measures, such as disabling a feature, restricting a use case or applying a safe fallback.
- Correct: it delivers a written corrective-action plan with owners, milestones and evidence of completion.
- Retest: the buyer or independent assessor verifies that the fix works under agreed acceptance criteria.
- Suspend: the buyer may suspend affected processing or deployment while material risk remains.
- Terminate: an uncured material risk supports termination, subject to the contract’s notice and cure provisions.
The EU AI Act requires serious incidents in real-world testing to be reported and immediate mitigation or suspension to follow. A contract should allocate responsibility for making those reports, preserving evidence and cooperating with any authority.
Regulatory anchors buyers should reflect
European Union real-world testing
The 2024 EU AI Act sets safeguards for real-world testing, including an approved plan, registration, informed consent, qualified oversight, reversibility of predictions or decisions, incident reporting and inspection powers. Testing must be limited to what is necessary and is generally limited to six months, with a possible six-month extension. Where the Act applies, the contract should make the supplier’s records and cooperation obligations match those safeguards.

UK data-protection expectations
The UK Information Commissioner’s Office recommends deciding acceptable accuracy before procurement, putting accuracy key performance indicators or service levels in the contract, independently evaluating trade-offs, setting a reasonable timetable to reassess accuracy, engaging independent third-party auditors, requesting model-development documentation and asking for user-testing evidence. It also recommends time-limited contracts with periodic review, routine in-life compliance checks and audit or checking clauses that confirm compliance with contractual terms. These are regulatory expectations and procurement guidance, not a single universal clause imposed on every AI supplier.
Model procurement clauses
The European Commission Public Buyers Community updated its model-clause page on 5 March 2025. It provides a full high-risk AI version aligned with the AI Act, a customisable light version for non-high-risk AI and commentary on how to apply each version. Buyers can use those models as a drafting starting point, then tailor scope, evidence and remedies to the actual system.

How a buyer can implement the right
- Classify the use case: record whether the system affects people, safety, security, regulated decisions or sensitive data.
- Set measurable acceptance criteria: define accuracy, security, availability, bias or other relevant service levels before signing.
- Map dependencies: list hosted models, data suppliers, interfaces and subcontractors whose changes could alter results.
- Define evidence formats: require versioned reports, exportable logs and documentation that an independent tester can use.
- Agree access mechanics: name contacts, response times, secure environments, sampling methods and confidentiality obligations.
- Test the escalation path: confirm who can order mitigation or suspension and how quickly the supplier must act after an incident.
- Align exit terms: preserve evidence long enough for disputes or regulatory review, then return or delete personal information as required.
What changes after signing
If the model changes after execution, the buyer should not have to renegotiate the audit right. The contract should require advance change notice where practicable, identify whether the change is material, provide updated documentation and trigger a new evaluation when it is. A supplier that cannot show what changed, which tests were rerun and whether acceptance criteria still pass is not providing meaningful lifecycle assurance.

Preserve the relevant version, logs and test data; investigate under the agreed timetable; document mitigation; and keep the affected function restricted until retesting demonstrates that the risk is controlled.
Retrospective testing is therefore a contract-design best practice supported by current EU and UK procurement, data-protection and cyber-security guidance. It is not a universally named clause required in every AI agreement, but omitting it leaves the buyer dependent on a supplier’s voluntary cooperation after deployment—the point at which independent evidence is most valuable.
