Private AI startups and publicly traded AI companies expose you to different kinds of risk. A private offering may be difficult to resell, provide limited information, require an indefinite holding period and result in a total loss. Public shares are generally easier to sell and supported by recurring disclosures, but their prices can fall sharply and public status does not prove that an AI product, market or strategy will succeed. Compare the actual security, rights, evidence, valuation assumptions, financing needs and exit routes—not the word “AI” in a company description.
This US-focused framework is educational, not personalized investment advice. Rules, offering terms and filings change, so confirm current documents and consider qualified legal, tax and financial advice for your circumstances.
AI startup vs. public AI company: how do I compare investment risks?
Start by defining what you would own. “Investing in an AI startup” could mean private preferred shares, common shares, a convertible instrument, a fund interest or another security. “Buying a public AI company” usually means exchange-traded common stock, but different share classes can carry different voting and economic rights. A comparison is meaningful only when the instruments, ownership percentage, fees, dilution and investor protections are clear.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Scan for outdated or missing drivers - takes under a minute3Repair Windows errors before they cause bigger problemsThe central structural difference is liquidity and information. Securities sold through private exemptions are often restricted and may not be freely traded; you may have to hold them until an acquisition, a company-arranged secondary transaction or an eventual public offering that may never occur. Public shares normally have a market in which you can place a sale, although price, execution and market access are never guaranteed. Public companies also file periodic and event-driven reports, while a private issuer may provide a narrower set of offering materials and updates.

Neither structure makes an investment safe. A private company can fail before its product or market matures. A public company can lose customers, burn cash, face legal or security problems, or trade below any reasonable estimate of intrinsic value. The right question is which risks you can understand, withstand and monitor.
Side-by-side risk map
| Comparison axis | Private AI startup | Public AI company | Questions to answer |
|---|---|---|---|
| Liquidity and exit | Exempt-offering securities are often illiquid or subject to resale restrictions. An investor may need to hold indefinitely. | Public trading usually provides a market for selling shares, but price and execution depend on market conditions. | Are there transfer restrictions, lockups or an actual secondary-market process? Does the investment still work if no IPO occurs? |
| Information | Information may be limited to an offering memorandum, financial statements and issuer updates; some figures may be unaudited or forward-looking. | Periodic and event-driven filings can describe financial condition, operations, management, material relationships and risks. | Which information is current, independently verified and comparable? What is historical fact versus a forecast? |
| Business maturity | The company may still be developing its product, market, pricing and operating model. Early-stage investing can result in losing the entire investment. | A longer disclosed operating history may exist, but public status does not establish durable product-market fit or remove execution risk. | What customer, product, revenue, cash and financing evidence exists? |
| Valuation | A financing price is an occasional reference point, not a continuously observed market value or guaranteed exit value. | The market price is observable and changes continuously, but it is not proof of fair value or future returns. | How do revenue, margins, cash generation, growth assumptions, dilution and comparable businesses support the price? |
| AI-specific exposure | Verify that the claimed product works, has access to needed compute and data, and has customers and sufficient financing. | AI use and material AI-related risks may require tailored disclosure; claims about AI prospects should have a reasonable basis. | What is actually deployed, what business result does it produce, and what legal, privacy, security, reliability, compute and data dependencies exist? |
| Rights and governance | Security type, liquidation preferences, voting, information rights, conversion terms, dilution and resale limits depend on the documents and exemption. | Review voting structure, share classes, related-party arrangements and filed governance information. | What rights do you receive, and how can later financing or insider decisions change your position? |
Liquidity: the risk that you cannot choose when to exit
Private holdings
Private-placement securities are commonly restricted. Even if the issuer is growing, you may be unable to sell when you need cash, when your assumptions change or when the business raises money at a lower valuation. A company might offer a limited secondary transaction, but that is not the same as a continuously available market. Review any contractual transfer approval, right of first refusal, lockup, holding-period or resale condition.
Ask the issuer to describe every plausible exit route: an acquisition, issuer repurchase, company-arranged secondary sale or public offering. Ask how prior transfers were handled, who may buy, what approvals are required and what costs apply. Treat an IPO as a possible event, not a repayment plan. Your decision should remain sensible if no IPO occurs.
Public holdings
Public trading generally makes selling operationally easier, but liquidity is not a fixed promise. A thinly traded security, a trading halt, a market-wide sell-off or a limit-order price that is never reached can delay or worsen execution. A sellable share can also be worth substantially less than your purchase price. Distinguish the ability to place an order from the ability to exit at an acceptable value.
Information and transparency
What private investors must obtain
Request the complete offering memorandum, subscription agreement, capitalization table, security terms, financial statements and material updates. Determine which statements are audited, which are management estimates and which are forward-looking. Ask how often investors receive financial and operating information, whether inspection rights exist and how promptly material events will be reported.

Read the risk factors and use-of-proceeds section rather than relying on a pitch deck. Reconcile the stated share price with the capitalization table: identify outstanding shares, options, warrants, convertible instruments and promised grants. A headline valuation can omit obligations that later dilute ownership.
What public filings provide—and do not provide
Public reporting can provide a standardized trail of historical financial results, management discussion, risk factors, material contracts and significant events. Use current filings, not an old presentation or a social-media claim. Separate audited historical results from management forecasts and promotional language. Reporting duties create information and compliance costs, but they do not prevent losses, accounting mistakes, strategic failure or a falling share price.
Business maturity and execution risk
Evaluate the business behind the AI label. A startup may still be testing whether a product solves a costly problem, whether customers renew, how pricing works and whether operations can scale. A public company may have years of reported activity yet remain dependent on one product, a small number of customers, a supplier, a cloud platform or continued external financing.
Evidence to test in either case
- Product status: distinguish a research demonstration, pilot, paid deployment and repeatable production use.
- Customer quality: check contract duration, renewal or repeat usage, concentration and whether claimed customers are paying users or trial partners.
- Revenue quality: examine recurring versus one-time revenue, pricing concessions, refunds, backlog and collection history.
- Unit economics: understand gross margin after compute, data licensing, inference, support and security costs.
- Cash needs: identify cash runway, planned capital spending, debt, minimum financing requirements and dependence on a future raise.
- Competitive position: identify credible alternatives, switching costs, proprietary data or distribution and how quickly competitors can match the feature.
These are diligence questions, not assumptions about any unnamed issuer. Require documents or customer evidence where a claim is material.
AI-specific risks that deserve separate testing
What “AI” actually means
Map the AI claim to a business function. Is the company training a model, fine-tuning an existing model, providing an application, reselling access to a third-party model or using AI internally? Identify which part creates value and which part depends on another provider. A change in model pricing, access terms, performance or safety controls can alter margins and product quality.

Claims, materiality and disclosure
SEC staff guidance issued in 2024 emphasized that public companies should describe their actual or proposed AI use, discuss material effects and risks with tailored disclosure, and have a reasonable basis for claims about AI prospects. Apply the same practical discipline to private-company representations while recognizing that private issuers have different disclosure obligations. Look for specific deployments, measured business effects, known limitations and contingency plans—not vague claims that AI will transform an industry.

Operational and legal dependencies
- Compute availability, price and concentration among infrastructure providers.
- Data rights, privacy obligations, security controls and the possibility of sensitive-data exposure.
- Model reliability, bias, hallucination, explainability and human-review requirements where errors cause harm.
- Intellectual-property disputes, training-data provenance and contractual indemnities.
- Customer or regulator requirements that could delay deployment or force redesign.
Valuation: compare assumptions, not labels
A private financing valuation and a public market price are different kinds of evidence. The private figure may be set in a negotiated round with limited trading and special rights. The public price reflects ongoing buying and selling but can incorporate expectations that change rapidly. Neither number establishes intrinsic value or future return.
Build a like-for-like comparison using revenue definition, growth period, gross and operating margins, cash burn or generation, debt, preferred rights, option dilution and the amount of capital required to reach the next milestone. For an early-stage company, compare relevant businesses, competitors and broader economic conditions as well as the company’s projections. Do not treat a preferred share price as equivalent to the value of common stock without understanding liquidation preferences and conversion terms.
Legal structure, exemptions and investor rights
In the United States, an securities offering must be registered or rely on an exemption. The exemption affects who may invest, what information and solicitation practices apply, resale restrictions and the issuer’s compliance obligations. Ask which exemption is being used—such as Regulation D Rule 506(b), Rule 506(c) or Rule 504—and obtain the actual notice and offering documents. The names alone do not tell you whether the investment is suitable.
Read the security agreement for voting rights, liquidation preference, dividends, conversion, protective provisions, information rights, pro-rata participation, transfer limits and dispute provisions. Determine how future financing can dilute you and whether another class is paid before yours in a sale. Public investors should examine share classes, voting control, related-party transactions and governance disclosures in filings.

A repeatable diligence workflow
- Define the instrument. Write down whether you are comparing public common shares, private preferred shares, a convertible note, a fund interest or another security. Record price, fees, ownership percentage, maturity and conversion terms.
- Verify the issuer and offering. Confirm the legal entity, jurisdiction, offering status and exemption. Check whether the person soliciting the investment is authorized and whether documents are complete and internally consistent.
- Read primary documents first. For a private offering, obtain the offering memorandum, subscription agreement, capitalization table, financial statements and updates. For a public issuer, read the latest annual, quarterly and event-driven filings.
- Separate facts from forecasts. Mark audited or independently supported figures, management estimates, assumptions and promotional statements. Record the date and period for every number.
- Test the product and customers. Seek evidence of deployment, paid use, retention, pricing, concentration and measurable outcomes. Ask what happens if a major customer or model supplier leaves.
- Model financing and dilution. Estimate cash needs through the next credible milestone, likely financing rounds, debt service and the effect of options, warrants and convertible securities.
- Compare valuation assumptions. Use consistent revenue and margin definitions, relevant comparables, competitive conditions and broader economic context. Include special rights and the possibility that the company needs a down round.
- Map the exit. For private securities, identify contractual restrictions and realistic buyers. For public shares, assess trading volume, spread, market hours and the price at which you could actually sell.
- Stress-test failure. Consider total loss, failed fundraising, product or market failure, data or security incidents, legal constraints, inability to transfer private securities and a major public-market decline.
- Set a portfolio limit. Decide how much loss and illiquidity you can absorb. Diversification across businesses, stages and asset classes can reduce the damage from one failed investment, although it cannot eliminate risk.
Questions to put to a private AI startup
- What exact security is being sold, under which exemption and with what resale restrictions?
- What is the fully diluted capitalization today, including options, warrants and convertibles?
- How much cash is available, what is the monthly burn and what milestone does it fund?
- Which customers pay, renew and represent the largest share of revenue?
- What compute, data, model and infrastructure contracts are essential, and can they be replaced?
- What information will investors receive, on what schedule and with what audit or inspection rights?
- How could an investor liquidate the position if the company does not go public?
- Which investors or classes receive priority in a sale, and how can future rounds dilute this security?
Questions to answer from a public company’s filings
- How is AI used in products, operations and revenue generation, and what portion of results depends on it?
- Are growth claims supported by reported customer, revenue and margin trends?
- What risks involve model providers, compute costs, data rights, privacy, cybersecurity, reliability or regulation?
- How concentrated are customers, suppliers and distribution channels?
- Does the company generate cash, require new capital or carry material debt?
- Do dual-class shares, related-party arrangements or insider control limit ordinary shareholders’ influence?
- Which statements are historical results, management guidance or scenario-based expectations?
Common mistakes and how to correct them
Treating an IPO as the exit plan
Why it fails: A private company may never list, and a listing does not guarantee a favorable price or immediate unrestricted selling.
Correction: Underwrite the investment on available exit routes and an indefinite holding period.
Equating a financing valuation with fair value
Why it fails: Private rounds can include negotiated rights and limited trading; public prices reflect changing expectations and may be disconnected from business performance.
Correction: Reconcile the price with operating evidence, dilution, rights, cash needs and comparable businesses.
Using “AI” as a substitute for diligence
Why it fails: A label does not prove deployment, customer value, defensibility or sustainable margins.

Correction: Trace the claim to a product, contract, cost structure, measurable outcome and documented risk control.
Assuming public disclosure eliminates risk
Why it fails: Filings improve access to information but cannot prevent execution mistakes, fraud, competition, regulation or market declines.
Correction: Read the filings critically and update your thesis when facts change.

Ignoring the security’s priority and dilution
Why it fails: Two investors in the same company can have very different outcomes because of liquidation preferences, conversion rights, voting power or later financing.
Correction: Compare contractual rights and the fully diluted capitalization, not only the company name and headline share price.
What are the risks of investing in a private AI startup compared with a public AI company?
The private investment adds structural risks: restricted resale, less frequent information, uncertain valuation, dependence on future funding and the possibility of holding indefinitely. It may also provide earlier exposure to a developing business, but that potential comes with a meaningful possibility of losing the entire investment.
The public investment generally offers easier trading and more regular disclosure, while exposing you to daily market volatility, valuation changes, public-company execution failures and the same underlying AI risks of competition, costs, data, security, legal compliance and product reliability. Public availability does not make losses unlikely; it mainly changes how quickly you can transact and how much information is normally available.

Choose neither structure by reputation or AI branding. First confirm what you own and what rights attach to it. Then test liquidity, information quality, product and customer evidence, cash requirements, AI dependencies, valuation assumptions, dilution and realistic exits. If you cannot explain how the investment could lose money, how you could get out and what evidence would change your view, the diligence is incomplete. Keep any exposure consistent with your ability to absorb a total loss or a prolonged inability to sell.
