Evaluate Vietnam market entry by testing a specific business, ownership structure and location—not by treating national growth as proof of likely returns. Confirm that foreign investment is permitted for the precise activity, establish the applicable approval and licensing path, validate customer demand and site conditions, then test whether the project still meets its return hurdle under realistic downside scenarios.

What needs to be true for this investment to work?

Write a one-page investment thesis before comparing structures or provinces. State what the business will sell or operate, who will pay, how revenue will be earned, why customers would choose it over alternatives, the capital required, the investment horizon and the return the project must achieve.

Separate the commercial thesis from the legal one. A compelling customer opportunity does not establish that a foreign investor can conduct the activity on the proposed terms; permission to invest does not establish that customers will buy at a price that supports the required return.

  • Demand: Identify customer segments, purchasing authority, willingness to pay and evidence of repeat demand. Use interviews, procurement records, customer commitments, comparable transactions and local competitor research where available.
  • Revenue exposure: Distinguish sales to Vietnamese customers from exports, and identify whether revenue depends on a small number of buyers, suppliers, destinations or trade routes.
  • Advantage: Specify what the project can do better—such as product fit, distribution, service, cost or technology—and what evidence supports that advantage.
  • Investment case: Define capital needs, timing, return hurdle, key assumptions and conditions that would make you stop or change the plan.

For a technology-related business, describe the actual activities rather than relying on a broad label such as “tech”: software development, online services, data handling, telecommunications, hardware production and distribution may raise different commercial and regulatory questions. The applicable classification must be confirmed for the precise business model.

Is the proposed activity open to foreign investment?

Start with the precise activity and the current rules, not an industry-wide assumption. Foreign-investor market access can depend on the activity, ownership share, permitted investment form and scope, investor capability, partner requirements or other conditions. A broad sector description is not enough to establish the rules for a particular operation.

Vietnam’s Law 143/2025/QH15 took effect on March 1, 2026. Under Article 19(2), foreign investors may establish economic entities before completing investment-certificate procedures, but must satisfy the market-access conditions applicable to foreign investors when establishing those entities. Article 7 and the conditional business-sector list took effect on July 1, 2026. Those transition dates have passed; check the current Vietnamese legal text and implementing rules for any later amendments before relying on an English translation.

Decree 96/2026/ND-CP elaborates market access, investment procedures, business conditions, incentives and reporting. Use the law and decree to frame the analysis, then have qualified Vietnam counsel confirm how they apply to the exact activity and proposed ownership. An investment authority summary describes a revised conditional-sector list totaling 198 sectors, but the applicable entry and requirements should be verified against the governing text rather than inferred from that total.

  • Translate the business model into the specific activities and classifications relevant under Vietnamese law and applicable treaties.
  • Confirm whether foreign investment is permitted and identify any ownership cap, required form or scope, capability test, local-partner condition or other market-access requirement.
  • List project approvals, operating licenses and ongoing business conditions separately; satisfying one does not necessarily satisfy the others.
  • Verify which authority handles each filing, the required documents and conditions, and the order in which approvals and registrations must be completed.

Do not assume every project requires the same certificates or that every process follows the same sequence. Determine whether the specific project requires investment-policy approval, an investment registration certificate, enterprise registration and sector-specific permits. The legal route depends on the project and current rules.

Which entry structure fits the project?

Compare a new entity, investment in an existing Vietnamese company and a contractual arrangement where appropriate. The best route depends on the intended activity, control needs, counterparties, inherited obligations and applicable rules—not simply on which route appears fastest to form.

Acquire shares or stakes in a Vietnamese company Entering through an existing business that may have a team, customers, contracts or licenses. Verify market-access conditions, national defense and security considerations, and relevant land-use issues. Conduct corporate, tax, contract, liability, licensing, ownership and land diligence.
Business cooperation contract or another sector-appropriate arrangement Working with a local counterparty through a contractual structure when suitable for the activity and commercial goals. Confirm that the arrangement is permitted and workable for the activity, and define control, responsibilities, economics, duration, termination and dispute arrangements.

For acquisitions, investigate whether the business’s apparent operating permissions, customer relationships, assets and contracts are valid, transferable and consistent with the proposed foreign ownership. A target’s existing operation is not a substitute for confirming that the post-transaction structure can continue as planned. For any route, distinguish entity formation from permission to conduct a regulated activity.

What is the evidence for demand and the operating model?

National indicators can help frame the environment, but they cannot establish addressable demand, local pricing, competitors or unit economics for an unspecified project. Test the project’s own revenue assumptions with evidence from the customers and markets it intends to serve.

  • Customer evidence: Seek direct buyer conversations, procurement evidence, paid pilots, credible commitments or comparable transactions. Record who controls the purchase, the buying cycle and the conditions that could delay or cancel a sale.
  • Competition: Identify direct and indirect alternatives, local incumbents, substitute products, distribution channels and the basis on which customers choose among them.
  • Pricing and margin: Test willingness to pay against discounts, sales commissions, channel costs, service obligations, returns and the cost of adapting the offering to local requirements.
  • Location: Compare candidate provinces and sites for proximity to customers and suppliers, workforce availability, logistics, utilities, infrastructure resilience, land-use rights and approval requirements.
  • Manufacturing site diligence: Validate utility reliability, industrial-site terms, supplier access, labor availability and export logistics at the actual proposed site, rather than relying on province-level averages.

Classify sales as domestic or export-linked in the model. If exports or a narrow group of customers underpin the case, test what happens if orders shift, trade rules change or logistics are interrupted.

What do Vietnam’s recent growth figures say—and not say?

The figures below are national context, not a forecast for a particular sector or an estimate of project returns. The World Bank’s September 2025 update reported first-half results and its May 2026 update provided a later estimate and forecasts; keep historical data, estimates and forecasts distinct.

The same May 2026 World Bank update identifies elevated near-term risks, including trade-policy uncertainty, possible energy-price and supply-chain shocks, and vulnerabilities in banking and real estate. For a live investment decision, refresh the outlook and test which risks actually affect the project: its export markets, energy dependence, suppliers, customers, currency exposure and financing.

How should the financial case be stress-tested?

Build a project-level model from local operating assumptions rather than applying national growth to projected sales. Include revenue by customer type and destination, local costs, capital needs, timing and financing assumptions. Make clear which inputs are evidenced and which remain estimates.

  • Model revenue under slower customer adoption, delayed procurement, lower prices and weaker external demand.
  • Include working capital, taxes, landed costs, labor, occupancy, compliance and recurring operating costs.
  • Test local-currency and foreign-exchange scenarios, including the effect on costs, debt service and any expected repatriation.
  • Stress-test trade-policy changes, energy-price shocks, supplier interruptions and logistics delays where the business is exposed.
  • Test financing assumptions against weaker cash flow or tighter credit, rather than assuming the planned capital remains available on the same terms.
  • Calculate downside returns and identify the assumptions that most change the result. Require project-specific tax and legal analysis for taxes, capital movement and exit assumptions.

A useful model distinguishes a tolerable downside from a thesis-breaking one. Set limits in advance—for example, a minimum return, maximum capital at risk, or maximum reliance on a single customer—and make the investment decision against those limits rather than revising them to fit a preferred outcome.

What decision gates should be cleared before investing?

  1. Commercial proof: Customer evidence supports the target segment, pricing and sales assumptions; the case does not rely solely on an unsourced market-size estimate.
  2. Legal access: Qualified counsel has confirmed the precise activity’s market-access conditions, permitted ownership and structure, and relevant conditions under current law.
  3. Approvals and permissions: The project’s required policy approval, investment and enterprise registrations, operating licenses and filing sequence are identified and supported by current rules.
  4. Location readiness: Site rights, infrastructure, utilities, labor, suppliers, logistics and location-specific approval requirements are understood for the proposed operation.
  5. Financial resilience: The downside case fits the investor’s risk tolerance, with realistic working capital, currency, cost, financing and demand assumptions.
  6. Open-item ownership: Every unresolved diligence issue has an owner, a deadline and a decision consequence. Do not release capital against a critical assumption that remains unverified.

Keep a decision log with the evidence behind each gate, the date it was checked and the person responsible for updating it. Legal rules, approval practice, market conditions and forecasts can change; material changes should trigger a review before capital is committed or expanded.

What can a national-level review not establish?

Without a specified sector, product, ownership plan, customer, province, project scale, budget and time horizon, no reliable conclusion can be made about the addressable market, competitor position, local costs, definitive licensing path or expected returns for the proposed investment. These require project-specific commercial, legal, tax and operational diligence. Treat the national data as context and the market-entry decision as a testable project case.
