Why did the Justice Department sue over HPE’s Juniper acquisition?
HPE agreed to acquire Juniper Networks on January 9, 2024, in a transaction valued at approximately $14 billion. On January 30, 2025, the U.S. Department of Justice filed suit in the U.S. District Court for the Northern District of California, seeking to block the deal under Section 7 of the Clayton Act. DOJ described HPE and Juniper as the second- and third-largest U.S. providers of enterprise-grade wireless local area network (WLAN) solutions.
Enterprise WLAN is the wireless networking technology organizations use to connect to their own networks and the internet. DOJ’s case focused on competition in enterprise-grade WLAN solutions—not every networking product or business sold by either company. The government alleged that HPE and Juniper competed directly, and that combining them would eliminate head-to-head competition, raise prices, reduce innovation, and limit customer choice. Those were DOJ’s allegations; the case was resolved through settlement rather than a trial verdict deciding whether the original antitrust claims were proven.
Did HPE buy Juniper?
The lawsuit did not prevent the transaction from proceeding. In June 2025, HPE, Juniper, and DOJ submitted a settlement package, and DOJ announced that the agreed remedies would allow the merger to continue. The district court later approved the settlement and entered final judgment on August 12, 2026. What did the DOJ settlement require?
Divest HPE’s Instant On WLAN business
Under the settlement, HPE must divest its global Instant On campus and branch WLAN business to a DOJ-approved buyer within 180 days. The business to be transferred includes assets, intellectual property, research and development personnel, and customer relationships. The deadline and remedy were described in DOJ’s announcement of the settlement.
Make licenses to Juniper Mist AI Ops source code available
The settlement also provides for an auction of up to two licenses to Juniper’s AI Ops for Mist source code, which is an important element in Juniper’s WLAN systems. The licenses are perpetual and non-exclusive. The arrangement allows optional transitional support and transfers of personnel. HPE’s SEC filing describes the licensees as selected through an auction. What did the court decide—and what did it not decide?
The court reviewed the proposed consent decree under the Antitrust Procedures and Penalties Act, commonly called the Tunney Act. That review asks whether entering the decree serves the public interest. In its August 12, 2026 order, the court granted the motion for entry of final judgment after concluding that the settlement met that standard.
The court expressly distinguished this statutory review from a decision on DOJ’s original antitrust case: “Under the Tunney Act, it is not the Court’s role to opine on the ultimate merits of the DOJ’s original challenge to the merger under the Clayton Act; the Court can only determine whether entry of the proposed consent decree would serve the public interest.” The quotation is from the U.S. District Court for the Northern District of California’s August 12, 2026 order.

Twelve states and the District of Columbia intervened to oppose approval. The court found that they had not shown that entry of the amended judgment would be against the public interest. Its ruling approved the settlement under the Tunney Act; it was not a trial finding that DOJ’s original claims were either true or false.
