Possibly, but no 5G launch date follows from the merger. PTCL told the Competition Commission of Pakistan (CCP) that combining Telenor Pakistan and Orion Towers could reduce costs, add network capacity and accelerate technology, including 5G. The latest located CCP decision is conditional approval announced on 1 October 2025, so the case is no longer an unresolved Phase-II review.
What happened to the CCP review?
The review began after PTCL sought to acquire 100% of Telenor Pakistan and 100% of Orion Towers. In Phase I, the CCP found that the transaction met the Competition Act’s presumption of dominance and sent it to a detailed Phase-II examination.

The approval is therefore permission subject to enforceable safeguards, not an unconditional clearance or a confirmation that a consumer 5G service is ready to launch.
Why 5G became part of the merger case
PTCL presented 5G as one element of its claimed merger efficiencies. Its submissions linked the combination to:

- an accelerated 5G rollout.
PTCL also said the merged company would follow the Pakistan Telecommunication Authority’s spectrum-sharing framework once that framework was issued. CCP Chairman Dr. Kabir Ahmed Sidhu described the intended benefits as improving service quality, expanding product offerings and accelerating technological innovation, including 5G.
Those statements describe an intended business rationale. They do not establish a launch date, a coverage target, a particular spectrum band, or guaranteed speeds for customers.

What the transaction covers
The proposed acquisition combines two assets with different network roles:
- Telenor Pakistan: the mobile telecommunications business PTCL sought to own in full.
- Orion Towers: the tower company PTCL also sought to acquire in full.
CCP examined the effects across retail mobile and fixed-line telecommunications, wholesale domestic leased lines, wholesale IP bandwidth and mobile/fixed interconnect markets. That scope matters because a 5G outcome depends not only on radio spectrum, but also on towers, backhaul, interconnection and access to wholesale facilities.

What competition concerns did CCP examine?
The Phase-II review considered market concentration, potential efficiencies and the risk that a larger combined company could disadvantage rivals or business customers. The 34.4% spectrum estimate in the October 2024 hearing record was for total allocated retail-mobile spectrum expected to be controlled by the proposed MergeCo; it was not a forecast of 5G coverage or subscriber share.
Participants raised concerns involving:
- retail tariff regulation and possible price effects;
- infrastructure sharing, tower colocation and national roaming;
- fiberization and access to supporting network facilities;
- interconnection between operators; and
- how cellular mobile operators would be treated after the transaction.
These issues explain why the CCP required conduct and monitoring remedies instead of relying only on PTCL’s efficiency claims.

What conditions did CCP attach to approval?

Will the merger make 5G launch faster?
It could remove some practical obstacles, but the approval does not prove that it will. The relevant pathways are:

What is still unknown?
The available CCP materials do not establish:
- when PTCL, Telenor Pakistan or an associated consumer brand will switch on 5G;
- which cities or percentage of the population will be covered first;
- which spectrum bands will be used for commercial service;
- which handset models or network features customers will need; or
- what 5G tariffs, data allowances or home-broadband plans will be offered.
A 5G-compatible phone alone would not guarantee access: the operator must support the handset’s bands, the customer must be in an enabled area, and the relevant service plan must be available. Confirm those details through PTA or an operator announcement before buying equipment for this purpose.

How to judge future 5G announcements
When an operator publishes a rollout claim, check whether it specifies:
- the regulator-approved spectrum or sharing arrangement;
- the launch cities and the measured coverage area;
- supported handset bands and software requirements;
- the applicable consumer tariff and any eligibility limits; and
- independent or regulator-facing service-quality information.
Those details distinguish a commercial launch from a general statement that a merger is expected to create efficiencies.
